Regulations Regarding the State Fee to be Paid for Making Entries in the Enterprise Register Journal and Commercial Register and also for Registering the Documents to be Submitted

Issued pursuant to
Section 6, Paragraph 12 of the law On the Enterprise
Register of the Republic of Latvia and Section 15,
Paragraph one of the Commercial Law

1. The Regulation prescribes that a State fee need to be paid for making entries in the Enterprise Register Journal and Commercial Register and for registering the documents to be submitted (adding to the file), and also the amount of the State fee, its payment procedures and exemptions.

2. The State fee rates for making entries in the Enterprise Register Journal and Commercial Register and for registering the documents to be submitted (adding to the file) are specified in the Annex to this Regulation.

2.1 If a capital company applies for registration changes in the composition of the board or shareholders, information regarding the beneficial owners does not constitute an application for making separate changes.

3. The Chief State Notary of the Enterprise Register of the Republic of Latvia (hereinafter - the Enterprise Register) is entitled to issue an order on the examination of the registration application within the time limit specified in the Law and repayment of the overpaid State fee, if the State fee has been paid in triple amount and the Enterprise Register cannot examine the registration application within one working day.

4. If the applicant submits the application electronically through the special online form under the management of the Enterprise Register and expresses a wish to also receive the decision of the State notary electronically signed with a secure electronic signature or through the abovementioned online form, the State fee shall be paid in the amount of 90 % of the State fee rate indicated in the Annex to this Regulation.

5. The State fee shall be paid before submission of the relevant application by using the following types of payment services:

5.1. with a payment card in the payment card acceptance terminal at the Enterprise Register;

5.2. via the intermediation of a payment service provider who has the right to provide payment services within the meaning of the Law on Payment Services and Electronic Money;

5.3. using online payment service in the special online form under the management of the Enterprise Register.

6. The State fee shall be transferred into the revenues account of the State basic budget in the Treasury.

7. The State fee shall not be paid for:

7.1. amending an entry in the Enterprise Register Journal and Commercial Register if such amendment is related to modification of administrative territories, change of borders or name, and also change of street name or building number;

7.2. making a registration entry in the Enterprise Register Journal on an enterprise (company) within the liquidation proceedings of which the functions of the liquidator are performed by a State institution;

7.3. amending an entry in the Enterprise Register Journal and Commercial Register if such entry is being made based on a court ruling;

7.4. an entry in the Enterprise Register Journal and Commercial Register which is related to insolvency proceedings.

8. If the State notary has taken the decision to refuse or postpone the making of an entry in the Commercial Register or Enterprise Register Journal or registration of the documents to be submitted (adding to the file), the State fee shall not be repaid. The State fee specified in the Annex to this Regulation shall be paid repeatedly if the State notary has taken the decision to:

8.1. postpone the making of an entry in the Commercial Register or Enterprise Register Journal and the applicant submits the updated documents after the time limit specified in the decision of the State notary;

8.2. postpone the registration of the documents to be submitted (adding to the file) and the applicant submits the updated documents after the time limit specified in the decision of the State notary.

9. Cabinet Regulation No. 1530 of 17 December 2013, Regulations Regarding the State Fee for Making Entries in the Enterprise Register Journal and Commercial Register, and also for Registering the Documents to be Submitted (Latvijas Vēstnesis, 2013, No. 253), is repealed.

10. The Regulation shall come into force on 1 December 2016.

Notes.

1 The State fee shall be paid in triple amount if the applicant wishes for the registration application to be examined within one working day.

2 If the application includes several changes, an enterprise (company) shall pay the State fee in the amount of EUR 25.

3 The State fee need not be paid for making an entry in the Enterprise Register Journal on the exclusion of an enterprise (company) or its branch from the Enterprise Register Journal if the enterprise (company) or its branch is then entered in the Commercial Register.

4 The State fee shall be paid in the specified amount if the applicant wishes for the application on the entering of an individual merchant or a capital company with one founder in the Commercial Register or its exclusion from the Commercial Register to be examined within one working day.

5 If a new commercial company is formed after reorganisation, the State fee specified in Chapter II, Paragraph 1 of this Annex shall be paid for each newly formed commercial company.

6 If the application includes several changes, a limited liability company, joint stock company, European commercial company, and limited liability company which corresponds to the provisions of Section 185.1, Paragraph one of the Commercial Law shall pay the State fee in the amount of EUR 35, while a general partnership, limited partnership, individual merchant or a branch of a merchant shall pay the State fee in the amount of EUR 25.
