Noteikumi par līguma starp dalībvalstīm un Luksemburgas Lielhercogisti, kas darbojas kā vadošā un maksājumu iestāde, par Kopienas iniciatīvas “ESPON 2006 programma” īstenošanu
Izdoti saskaņā ar Ministru kabineta iekārtas likuma 14.panta pirmās daļas 3.punktu

1. Līgums starp dalībvalstīm un Luksemburgas Lielhercogisti, kas darbojas kā vadošā un maksājumu iestāde, par Kopienas iniciatīvas “ESPON 2006 programma” īstenošanu (turpmāk – līgums) ar šiem noteikumiem tiek pieņemts un apstiprināts.

2. Līgums stājas spēkā tajā noteiktajā laikā un kārtībā.

Kļūstot par Eiropas Savienības dalībvalstīm, Kipras Republika, Čehijas Republika, Igaunijas Republika, Ungārijas Republika, Latvijas Republika, Lietuvas Republika, Maltas Republika, Polijas Republika, Slovākijas Republika un Slovēnijas Republika kā jaunās dalībvalstis pievienojas šim “Līgumam starp dalībvalstīm un Luksemburgas Lielhercogisti, kura darbojas kā vadošā un maksājumu iestāde, par Kopienas iniciatīvas “ESPON 2006 programma” īstenošanu”, kuru pēc ESPON 2006 programmas apstiprināšanas Eiropas Komisijā 03.06.2002 parakstīja pašreizējās 15 dalībvalstis. Ievērojot šī Līguma 11.(6) daļu, jāatzīmē, ka ESPON 2006 programmas darbība tika uzsākta pilnībā, sākot no tās apstiprināšanas datuma Eiropas Komisijā. Šī Līguma eksemplāru skaits tiks palielināts no 15 līdz 25.

Jaunās dalībvalstis ESPON 2006 programmai pievienojas katra atsevišķi, parakstot un īstenojot šo Līgumu.

Saskaņā ar Eiropas Savienības regulām, kas paredz noteikumus attiecībā uz struktūrfondiem, īpaši Padomes 1999. gada 21. jūnija Regulu (EK) Nr. 1260/1999, kura grozīta ar Padomes 2001. gada 28. jūnija Regulu Nr. 1447/2001, Eiropas Parlamenta un Eiropas Savienības Padomes 1999. gada 21. jūnija Regulu (EK) Nr. 1783/1999, Komisijas 1994. gada 11. jūlija Regulu (EK) Nr. 1681/94, Komisijas 2000. gada 28. marta Regulu (EK) Nr. 643/2000, Komisijas 2000. gada 30. maija Regulu (EK) Nr. 1159/2000, Komisijas 2000. gada 28. jūlija Regulu (EK) Nr. 1685/2000, kura grozīta ar Komisijas 2003. gada 27. jūnija Regulu (EK) Nr. 1145/2003, Komisijas 2001.gada 2. marta Regulu (EK) Nr. 438/2001, kura grozīta ar Komisijas 2002. gada 27. decembra Regulu (EK) Nr. 2355/2002, un Komisijas 2001. gada 2. marta Regulu (EK) Nr. 448/2001;

Eiropas Savienības dalībvalstis, Austrijas Republika, Beļģijas Karaliste, Dānijas Karaliste, Somijas Republika, Francijas Republika, Vācijas Federatīvā Republika, Grieķijas Republika, Īrijas Republika, Itālijas Republika, Luksemburgas Lielhercogiste, Nīderlandes Karaliste, Portugāles Republika, Spānijas Karaliste, Zviedrijas Karaliste, Lielbritānijas un Ziemeļīrijas Apvienotā Karaliste, noslēgušas vienošanos par Kopienas iniciatīvu programmu “ESPON 2006 programma” (turpmāk tekstā “KIP”), kura apstiprināta Eiropas Komisijā 03.06.2002.

Augšminētās dalībvalstis pieņēma lēmumu parakstīt Saprašanās memorandu par kopēju ESPON 2006 programmas īstenošanu, nosakot Kopēju īstenošanas struktūru, kurā ietilpst vadošā iestāde (VI), maksājumu iestāde (MI), koordinēšanas nodaļa (KN), uzraudzības komiteja (UK), kā arī finanšu kontroles funkcijas un pienākumus. Šādas vienošanās pakāpeniski noslēdzamas arī ar pārējām valstīm, kas iesaistījušās ESPON, ievērojot KIP ESPON 2006 V.8. nodaļas noteikumus.

1. Vadošā iestāde, maksājumu iestāde, koordinēšanas nodaļa un uzraudzības komiteja

1. Dalībvalstis vadošās iestādes (VI) funkcijas piešķir Luksemburgas Iekšlietu ministrijas Teritoriālās plānošanas un pilsētu direktorātam DATUR. Minētā institūcija vadošās iestādes pienākumus un funkcijas uzņemas, ievērojot Padomes Regulas (EK) 1260/1999 9(n) pantu un 34. pantu, Kopienas iniciatīvu programmas INTERREG III vadlīniju 30. punktu un KIP ESPON 2006 nodaļu V.2.

2. Līgumslēdzējas puses maksājumu iestādes (MI) funkcijas piešķir “Iekšlietu ministrijas Budžeta nodaļai”, vienlaikus nosakot maksājumu veikšanas pienākumus Luksemburgas Lielhercogistes Finanšu ministrijas Centrālajai maksājumu struktūrvienībai un finanšu kontroles pienākumus Finanšu ministrijas Finanšu kontroles struktūrvienībai. Minētās institūcijas maksājumu iestādes pienākumus un funkcijas uzņemas, ievērojot Padomes Regulas (EK) 1260/1999 9 (o) pantu un 32. pantu un KIP nodaļu V.3. Attiecībā uz finanšu kontroles funkcijām, maksājumu institūciju tās darbā atbalsta Finanšu ministrijas Finanšu kontroles struktūrvienība. Minētā Iekšlietu ministrijas budžeta nodaļa darbojas kā kontaktiestāde, kas nodarbojas ar MI pārziņā esošajiem vispārējiem jautājumiem.

3. Saskaņā ar KIP, programmas administratīvās īstenošanas funkciju pildīšanai VI izveido koordinēšanas nodaļu (KN) (Centre de Recherche Public Henry Tudor (CRP HT), Luksemburga). Koordinēšanas nodaļas biroja atrašanās vieta: Technoport Schlassgoart , Luxembourg –Esch/Alzette. Papildus noteikumi attiecībā uz KN, VI un MI funkcijām un pienākumiem, kā arī pārvaldības un KN pakļautības nosacījumi ietverti KIP, KN nolikumā un UK nolikumā. Koordinēšanas nodaļas dažādi, funkcionāli nesaistīti darbinieki nodrošinās atbalstu VI, UK un MI, ja to skaits būs pietiekams šādu pienākumu veikšanai.

4. Pārstāvot dalībvalstis, uzraudzības komitejas pienākums būs apstiprināt VI/ MI finanšu vadības un kontroles struktūras, kā arī izveidot atbilstošus koordinēšanas mehānismus ar visām programmas finanšu līdzekļus izmantojošām valstīm saskaņā ar UK noteiktajām funkcijām un atbildību, ko paredz Padomes Regulas (EK) Nr. 1260/1999 35. pants un KIP ESPON 2006 programmas V.1 nodaļa. Konsultējoties ar VI un MI, dalībvalstis izveido finanšu vadības un kontroles struktūras un nosaka specifiskus pienākumus dažādām institūcijām, tādējādi nodrošinot atbalstu VI un MI, lai tās varētu īstenot KIP, koordinēt Kopienas līdzekļu un konkrēto valstu līdzfinansējuma efektīvu un pareizu izmantošanu, kā arī garantēt atbalsta līdzekļu izlietojumu saskaņā ar attiecīgajiem Kopienas noteikumiem un atbilstošas finanšu vadības principiem (detalizēti noteikumi paredzēti 5.daļā). Attiecībā uz konkrētiem pienākumiem un atbildību, VI/MI ir veto tiesības uzraudzības komitejā tajos gadījumos, kad VI/MI konstatē zināmas nepilnības dalībvalsts izveidotajās struktūrās, kas var noteikt ERAF līdzekļu piespiedu atmaksu no VI/MI, neskatoties uz to, ka atbalsta atmaksāšanas draudu sākotnējais cēlonis nav VI/MI kompetencē vai arī ir attiecīgās dalībvalsts kompetencē. Visā programmas īstenošanā tiek piemēroti Komisijas Regulas Nr. 438/01 noteikumi. UK darbības nolikums tiek izstrādāts kā atsevišķs dokuments.

5. Saskaņā ar Padomes Regulas (EK) Nr. 438/01 2. panta nosacījumiem, visas UK pārstāvētās dalībvalstis konsultē attiecīgās vadības un kontroles iestādes, lai nodrošinātu atbalstu VI un MI to funkciju pildīšanā. Atbalsts ietver administratīvo atbalstu VI/MI, kā arī dokumentu sagatavošanu programmas vadības, finanšu kontroles un audita vajadzībām attiecīgajā dalībvalstī. Izmaksas, kas veidojas attiecīgajā dalībvalstī, sniedzot administratīvo atbalstu, ko nodrošina valsts vai privātās institūcijas, sedz attiecīgā dalībvalsts, ja vien konkrētie izdevumi nav skaidri norādīti KIP Tehniskās palīdzības budžetā.

Administratīvais atbalsts sniedzams vadības, finanšu kontroles un audita jomā. (Detalizēti nosacījumi attiecībā uz izmaksām tiks paredzēti kopējos protokolos ar attiecīgajām sadarbības iestādēm, kas minētas 1.–3. pielikumā; Luksemburgas iestādes uzņemas atbildību par sazināšanos ar attiecīgajām iestādēm). Svarīgākie veicamie uzdevumi augšminētajās atbalsta jomās šī Līguma ietvaros ir šādi:

a) dalībvalsts atbalsts VI sniedzams un dalībvalsts un VI sadarbība vadības jomā veidojama šādos gadījumos (nodrošina UK pārstāvētās organizācijas, kas iekļautas 1.pielikumā): precizējot attiecīgās valsts pasākumu īstenošanas shēmas (skatīt 3. daļas 3. punktu), līdzekļu piespiedu atmaksas gadījumos pārbaudot/pieprasot garantijas, kuras nespēj pildīt vadošais pieteikuma iesniedzējs (skatīt 7. daļas 1. punktu), kā arī veicot nepieciešamos pasākumus (skatīt 10. daļas 3. punktu), lai pieprasītu garantijas (skatīt 10.daļas 4.punktu), vai uzsākot tiesas procesus.

b) dalībvalsts atbalsts MI sniedzams un dalībvalsts un MI sadarbība projektu finanšu kontroles jomā veidojama, lai pārbaudītu projektu vadošo partneru rēķinus saskaņā ar šī līguma 6. daļas noteikumiem. Atbalstu sniedz 2.pielikumā norādītās dalībvalstu finanšu kontroles iestādes.

c) dalībvalsts atbalsts MI sniedzams un dalībvalsts un MI sadarbība audita jomā veidojama saskaņā ar 9. daļas 1. punkta nosacījumiem. MI (sadarbībā ar audita iestādi Luksemburgā) darbojas kā iniciators, lai izveidotu dalībvalstu atbildīgo audita iestāžu tīklu (norādītas 3.pielikumā).

6. Saskaņā ar Padomes Regulu (EK) Nr. 1260/1999, minēto iestāžu pienākumi un funkcijas noteikti KIP V. nodaļā. Detalizētāki un precīzāki noteikumi par UK, VI un MI veicamajiem uzdevumiem, tiesībām un pienākumiem izklāstīti šajā dokumentā.

2. Dalībvalstu un ES nodrošinātā finansējuma vienota administrēšana

1. MI administrē gan dalībvalstu, gan ES nodrošināto finansējumu, šī procesa pārvaldībā sadarbojoties ar VI. Katru gadu līdz februāra beigām (vai ārkārtas gadījumos, kad tas nav iespējams,– vēlākais vienu mēnesi pēc valsts budžeta apstiprināšanas) dalībvalstis pārskaita savu programmas līdzfinansējuma daļu par nākamo gadu saskaņā ar uzraudzības komitejā apstiprinātu finanšu plānu un ievērojot programmas papildinājuma nosacījumus (skatīt tālāk).

2. Dalībvalstu maksājumi līdzfinansējuma nodrošināšanai no struktūrfondiem atbalstītajiem projektiem tiek pārskaitīti MI; maksājumi tiks uzkrāti atsevišķā eiro (€) kontā (trasta konts), un MI tos administrēs atsevišķi kā trasta līdzekļus, kuru pārvaldība pilnībā uzticēta minētajai iestādei.

3. Ienākumi no procentiem, kas nopelnīti, izmantojot valstu nodrošināto līdzfinansējumu, izlietojami saskaņā ar UK lēmumiem, ievērojot tos pašus noteikumus, kas attiecas uz ERAF līdzekļiem.

3. Vadība

1. Neierobežojot Padomes Regulas (EK) Nr. 1260/1999 8.panta 3. punktu, VI koordinē programmas īstenošanas un vadības efektivitāti un pareizību visās dalībvalstīs. VI, saskaņojot darbību ar dalībvalstu delegācijām UK , izmanto attiecīgo valsts iestāžu sniegto administratīvo atbalstu (skatīt sarakstu 1.pielikumā) to vadības uzdevumu izpildē, kas attiecas uz programmas īstenošanu. Gadījumos, kad UK pārstāvji deleģē administratīvā atbalsta funkcijas citām valsts struktūrām, kas iesaistījušās ESPON īstenošanā, jāizvairās no augšminēto iestāžu pienākumu pārklāšanās un traucējumiem. VI uzdevumi ir šādi:

a) saskaņā ar Kopienas iniciatīvas programmas INTERREG III vadlīniju 30. punktu organizēt UK pieņemamo lēmumu sagatavošanu, īpaši apstiprinot un izskatot finansēšanai pieteiktos pasākumus, kā arī sniedzot to sākotnējo novērtējumu vai koordinējot augšminētos uzdevumus;

b) izveidot sistēmu ticamas un drošas finanšu un statistiskās informācijas apkopošanai par programmas īstenošanu, lai nodrošinātu 36. pantā minētos monitoringa rādītājus, kas nepieciešami novērtējuma veikšanai saskaņā ar 42. pantu un 43. pantu (Padomes Regula (EK) Nr. 1260/1999), kā arī sistēmu šo datu nosūtīšanai un tālāknodošanai, pēc iespējas vairāk izmantojot informācijas tehnoloģiju risinājumus, lai veiktu datu apmaiņu ar Eiropas Komisiju saskaņā ar Padomes Regulas (EK) 1260/1999 18. panta 3. punkta e) apakšpunkta nosacījumiem;

c) saskaņā ar 34.panta 3.punkta nosacījumiem veikt pielāgojumus programmas papildinājumā un nodrošināt tā īstenošanu 18. panta 3. punkta izpratnē, neierobežojot Padomes Regulas (EK) Nr. 1260/1999 35. panta nosacījumus;

d) izstrādāt un pēc apstiprināšanas UK iesniegt Eiropas Komisijai ikgadējos ziņojumus un nobeiguma ziņojumu (Padomes Regulas (EK) Nr. 1260/1999 37. pants);

e) sadarbībā ar Eiropas Komisiju un dalībvalstīm organizēt starpposma novērtējumu saskaņā ar Padomes Regulas (EK) Nr. 1260/1999 42. panta nosacījumiem;

f) koordinēt atbilstības nodrošināšanu ar Kopienas politiku saskaņā ar Padomes Regulas (EK) Nr. 1260/1999 12. pantu un 34. panta 1. punkta g) apakšpunktu;

g) koordinēt atbilstības nodrošināšanu ar noteikumiem un pienākumiem, kas attiecas uz informēšanas un publicitātes pasākumiem, ko paredz Padomes Regulas (EK) Nr. 1260/1999 46. pants un Komisijas Regula (EK) Nr. 1159/2000.

2. Neierobežojot šī Līguma noteikumus, VI darbojas, pilnībā ievērojot Luksemburgas Lielhercogistes institucionālo, tiesību un finanšu sistēmu (Padomes Regulas (EK) Nr. 1260/1999 34. panta 1. punkta otrā daļa), kā arī dalībvalstu tiesību sistēmas.

3. Ievērojot šī Līguma 3. daļas 1.punkta g) apakšpunktu, VI ieceļ vienu vai vairākus KN pārstāvjus kā atbildīgos par informācijas un publicitātes pasākumiem un ziņo Eiropas Komisijai par ieceltajiem pienākumu pildītājiem. VI izmanto attiecīgo valstu iestāžu (skatīt 1. pielikumā norādīto sarakstu) sniegto administratīvo atbalstu, lai nodrošinātu visu nepieciešamo informācijas un publicitātes pasākumu efektīvu īstenošanu saskaņā ar Komisijas Regulu (EK) Nr. 1159/2000, kā arī lai sadarbotos ar Eiropas Komisiju.

4. Saskaņā ar Komisijas Regulas (EK) Nr. 438/2001 7. panta 3. punktu VI izmantos attiecīgo valstu iestāžu (skatīt 1. pielikumā norādīto sarakstu) nodrošināto administratīvo atbalstu, lai pārliecinātos, ka visās dalībvalstīs ir noteiktas procedūras, kas garantē to, ka dokumenti, kas attiecas uz konkrētiem saskaņā ar attiecīgo palīdzību veiktiem izdevumiem un maksājumiem un ir vajadzīgi pietiekamu audita liecību nodrošināšanai, tiek glabāti saskaņā ar Regulas (EK) Nr. 1260/1999 38. panta 6. punktu un Komisijas Regulai (EK) Nr. 438/2001 pievienoto I pielikumu. Turklāt VI arī pārbauda, vai ir pierakstīts tās iestādes nosaukums, kura glabā augšminētos dokumentus, un tās atrašanās vieta un vai šie dokumenti inspekcijas vajadzībām ir darīti pieejami personām un iestādēm, kuras parasti būtu tiesīgas pārbaudīt šādus dokumentus saskaņā ar Komisijas Regulas (EK) Nr. 438/2001 7. panta 3. punkta c) apakšpunktu. Parasti saskaņā ar subsīdiju līguma nosacījumiem, vadošais partneris ir atbildīgs par minēto dokumentu glabāšanu (skatīt 6. daļu). Finanšu kontroles un audita liecības un procedūras detalizētāk atrunātas šī līguma 8. un 9.daļā.

5. Saskaņā ar Komisijas Regulas (EK) Nr. 438/2001 9. panta 3. un 4. punktu, VI nodrošina, lai MI būtu informēta par procedūrām, kuras veikusi vadības iestāde (kā to paredz šī līguma 3. daļas 2.punkts), lai pārbaudītu preču piegādi un pakalpojumu sniegšanu, uz ko attiecas līdzfinansējums, un deklarēto izdevumu patiesumu, lai nodrošinātu atbilstību spēkā esošajiem noteikumiem un arī nepieciešamās audita liecības, tādējādi garantējot to, ka pirms ziņojuma par izdevumiem nodošanas Komisijai ir ņemtas vērā pietiekamas un efektīvas kontroles sistēmas un audita liecības.

6. KN nodrošina atbalstu VI šo uzdevumu izpildē. Detalizēti pienākumu deleģēšanas noteikumi atrunāti koordinēšanas nodaļas nolikumā.

4. Maksājumi starp ES un maksājumu iestādi

1. Pēc tam, kad VI ar KN atbalstu izstrādājusi finanšu aprēķinu un UK to apstiprinājusi, MI iesniedz pieteikumu par finansējuma saņemšanu no struktūrfondiem, kā arī ne vēlāk kā līdz katra gada februāra beigām Eiropas Komisijai nosūta precizētās maksājumu pieteikumu prognozes par attiecīgo un nākamo gadu.

2. Saskaņā ar Padomes Regulas (EK) Nr. 1260/1999 32. panta 6. punktu izsniedz apstiprinājumus un deklarācijas, kas norādītas minētās Regulas 32. panta 3. un 4. punktā. Šajos pantos minētos apstiprinājumus pārskatiem par starpposma un nobeiguma maksājumiem MI sastāda saskaņā ar Komisijas Regulas (EK) Nr. 438/2001 II. pielikumā norādīto standartformu. Ievērojot augšminētās regulas 9.panta 1. punktu, ar šī uzdevuma izpildi nodarbojas struktūrvienība finanšu kontroles iestādē (skatīt 2. pielikumu). Šīs pašas regulas 15. pantā minētās pārbaudes veikšanas pienākumus uzņemas audita iestāde (skatīt 3. pielikumu), kas ir funkcionāli neatkarīga no MI.

3. Pirms attiecīgā pārskata par maksājumiem apstiprināšanas, MI pārbauda, vai VI ir izpildījusi Padomes Regulas (EK) Nr. 1260/1999 noteikumus, īpaši 38. panta 1.punkta c) un e) apakšpunktu un 32. panta 3. punktu un 4.punkta a) un b) apakšpunktu, kā arī ievērojusi Komisijas lēmuma nosacījumus saskaņā ar minētās regulas 28. panta noteikumiem, un pārliecinās, vai pārskatā par maksājumiem iekļauti tikai tādi izdevumi,

a) kas Komisijas Regulas (EK) Nr. 1685/2000 pielikuma 1.normas 1.2, 1.3. un 2.punkta izpratnē ir uzskatāmi par faktiskiem maksājumiem, kas veikti augšminētajā lēmumā noteiktajā atbilstības periodā un kurus veikuši finansējuma gala saņēmēji un kurus apliecina nomaksāti (kvitēti) rēķini vai citi grāmatvedības dokumenti ar līdzvērtīgu apstiprinošu nozīmi;

b) kas radušies, īstenojot uzdevumus un pasākumus, kuri apstiprināti finansējuma piešķiršanai konkrētajā palīdzības programmā, ievērojot tajā noteiktos atlases kritērijus un procedūras, kā arī Kopienas noteikumus visā maksājumu veikšanas periodā;

c) kas radušies, īstenojot pasākumus, kuriem valsts atbalsts nepieciešamības gadījumā apstiprināts Komisijā.

4. Saskaņā ar Komisijas Regulas (EK) Nr. 438/2001 15.pantu personai vai departamentam, kas pilnvarots sagatavot deklarācijas, beidzoties palīdzībai, kas paredzēta Regulas (EK) Nr. 1260/1999 38. panta 1. punkta f) apakšpunktā, maksājumu iestāde sniegs visu nepieciešamo informāciju un nodrošinās piekļuvi grāmatvedības datiem un papildu pierādījumiem, kas vajadzīgi deklarācijas sagatavošanai. Informācijai par izdevumiem, ko sedz pati Luksemburgas Lielhercogiste, piemēram, finansējums KN attiecīgu darbību veikšanai KIP īstenošanā, netiek piemērots iepriekš minētais piekļuves nodrošināšanas nosacījums.

5. Saskaņā ar Padomes Regulas (EK) Nr. 1260/1999 32.panta 1.punktu Eiropas Komisija no struktūrfondiem piešķirto līdzekļu maksājumus pārskaita MI; maksājumi tiek uzkrāti atsevišķā eiro (€) kontā (trasta kontā), un šo finansējumu MI administrē atsevišķi kā trasta līdzekļus.

6. Nopelnītie procentu ienākumi no ERAF līdzekļiem izlietojami programmas pasākumu vajadzībām saskaņā ar UK lēmumiem, ievērojot tādus pašus noteikumus kā valstu līdzfinansējuma gadījumos.

7. Saskaņā ar Komisijas Regulas (EK) Nr. 438/2001 8.pantu MI kārto uzskaiti par summām, kas atgūstamas saskaņā ar jau veiktiem Kopienas palīdzības maksājumiem, un nodrošina summu atmaksu bez nepamatotiem kavējumiem, izmantojot attiecīgo valsts iestāžu (skatīt 1.pielikumā norādīto sarakstu) sniegto administratīvo atbalstu.

8. Pielikumā, kas pievienots saskaņā ar Komisijas Regulas (EK) Nr. 1681/94 nosacījumiem izstrādātajā ceturtā ceturkšņa ziņojumam par atmaksājamiem līdzekļiem, MI Komisijai ik gadu nosūta pārskatu par summām, kas līdz attiecīgai dienai joprojām nav atmaksātas, klasificējot tās pa gadiem, kad sākta atgūšanas procedūra.

5. ES, uzraudzības komitejas, vadošās iestādes un maksājumu iestādes ziņojumu sagatavošanas pienākumi un audita tiesības

1. Vadošā iestāde pēc atbilstošas informācijas sagatavošanas maksājumu iestādē vienreiz gadā līdz nākamā gada 31.jūlijam dalībvalstīm iesniedz apstiprinošus materiālus par līdzekļu izlietojumu.

2. MI, darbojoties VI uzdevumā, saskaņā ar ES pieņemto paraugu dalībvalstu vajadzībām sagatavo pārskatus par projektiem piešķirtajiem līdzekļiem un veiktajiem maksājumiem. Pēc īpaša dalībvalsts pieprasījuma, kas pamatots ar dalībvalsts likumu specifiskajiem nosacījumiem, MI sagatavo ziņojumus, kurā atspoguļota informācija par projektiem un izdevumiem, kas attiecināmi uz konkrēto dalībvalsti.

3. MI pārliecinās par līdzekļu izmantošanu, galvenokārt balstoties tikai uz projektu īstenošanas ziņojumiem (sagatavo vadošais partneris un VI uzdevumā pārbauda KN) un auditētajiem rēķiniem, ko uzrāda līdzekļu gala saņēmējs saskaņā ar 2000.gada 28.aprīļa Komisijas Paziņojumā dalībvalstīm Nr.31 iekļauto 4. un 5. teikumu, kurā noteiktas Kopienas iniciatīvas programmas INTERREG III vadlīnijas, un šī līguma 6. daļas 2. un 5. punkta noteikumiem. Ja pastāv aizdomas par nepilnībām, MI nekavējoties informē iesaistīto dalībvalstu pārstāvjus uzraudzības komitejā.

4. Atbildīgajām ES un dalībvalstu audita iestādes savas kompetences ietvaros ir tiesības pārbaudīt, vai vadošais partneris atbilstoši izmanto piešķirtos līdzekļus (skatīt šī līguma 9. daļu). Attiecīgā dalībvalsts un MI sniedz abpusēju atbalstu un finansējuma audita veikšanas gaitā nodrošina informāciju viena otrai.

5. Kompetentajām ES audita iestādēm – Galvenajai finanšu inspekcijai (Inspection Général des Finances – (IGF)) Luksemburgā un iesaistītajai partneriestādei attiecīgajā dalībvalstī (skatīt 3.pielikumu) – ir tiesības par saviem līdzekļiem auditēt finansējuma izlietojumu saskaņā ar maksājumu iestādes telpās panāktu iepriekšējo vienošanos vai deleģēt šo uzdevumu pārstāvošai iestādei vai organizācijai. VI, MI, vadošo partneru un projekta partneru pienākums ir nodrošināt visus nepieciešamos dokumentus un informāciju, kā arī piekļuvi telpām un teritorijām, kur tiek veikta uzņēmējdarbība. Audits aptver tikai tos līdzekļus, kas attiecas uz Kopienas iniciatīvu programmas “ESPON 2006” īstenošanu, nevis jebkādiem citiem MI finanšu vai ekonomiskās pārvaldības procesiem.

6. VI raugās, lai ar vadošo partneri noslēgtajā subsīdiju līgumā tiktu atrunātas audita iestāžu pārbaužu veikšanas tiesības.

6. Līgums ar līdzekļu gala saņēmējiem un maksājumi gala saņēmējiem

1. Pamatojoties uz UK pieņemot lēmumu, VI savā vārdā noslēdz subsīdiju līgumu ar vadošo partneri. VI šim nolūkam izmanto UK apstiprinātu subsīdiju parauglīgumu (skatīt 4. pielikumu). Noslēdzot subsīdiju līgumu, VI nedrīkst pārkāpt UK izstrādātos noteikumus un pieņemtos lēmumus.

2. Pirms VI noslēdz subsīdiju līgumu, MI, izmantojot attiecīgo valsts institūciju administratīvo atbalstu (skatīt 1.pielikumā norādīto sarakstu), pārliecinās par to, vai vadošais partneris atbilst visiem juridiskajiem un organizatoriskajiem nosacījumiem, lai īstenotu projektus. MI īpašu uzmanību pievērš faktam, vai vadošais izmanto atsevišķu grāmatvedības sistēmu vai atbilstošas grāmatvedības metodes darbībām un transakcijām, kas attiecas uz palīdzības finansējumu. Ja MI kontroles rezultātā atklāj nepilnības un konstatē neatbilstību prasībām, tā nekavējoties ar VI starpniecību informē UK.

3. Izņemot pirmo maksājumu, vadošais partneris turpmākos maksājumus var pieprasīt, tikai sniedzot apliecinošu informāciju par panākto progresu projekta īstenošanā saskaņā ar projekta rīcības plāna aprakstu un subsīdiju līgumu, kuri uzskatāmi par apstiprinātā projekta pieteikuma neatņemamu sastāvdaļu. Tādējādi vadošā partnera pienākums, ievērojot KIP noteikumus, ir iesniegt panāktā progresa ziņojumus KN, kuru paraugi pievienoti subsīdiju līguma pielikumā un tiks ievietoti arī attiecīgās programmas mājaslapā. Pirmais progresa ziņojums (skatīt 5.punktu) iesniedzams KN ne vēlāk kā sešus mēnešus pēc projekta īstenošanas uzsākšanas saskaņā ar apstiprināto darbības plānu. Turpmākie progresa ziņojumi iesniedzami ik pēc sešiem mēnešiem saskaņā ar subsīdiju līguma noteikumiem. Maksājumu pieprasījumi apstiprināmi finanšu kontroles iestādēs, ievērojot šī līguma 8. daļu.

4. Maksājumiem tiek piemērota procedūra, kas līdzīga Padomes Regulas (EK) Nr. 1260/1999 32. pantā paredzētajai:

– sākotnējais maksājums uz konta, nepārsniedzot 5% no kopējā piešķirto līdzekļu apjoma;

– starpposma maksājumi, kas paredzēti faktisko izmaksu segšanai, kurus saskaņā ar noteiktu procedūru pārskaita ik pēc sešiem mēnešiem pēc apvienoto progresa ziņojumu saņemšanas;

– ikgadējo ieviešanas ziņojumu iesniegšana;

– pārbaude, vai kopējais sākotnējo un starpposma maksājumu apjoms nepārsniedz 95% no visa piešķirto līdzekļu apjoma;

– sešu mēnešu laikā pēc projekta īstenošanas tiek izmaksāta 5% starpība pēc noslēguma ziņojuma un apstiprināta pārskata par izdevumiem saņemšanas un pārbaudes veikšanas, lai noteiktu atbilstību attiecīgajiem noteikumiem.

5. Progresa ziņojumos un noslēguma ziņojumā ietilpst pārskats par veiktajām darbībām un finanšu pārskats, kurā iekļautajā tabulā norādīts pārskata periods un izdevumi, kas attiecas uz konkrētajām budžeta pozīcijām. Finanšu pārskatam pievienojams finanšu kontroles iestādes atzīts (skatīt šī līguma 8.daļu) finanšu kontroles apstiprinājums (angļu valodā), kuru parakstījis auditos, grāmatvedis vai finanšu vadītājs, kas nav iesaistīts projekta darbībās. Apstiprinājuma pārbaudes procesā finanšu kontroles iestādei administratīvo atbalstu sniedz attiecīgās valsts iestādes. MI pienākums ir nodrošināt ziņojuma paraugus, kā arī apstiprinājuma paraugu. Detalizētāki noteikumi tiek atrunāti subsīdiju līgumā ar vadošo partneri.

6. KN finanšu speciālists veic ziņojumu sākotnējo pārbaudi un pārliecinās par projekta atbilstošu īstenošanu saskaņā ar UK apstiprināto projekta aprakstu. KN finanšu speciālists var arī pārbaudīt, vai kontroles pasākumi ir veikti un apstiprināti atbilstoši (ievērojot šī līguma 8. daļas noteikumus) un vai pieprasītie maksājumi atbilst apstiprinātā projekta pieteikuma budžetam. Maksājumi veicami tikai gadījumā, ja, ievērojot 2. un 5. punktu, vadošā partnera sagatavotais progresa ziņojums apliecina panākto progresu projekta īstenošanā saskaņā ar apstiprināto darbības plānu un ja iesniegti regulārie progresa ziņojumi, kurus pārbaudījis un apstiprinājis auditors. Finanšu speciālists var veikt arī atbilstības pārbaudes, kurās tiek salīdzināti projekta izdevumi ar attiecīgajiem projekta pasākumiem. Ievērojot Komisijas Regulu (EK) Nr. 438/2001, it īpaši tās 4. pantu, MI sagatavos KN saistošas vadlīnijas finanšu ziņojumu pārbaudei.

Turklāt, pirms līdzekļu izmaksas KN finanšu speciālists pārliecinās, vai ir nodrošināta pietiekama atbilstība nosacījumiem, kas ietverti subsīdiju līgumā, šajā līgumā, KIP, Saprašanās memorandā, attiecīgajās ES Regulās un dalībvalstu iestāžu lēmumos. Pēc visu pārbaužu veikšanas finanšu speciālists informē VI, ka maksājumus vadošajam partnerim var veikt, ievērojot subsīdiju līguma noteikumus.

7. Saskaņā ar Padomes Regulas (EK) Nr. 1260/1999 32. panta 1. punkta noteikumiem, MI nodrošina to, lai līdzekļu gala saņēmēji pēc iespējas ātrāk saņem sev pienākošos struktūrfondu un valstu līdzfinansējuma maksājumus saskaņā ar noteikto darba procesu.

8. MI nodrošina to, ka dalībvalstu institūcijas, ja tās piedalās līdzekļu pārvaldībā un programmas īstenošanā (skatīt šī līguma 1. daļas 5.punktu), izmanto atsevišķu grāmatvedības sistēmu vai atbilstošas grāmatvedības metodes visu darbību uzskatē, kas attiecas uz piešķirot atbalstu.

9. Subsīdiju līgumi tiek noslēgti, atbalsta finansējumu piešķirot eiro (€). Līdzekļi tiek izmaksāti eiro (€) uz vadošā partnera norādīto kontu.

10. Valūtas maiņas kursa risku uzņemas vadošais partneris.

11. Atbalsts no Kopienu iniciatīvas programmas “ESPON 2006” līdzekļiem tiek piešķirts vadošajam partnerim tikai un vienīgi tā projekta vajadzībām, kas aprakstīts UK apstiprinātajā projekta pieteikumā, kas ir subsīdiju līguma neatņemama sastāvdaļa.

7. Nodrošinājums un garantijas, nepilnības un atbildība

1. Lai samazinātu neatgūstamo Kopienas līdzekļu risku, kuri zaudēti atbalsta gala saņēmēju izraisīto nepilnību vai nevērības dēļ, pirms subsīdiju līguma noslēgšanas nepieciešams atrunāt, ka gadījumos, kad vadošais partneris ir juridiska persona vai struktūra, kas pakļauta privāttiesībām, vai fiziska persona, MI no vadošā partnera pieprasa attiecīgu nodrošinājumu (bankas garantiju, kas saņemama pēc pirmā pieprasījuma, vai līdzvērtīgu nodrošinājumu), kura apjoms ir vienāds ar subsīdiju līgumā norādīto projektam piešķiramo atbalsta finansējuma apjomu.

2. Ja vadošais partneris ir valsts institūcija, par attiecīgās iestādes atbildības nosacījumiem vienojas uzraudzības komitejā, dalībvalsts pārstāvjiem klāt esot, lai panāktu 1.punktā minētajai garantijai līdzvērtīgu nodrošinājumu.

3. Saskaņā ar Padomes Regulas (EK) Nr. 1260/1999 38. panta 4. punktu Komisija var izteikt apsvērumus, jo īpaši attiecībā uz atklāto pārkāpumu finansiālajām sekām. Šiem apsvērumiem, ja nepieciešams, pievieno lūgumu veikt korektīvus pasākumus, lai labotu konstatētās nepilnības vadībā un novērstu atklātos pārkāpumus, kas vēl nav izlaboti. Šādos gadījumos var tikt konstatēti nosacījumi, kas paredz Kopienas līdzekļu atgūšanu no palīdzības gala saņēmēja, un šo līdzekļu atmaksai tiek izmantoti projekta partneru attiecīgās dalībvalsts finanšu resursi, kuru apjoms atbilst konstatētajās nepilnībās iesaistīto līdzekļu daudzumam konkrētajā dalībvalstī, atbilstošos gadījumos summai pieskaitot arī uzkrājuma procentus par attiecīgo periodu. Ievērojot Komisijas Darba dokumentu1, dalībvalstis ir atbildīgas par tās teritorijā veiktajām vadošo partneru darbībām pat gadījumos, kad kļūdas vai nepilnības pieļāvuši projekta partneri no citām dalībvalstīm.

8. Palīdzības gala saņēmēju finanšu kontrole

1. Saskaņā ar šī līguma 6.daļas 5.punkta noteikumiem MI izdos apstiprinājumus par atbilstošu finansējuma izlietojumu. Apstiprinājumi balstās uz divu veidu informāciju, ar kuras palīdzību tiek pārbaudīts:

a) piešķirto palīdzības līdzekļu izlietojums mērķiem, kas noteikti subsīdiju līgumā un projekta plānā;

b) panāktais progress projektā, par kuru atbildību uzņēmies vadošais partneris.

Apakšpunktā a) noteiktā informācija ir tieši pieejama MI, savukārt, ziņas par apakšpunktu b) nodrošina VI ar KN atbalstu, saskaņā ar UK prasībām izvērtējot sagatavotos progresa ziņojumus.

2. Ievērojot to, ka Luksemburgas Lielhercogistei nav tiesību veikt Kopienas līdzekļu atbilstoša izlietojuma pārbaudes citu dalībvalstu teritorijās, dalībvalstis apņemas īstenot visus nepieciešamos pasākumus, lai pārbaudītu līdzekļu izmantojumu to teritorijā un novērstu potenciālās vai labotu esošās nepilnības. Tādējādi MI sadarbībā ar dalībvalstu pārstāvjiem UK izveido attiecīgo valstu finanšu kontroles iestāžu tīklu, kas tiek nostiprināts īpašā protokolā starp MI un augšminētajām iestādēm (skatīt 2.pielikumu).

3. Attiecīgo valsts kontroles iestāžu pienākums ir uzņemties atbildību par vadošā partnera rēķinu finanšu kontroli saskaņā ar šī līguma 8.daļas 1.punkta a)apakšpunktu. MI visām 2.pielikumā norādītajām finanšu kontroles iestādēm nodrošina standartizētu paraugu, lai tās varētu apstiprināt palīdzības līdzekļu atbilstošu izlietojumu. Saskaņā ar šī līguma 6.daļas 5.punkta nosacījumiem attiecīgās dalībvalsts kontroles iestāde var pilnvarot citus auditorus vadošā partnera (ja nepieciešams–arī citu partneru dalībvalstī) finanšu pārbaudes veikšanai. Dalībvalsts kontroles iestādes uzdevums ir nekavējoties informēt MI par pilnvaroto organizāciju, kurai deleģēti finanšu kontroles pienākumi. Kopumā ESPON 2006 programma neparedz finanšu kontroles izmaksu segšanu. Detalizētus noteikumus paredz 2.punktā minētais protokols.

4. MI pienākums ir pārliecināties, ka KN un dalībvalstu iestādes nodrošina no palīdzības līdzekļiem finansēto darbību un pasākumu atbilstību, veicot iekšējo kontroli, lai pārbaudītu, vai tiek ievēroti pamatotas finanšu vadības principi un pildītas nepieciešamās funkcijas un uzdevumi pēc apsvērumu un pieprasījumu saņemšanas no Komisijas par korektīvu pasākumu veikšanu (apsvērumi un pieprasījumi sagatavoti saskaņā ar Padomes Regulas (EK) Nr. 1260/1999 38.panta 4.punktu pirmo daļu) vai pēc ieteikumu saņemšanas par pielāgojumu veikšanu (sagatavoti saskaņā ar Padomes Regulas (EK) Nr. 1260/1999 34.panta 2.punktu). Veicot šo uzdevumu, MI rīkojas saskaņā ar augšminēto regulas pantu un šī līguma noteikumiem.

9. Palīdzības gala saņēmēju audits

1. Ievērojot Padomes Regulas (EK) Nr. 1260/1999 nosacījumus, vispārējo atbildību par audita ierosināšanu uzņemas neatkarīga audita iestāde (Inspection générale des finances – IGF) tajā dalībvalstī, kur atrodas VI/MI, sadarbībā ar valstu audita iestādēm, kurām attiecīgā dalībvalsts uzticējusi veikt noteiktos pienākumus (skatīt 3.pielikumu). MI, izmantojot Luksemburgas audita iestādes IGF atbalstu un saskaņojot savas darbības ar dalībvalstu pārstāvjiem UK, izveido valstu audita iestāžu tīklu, kas tiek nostiprināts īpašā protokolā, ko paraksta MI un augšminētās iestādes. Turklāt, MI pienākums ir arī nodrošināt standartizētu audita apstiprinājuma paraugu. KN nepieciešamības gadījumā var sniegt savu atbalstu audita procesā.

2. Auditējamo projektu (darbību pārbaudei to īstenošanas vietā) atlasi, audita procedūras metodi, finanšu audita plāna izstrādi nosaka, ievērojot Eiropas Komisijas audita vadlīnijas un saskaņojot ar šīs daļas 1.punktā minētā audita iestāžu tīkla pārstāvjiem. Augšminētajos audita procesos pārbaudāmi vismaz 5% no ESPON izdevumiem, kas veidojušies visā programmas darbības laikā. Dalībvalstu audita iestādes ir atbildīgas par revīzijas procesa īstenošanu attiecīgajā valstī, ievērojot 1.punktā minētajā protokolā paredzētos nosacījumus. Audita laikā, ko veic darbību īstenošanas vietā piedaloties projekta vadītājiem, tiek pārbaudīta palīdzības gala saņēmēju vadības un kontroles sistēmas praktiskā izmantošana un procesi.

3. Saskaņā ar Komisijas Regulas (EK) Nr. 438/2001 IV nodaļas nosacījumiem izlases veida pārbaudes veicamas vienmērīgi ar noteiktu laika intervālu starp tām visā periodā no 2003. līdz 2008. gadam. Pārbaudāmie projekti tiek atlasīti, balstoties uz riska analīzes rezultātiem. Izmantojot riska punktu sistēmu, cita starpā tiks ņemts vērā šādas riska kategorijas:

– projekta budžets (maza, vidēja, liela apjoma);

– projekta partneru skaits;

– tādu valstu, kas nav ES dalībvalstis, iesaistīšanās;

– privāttiesībām pakļautie vadošie partneri.

4. Valsts audita iestādes garantē to, ka visiem no ESPON 2006 programmas līdzfinansētajiem projektiem tiek pārbaudīta atbilstība programmā paredzētajiem līdzekļu saņemšanas nosacījumiem, kā arī nodrošināti precīzi finanšu pārskati par izdevumiem, kas atbilst palīdzības piešķiršanas noteikumiem. Turklāt, minētās iestādes arī pārliecinās par palīdzības līdzekļu drošību gan no faktiskā, gan grāmatvedības viedokļa raugoties.

5. Attiecīgo vadošo partneru un citu projekta partneru pienākums ir nodrošināt piekļuvi visai atbilstošajai informācijai par projektu, kas tiek līdzfinansēts no ERAF līdzekļiem. Gadījumos, kad auditēšanas pienākums tiek uzticēts struktūrvienībai privātā uzņēmumā, kas pats tiek auditēts, jānodrošina atbilstoša audita un konsultāciju funkciju atdalīšana (ja nepieciešams – arī atdalīšana organizācijas un funkcionālajā līmenī). Šie pasākumi attiecas uz darbiniekiem, kas veic pārbaudes un audita uzdevumus, lai nodalītu tos no konsultējošo pakalpojumu sniedzējiem, īpaši projektu vadības līmenī, tādējādi samazinot interešu konfliktu un nepilnību rašanās risku.

10. Maksājumu samazināšana un atgūšana no palīdzības gala saņēmējiem

1. Ja MI vai jebkuras dalībvalsts rīcībā nonāk informācija par nepilnībām, it īpaši saistībā ar vadošā partnera neatbilstošām darbībām attiecībā uz projekta īstenošanu, un šo ziņu patiesums tiek apstiprināts, tā nekavējoties informē VI. Pēc tam, kad VI saņēmusi ziņas par nepilnībām, it īpaši saistībā ar vadošā partnera neatbilstošām attiecībā uz projekta īstenošanu, tā bez kavēšanās informē UK un tās dalībvalstis, kurām saistībā ar KIP un šī līguma nosacījumiem jāuzņemas atbildība maksājumu samazināšanas un atmaksas gadījumos.

2. VI pēc informācijas nodošanas atbildīgo dalībvalstu pārstāvjiem UK pieņem lēmumu attiecībā uz maksājumu samazināšanu un atgūšanu. VI/MI, saskaņojot savas darbības ar maksājumu samazināšanas un atgūšanas gadījumā iesaistīto dalībvalstu pārstāvjiem UK, īsteno nepieciešamos pasākumus attiecībā uz vadošo partneri.

3. Ja vadošais partneris noteiktajā laikā neizpilda VI/MI izvirzītās prasības attiecībā uz maksājumu samazināšanu un atgūšana, piešķirtie līdzekļi tiek uzskatīti par zaudētiem. VI par šo faktu nekavējoties informē UK un konkrētajā procesā iesaistītās dalībvalstis.

4. Līdzekļu zaudējuma gadījumā VI/MI ir tiesības izmantot attiecīgo finanšu nodrošinājumu. VI ārpus tās darbības valsts nevēršas tiesā ar līdzekļu atmaksas prasību pret vadošajiem partneriem. Ja šādi pasākumi nepieciešami tad ar finansējuma atmaksas prasību pret vadošo partneri vēršas attiecīgā dalībvalsts.

5. Ja atbildīgās dalībvalsts pārstāvji UK pieņem lēmumu par maksājumu samazināšanas un atmaksas pasākumu nepiemērošanu, VI/MI ir atbrīvota no jebkādām Eiropas Komisijas, iesaistīto un pārējo dalībvalstu, kā arī jebkuras trešās puses tiesiskajām prasībām.

6. Līdzekļu atmaksas prasību gadījumos VI pienākums ir nodot iesaistītajām dalībvalstīm visas no subsīdiju līguma izrietošās tiesības, kā arī nodrošināt visu tiesas procesā nepieciešamo informāciju.

7. Steidzamos gadījumos VI var uzsākt tiesvedības procesus, lai garantētu līdzekļu atmaksas prasību drošu izpildi (piemēram, izmantojot pagaidu izpildrakstu), kas tiek saskaņots ar iesaistīto dalībvalstu pārstāvjiem UK; par šādiem risinājumiem nekavējoties tiek informēta UK.

8. Maksājumu iestādes saņemtās summas no atmaksātās palīdzības līdzekļiem vai nodrošinājuma finansējuma pārskaitāmas uz trasta kontu.

9. Ja VI/MI palīdzības līdzekļu atgūšanas procesā rodas izdevumi par juridiskiem pakalpojumiem, tos VI/MI atlīdzina attiecīgās dalībvalstis saskaņā ar finansējuma atmaksāšanas noteikumiem.

10. Ja VI/MI pārkāpj to pienākumus un noteikumus, kas paredzēti šajā līgumā, tas ņemams vērā līdzekļu atmaksas gadījumos, nosakot VI/MI atbilstošas soda sankcijas par iespējamo nevērību vai nepilnībām.

11. Nobeiguma noteikumi

1. Visi KIP un šajā līgumā minētie apstiprinājumi sastādāmi un saziņa starp dalībvalstīm, VI, MI, KN attiecībā uz šīs programmas vadību un īstenošanu organizējama angļu valodā.

2. Sadarbība starp UK pārstāvjiem, VI/MI un neatkarīgo finanšu kontroles un audita struktūru VI/MI dalībvalstī un attiecīgajām iestādēm katrā dalībvalstī (norādītas šī līguma 1., 2. un 3.pielikumā) uzskatāma par sine qua non2 nosacījumu, lai nodrošinātu visu no ERAF un valstu līdzekļiem finansēto komponentu pilnīgu vadību, finanšu kontroli un auditu.

3. Ja saistībā ar šo līgumu rodas domstarpības, līgumslēdzējas puses tās risina pārrunu ceļā.

4. Ja līgumslēdzējām pusēm pārrunu ceļā neizdodas panākt risinājumu, visas no šī līguma izrietošās domstarpības risināmas Luksemburgas pirmās instances tiesu iestādēs.

5. Šis līgums izpildāms un interpretējams saskaņā ar Luksemburgas Lielhercogistes likumiem.

6. Šo līgumu paraksta visu dalībvalstu valdību pārstāvji – Austrijas Republikas, Beļģijas Karalistes, Dānijas Karalistes, Somijas Republikas, Francijas Republikas, Vācijas Federatīvās Republikas, Grieķijas Republikas, Īrijas Republikas, Itālijas Republikas, Nīderlandes Karalistes, Luksemburgas Lielhercogistes, Portugāles Republikas, Spānijas Karalistes, Zviedrijas Karalistes, Lielbritānijas un Ziemeļīrijas Apvienotās Karalistes. Līgums sastādāms 15 eksemplāros, tas stājas spēkā pēc tam, kad to parakstījušas visas dalībvalstis, un darbojas visā KIP īstenošanas laikā līdz noslēguma ziņojuma sagatavošanai (ievērojot Padomes Regulas (EK) Nr. 1260/1999 37. pantu) un visas programmas izbeigšanai.

7. Grozījumi šajā līgumā izdarāmi tikai rakstveidā pēc dalībvalstu vienošanās.

8. Visu līguma eksemplāru saturs ir autentisks. Domstarpību gadījumā noteicošais teksts ir angļu valodā.

b) Projektu apstrāde

1. Subsīdiju līgums starp Vadošo iestādi un vadošo partneri (ietverts projekta un maksājumu plāns), pēc Uzraudzības komitejas lēmuma atbalstīt Transnacionālu projekta darba grupu skatīt 6. daļas 1. punktu.

2. Saskaņā ar maksājumu plānu vadošais partneris pieprasa pirmo maksājumu, kas sastāda 5% no projekta summas. Nākamais maksājums seko pēc projekta atskaites (aktivitāšu un finansiālās atskaites), ietverot nacionālās finanšu kontroles apstiprinājumu vai tās pārstāvētu un apstiprinātu auditoru, grāmatvedi, finanšu menedžeri, skatīt 6. daļas 3. punktu, (Luksemburgas finanšu kontroles struktūru modeļa apstiprinājuma standarta formu sagatavo Koordinēšanas nodaļa). Pēdējos 5% no projekta kopējās summas tiek izmaksātas, kad visas kontroles procedūras ir pabeigtas.

3. Koordinēšanas nodaļas finanšu menedžeris pārbauda aktivitāšu atskaiti, tās pamatojumu (balstoties uz MI sagatavotām vadlīnijām), skatīt 6. daļas 5. punktu.

4. Ja visas prasības ir izpildītas, KN finanšu menedžeris ar to paziņo MI. MI pārbauda labojumus un informē VI, kas nosaka maksājumu; skatīt 6. daļas 6. punktu.

5. Kad projekts ir pabeigts, kopējās saskaņotās audita procedūras tiks piemērotas, skatīt 9. daļu.

Agreement between the Member States and the Grand Duchy of Luxembourg in its role as the Managing and Paying Authority on the Implementation of the Community Initiative
“ESPON 2006 Programme”

Becoming Member States of the European Union, the Republic of Cyprus, the Czech Republic, the Republic of Estonia, the Republic of Hungary, the Republic of Latvia, the Republic of Lithuania, the Republic of Malta, the Republic of Poland, the Slovak Republic and the Republic of Slovenia are joining as New Member States this “Agreement between the Member States and the Grand Duchy of Luxembourg in its role as the Managing and Paying Authority on the Implementation of the Community Initiative “ESPON 2006 Programme”” which was signed by the existing 15 Member States when the ESPON 2006 Programme was approved by the European Commission on 03.06.2002. With regard to §11(6) of this “Agreement” it has to be noted that the ESPON 2006 Programme is in full operation since the day the Commission approved the ESPON 2006 Programme. The number of will be raised from 15 to 25 copies.

The New Member States are individually joining the ESPON 2006 Programme by signing and implementing this “Agreement”. In accordance with the EU regulations laying down provisions on the Structural Funds, in particular Council Regulation (EC) No. 1260/1999 of 21 June 1999 amended by Council Regulation (EC) No 1447/2001 of 28 June 2001, Regulations (EC) No. 1783/1999 of the European Parliament and the of Council of 12 June 1999, Regulation (EC), Commission Regulations (EC) No. 1681/94 of 11 July 1994, Commission Regulation (EC) No. 643/2000 of 28 March 2000, Commission Regulation (EC) No. 1159/2000 of 30 May 2000, Commission Regulation (EC) No. 1685/2000 of 28 July 2000 amended by Commission Regulation (EC) No 1145/2003 of 27 June 2003, Commission Regulation (EC) No. 438/2001 of 2 March 2001 amended by Commission Regulation (EC) No 2355/2002 of 27 December 2002 and Commission Regulation (EC) No. 448/2001 of 2 March 2001; the EU Member States, the Republic of Austria, Kingdom of Belgium, the Kingdom of Denmark, the Republic of Finland, the Republic of France, the Federal Republic of Germany, the Republic of Greece, the Republic of Ireland, the Republic of Italy, the Grand Duchy of Luxembourg, the Kingdom of the Netherlands, the Republic of Portugal, the Kingdom of Spain, the Kingdom of Sweden, the United Kingdom of Great Britain and Northern Ireland, have agreed the Community Initiative “ESPON 2006 Programme” (hereinafter referred to as “CIP”), approved by the European Commission on 03.06.2002.

They decided to sign a Memorandum of Understanding on the joint implementation of the ESPON 2006 Programme, defining a Joint Implementation Structure which consists of a Managing Authority (MA), Paying Authority (PA), Coordination Unit (CU), Monitoring Committee (MC) and financial control responsibilities.

Similar agreements shall be made with other States participating with the ESPON in a step by step approach according to the provisions made by the CIP ESPON 2006 Programme section V.8.

§ 1 Management Authority, Paying Authority, Coordination Unit and Monitoring Committee

1. The Member States designate the “Ministry of the Interior of the Grand Duchy of Luxembourg, Directorate for Spatial Planning and Urban Affairs DATUR” to act as Managing authority (MA) within the meaning of Articles 9 (n) and 34 of Council Regulation (EC) No. 1260/1999 and point 30 of the guidelines for the Community Initiative INTERREG III and the CIP ESPON 2006 programme section V.2.

2. The Partners designate the “Budgetary Unit in the Ministry of the Interior” together with the “Central Payment Structure” for the execution of payments and the “Financial Control Structure” in the Ministry of Finance of the Grand Duchy of Luxembourg for the financial control as Paying authority (PA) within the meaning of Articles 9 (o) and 32 of the prementioned Council Regulation and the CIP section V.3. Concerning the tasks of financial control, the PA is assisted by the “Financial Control Structure” in the Ministry of Finance. The mentioned “Budgetary Unit in the Ministry of the Interior” acts as contact point for all general questions related to the PA.

3. For the administrative implementation the MA sets up and hosts (commissioned to the Centre de Recherche Public Henry Tudor, Luxembourg (CRP HT)) a Coordination Unit (CU) according to the CIP. The Coordination Unit will be located at the office in the Technoport Schlassgoart in Luxembourg –Esch/Alzette. Further definitions of tasks and responsibilities of the CU, the MA and the PA, as well as the regulations on the supervision and the right to issue instructions to the CU are laid down in the CIP, in the Rules of Procedure of the CU and in the Rules of Procedure of the Monitoring Committee (MC). Different employees of the Coordination Unit functionally separated will carry out the support to the MA, MC, and the PA, if sufficient number of staff is available.

4. The MC, on behalf of the Member States, will be responsible for approving financial management and control arrangements of the MA / PA and for establishing the respective coordination mechanisms with the individual states in which funds are spent, according to the provisions made on the tasks of the MC in Art. 35 of Council Regulation (EC) No. 1260/1999 and in the CIP ESPON 2006 Programme section V.1. In consultation with the MA and PA the Members States appoint the bodies and establish financial management and control arrangements in their countries that support the MA and PA, so that these ones may fulfil the implementation of the CIP, coordinate that Community Funds and national co–financing funds are used efficiently and correctly and assistance is managed in accordance with all the applicable Community rules and in accordance with the principle of sound financial management (point 5 sets out the details). With regard to the particular liabilities and responsibilities the MA/PA disposes of a right to veto in the MC in those cases, where the MA/PA sees the threat by arrangements made in a Member State, which may cause recourse of ERDF Funds from the MA/PA although the initial cause of recourse is outside the responsibility of the MA/PA or in the responsibility of the respective Member State in question. Detailed requirements set out in Commission Regulation 438/01 will apply throughout. The rules of procedure of the MC are laid down in a separate document.

5. According to the provisions of Council Regulation (EC) No. 438/01 Art. 2 every Member State represented by the MC advices the relevant management and control authorities so they are able to support the MA and the PA in fulfilling their functions. Support encompasses administrative assistance for the MA/PA and the preparation of documents for the management, financial control and auditing of the programme in the Member States respectively. Cost incurring with the administrative assistance executed either by public or private institutions of the Member States respectively are, in general, born by the Member State in charge as far as these costs are no explicitly considered in the Technical Assistance budget of the CIP.

Administrative assistance will be necessary on the three levels of management, financial control and auditing. (Details also on dealing with costs will be defined in protocols between the relevant cooperating authorities listed in the annex 1–3, the Luxembourgian authorities will take the initiative to contact the relevant authorities.) Most prominent tasks within this agreement referring to each of these levels are listed as follows:

(a) Administrative assistance and cooperation between MS and the management of the MA comes effective in the following events and will be executed by the organisations represented in the MC (listed in annex 1): to clarify national practices of doing things (see § 3 (3)), to check/claim securities in case of a recourse, which cannot be served by the Lead applicant, (see §7 (1)) and to e.g. take the necessary steps (see §10 (3)), to claim the securities (see §10(4)) or to initiate prosecution measures.

(b) Administrative assistance and cooperation between MS and the PA comes effective for the financial control of projects to check the invoices of lead partners of projects according to § 6 a network of the responsible financial control structures of the Member States (listed in annex 2).

(c) Administrative assistance and cooperation between MS and the PA comes effective for the auditing according to § 9 (1). The PA (in particular in cooperation with the auditing structure of Luxembourg) initiates a network of the responsible auditing structures of the member states (listed in annex 3).

6. According to the provisions of Council Regulation (EC) No. 1260/1999 the responsibilities of these authorities have already been stated in Chapter V. of the CIP. More precise rules for the services, rights and duties of the MC, MA and PA are laid down below.

§ 2 Common administration of national and EU funding

1. The PA administers both the national and the EU funding in cooperation with the management of the MA. Every year until the end of February, or, in exceptional cases when this is not possible, latest within one month after the approval of their national budgets, the Member States transfer their national co–financing share of the programme for the coming year on the base of the financial plan agreed in the MC and on the base of the programme complement. (see below).

2. The complementary payments by the Member States to co–finance of the Structural Funds are transferred to the PA; payments will be credited to a separate Euro–currency (€) account (Trust Account) and have to be administrated separately as trust funds by the PA.

3. Any interest income earned on the national co–funding must be spent on the operations in accordance with the decisions of the MC in the same way as it applies to the ERDF funding.

§ 3 Management

1. Without prejudice to Article 8 (3) of Council Regulation (EC) No. 1260/1999 the MA coordinates the efficiency and the correctness of management and implementation of the programme in the Member States. The MA, in co–ordination with the Member States delegations to the MC, will have the administrative assistance of the corresponding national bodies (see list in Annex 1) for the execution of the management tasks concerning the implementation of the programme. In the case a MC representation delegates the administrative assistance to other national bodies within the ESPON framework, any functional interferences must be avoided. The tasks of the MA are:

(a) organising, according to point 30 of the guidelines for the INTERREG III Community Initiative, the preparation of the decisions to be taken by the MC, in particular accepting, considering and giving preliminary assessment of operations proposed for financing or co–ordinating such tasks.

(b) setting up a system to gather reliable financial and statistical information on

implementation, for the monitoring indicators referred to in Article 36, for the evaluation in compliance with Articles 42 and 43 of Council Regulation (EC) No. 1260/1999 and for forwarding this data, using where possible computer systems permitting the exchange of data with the European Commission, as defined in Article 18 (3) (e) of Council Regulation (EC) No. 1260/1999,

(c) adjustment in accordance with Article 34 (3) and the implementation of the programme complement within the meaning of Article 18 (3), without prejudice to Article 35 of Council Regulation (EC) No. 1260/1999,

(d) drawing up and, after obtaining the approval of the MC, submitting the annual and the final implementation reports to the European Commission (Article 37 of Council Regulation (EC) No. 1260/1999),

(e) organising the mid–term evaluation referred to in Article 42 of Council Regulation (EC) No. 1260/1999 in cooperation with the European Commission and the Member States,

(f) coordinating compliance with Community policies as stipulated in Article 12 and 34 (1)(g) of Council Regulation (EC) No. 1260/1999,

(g) coordinating compliance with the obligations concerning information and publicity referred to in Article 46 of Council Regulation (EC) No. 1260/1999 and in Commission Regulation (EC) No. 1159/2000.

2. Without prejudice to these provisions, the MA shall act in full compliance with the institutional, legal and financial system of the Grand Duchy of Luxembourg (Art. 34 (1) subparagraph 2 of Council Regulation (EC) 1260/1999) and in compliance with the legal systems of the Member States.

3. Regarding § 3 No. 1 (h) the MA designates one or more persons of the CU to be responsible for information and publicity and informs the European Commission of those designated. The MA will rely on the administrative assistance of the corresponding national bodies (see list in Annex 1) to ensure effective application of all arrangements concerning information and publicity that rest upon Commission Regulation (EC) No. 1159/2000 and to collaborate with the European Commission.

4. According to Article 7 (3) of Commission Regulation (EC) No. 438/2001 the MA will rely on the administrative assistance of the corresponding national bodies (see list in Annex 1) to certify that in each Member State there are procedures to ensure that documents that are relevant to specific expenditure incurred and payments made under the assistance and required for a sufficient audit trail are held in accordance with the requirements of Article 38 (6) of Council Regulation (EC) 1260/1999 and with Annex I to Commission Regulation (EC) No. 438/2001 The MA shall also satisfy itself, that a record is maintained of the body holding documents ready for further inspections and its location and that the documents are made available for inspection by the persons and bodies mentioned in Article 7 (3) (c) of Commission Regulation (EC) No. 438/2001. In the standard case and according to subsidy contract the Lead partner has the liability of keeping the documents ready (see § 6).The trail of financial control and auditing is further described in § 8 and § 9.

5. According to Article 9 (3) and (4) of Commission Regulation (EC) No. 438/2001 the MA ensures that the PA as stated in § 3 No. 2 is kept informed of the procedures operated by the MA to verify the delivery of the products and services co–financed and the reality of expenditure claimed, to ensure compliance with the applicable rules, and to maintain the audit trail, so that the sufficiency of the control systems and the audit trail can always be taken into account before a statement of expenditure is presented to the European Commission.

6. The Coordination Unit is assisting the MA in the execution of these tasks. Details of the delegation of tasks are laid down in the rules of procedure for the Coordination Unit.

§ 4 Payments between EU and Paying Authority

1. After the MA drafted a financial forecast with the support of the CU and the MC took a decision, the PA applies for contributions from the Structural Funds and also sends the updated forecasts of applications for payment for the current year and the forecast for the following year to the European Commission, no later than the end of February of each year.

2. The PA, pursuant to Article 32 (6) of Council Regulation (EC) No. 1260/1999 issues the certificates and declarations referred to in Article 32 (3) and 32 (4) of this Regulation. The certificates of statements of interim and final expenditure referred to in thes e Articles shall be drawn up in the form prescribed in Annex II of Commission Regulation (EC) No. 438/2001 by the PA. According to Article 9 (1) of the aforementioned Regulation the department responsible for this task is the financial control (see annex 2). Checks referring to Art. 15 of the aforementioned Regulation are in the responsibility of the auditing structure (see annex 3), which is functionally independent of any services of the PA that approve claims.

3. Before certifying a given statement of expenditure, the PA shall satisfy itself by request that the MA has fulfilled the requirements of Council Regulation (EC) No. 1260/1999, in particular Articles 38 (1) (c) and (e) and Article 32 (3) and (4a,b) and observed the terms of the Commission’s decision under Article 28 of the aforementioned Regulation, and that the statement of expenditure includes only expenditure,

(a) that has been actually effected within the eligibility period laid down in the decision in the form of expenditure by final beneficiaries, within the meaning of paragraphs 1.2 and 1.3. and 2 of rule 1 of the Annex to Commission Regulation (EC) No. 1685/2000, which can be supported by receipted invoices or accounting documents of equivalent probative value,

(b) that has been incurred in operations that were selected for funding under the particular assistance concerned in accordance with its selection criteria and procedures and have been subject to Community rules throughout the period during which the expenditure was incurred, and

(c) from measures for which all State aid has been formally approved by the Commission, where relevant.

4. Pursuant to Article 15 of Commission Regulation (EC) No. 438/2001 the PA, will supply the department designated to issue declarations on winding–up of assistance under Article 38 (1) (f) of Council Regulation (EC) No. 1260/1999 with all information required and will give access to the records and supporting evidence necessary for drawing up the declaration. Information on expenditure, which is covered by the Grand Duchy of Luxembourg on its own behalf such as the financing of the CU in access to the CIP, is not subject to the mentioned access to records.

5. According to Article 32 (1) of Council Regulation (EC) No. 1260/1999 payments by the European Commission of the contribution from the Structural Funds are transferred to the PA; payments will be credited to a separate Euro–currency (€) account (Trust Account) and have to be administrated separately as trust funds by the PA.

6. Any interest income earned on ERDF funds must be spent on the programme operations in accordance with the decisions of the MC, in the same way it aplies to the national co–financing.

7. In accordance with Article 8 of Commission Regulation (EC) No. 438/2001 the PA keeps an account of amounts recoverable from payments of Community assistance already made and ensures, with the administrative assistance of the corresponding national bodies (see list in Annex 1) that the amounts are recovered without unjustified delay.

8. The PA shall send the Commission once a year, in annex to the fourth quarterly report on recoveries supplied under Commission Regulation (EC) 1681/94, a statement of the amounts awaiting recovery at that date, classified by the year of initiation of the recovery proceedings.

§ 5 Reporting duties and auditing rights between EU, and Monitoring Committee and Managing and Payment Authority

1. The MA after preparation by the PA shall present proof on the use of the funds to the Member States once a year by July 31st of the following year.

2. The PA, on behalf of the MA, shall draw up project oriented annual surveys for the Member States on the commitments and payments in compliance with the standard model of the EU. Upon special request of a Member State, due to the national law of the Member State, the PA will produce reports, showing relevant data on projects and expenditure in respect of the Member State.

3. The PA shall verify the use of the funds essentially merely based on the project related progress reports (prepared by the LP, and evaluated by the CU on behalf of the MA) and audited invoices presented by the final beneficiary as defined in No. 31 sentences 4 and 5 of the Communication from the Commission to the Member States of 28 April 2000 laying down guidelines for the INTERREG III Community Initiative and § 6 (2) and (5) of this agreement. Should there be any suspicion of irregularities the PA shall inform the members of the MC representing the Member States affected without delay.

4. The responsible EU auditing bodies and the auditing bodies of the Member States in the scope of their responsibilities are entitled to examine the proper use of the funds by the Lead Partner in their country respectively (see below § 9). The Member States and the PA shall mutually support and inform each other in the course of the auditing of funds as allocated.

5. The EU auditing bodies responsible, the Inspection Général des Finances – (IGF) Luxembourg and the network partner in the member states (annex 3) are entitled to audit the use of the funds as agreed upon at their expense at the premises of the PA or to have this carried out by an appointee. The MA, the PA, the Lead partners and Project partners shall place all required documents at their disposal and give any required information and allow access to its business premises. The audit solely covers the use of the funds in the scope of the Community Initiative Programme “ESPON 2006 programme”, not however, any other financial or economic management of the PA.

6. The MA shall take care that the subsidy contract, which has been concluded with the Lead Partner, grants all inspection rights to the auditing bodies.

§ 6 Contract with beneficiaries and payments to beneficiaries

1. Based on the decision of the MC the MA concludes a subsidy contract in its own name with the Lead Partner. The MA will use a model subsidy contract approved by the MC (see annex 4). When concluding the subsidy contract the MA may not deviate from the rulings of the MC.

2. Before the MA concludes the subsidy contract, the PA, with the administrative assistance of the corresponding national bodies (see list in Annex 1), verifies that the Lead Partner gathers all the legal and organisational conditions needed for the execution of the projects. Particularly, it makes sure that the Leader Partner and its partners maintain a separate accounting system or an adequate accounting code for all transactions relating to the assistance. If the control by the PA results in the requirements for the conclusion not being fulfilled, it will without delay inform the MC via the MA.

3. Apart form a first payment the Lead Partner may only request payments by providing proof of progress as described in the action project plan and the subsidy contract, which is part of the approved application. Therefore the LP has to present progress reports to the coordination unit as stipulated in CIP, which are annexed to the subsidy contract and will be available on the Programme’s homepage. The first progress report (see point 5 for details) must be submitted to the CU at the latest six months after the start of the project according to the approved action plan. Subsequently progress reports have to be submitted every six months as fixed in the subsidy contract. Payment claims require the approval of the financial control according § 8 of this agreement.

4. For payments a similar procedure to the one established in the Council Regulation (EC) No. 1260/1999, laying down general provisions on the Structural Funds

– Art. 32. is agreed:

– a kick off payment on account, of 5% of the total assistance;

– followed by interim payments, to reimburse expenditure actually paid, eventually based on a fixed calendar (every six months), after the presentation of synthetic progress reports;

– presentation of annual implementation reports;

– establish that the combined total of the payments on account and of the interim payments shall not exceed 95% of the total assistance;

– the balance of 5% is paid, after the presentation of the final implementation report and of the certified statement of expenditure and after ensuring compliance with the applicable rules, within six months after the conclusion of the project.

5. The progress reports and the final report consist of an activity report and a financial report, including a table indicating the reporting period and the corresponding expenditure relating to each budget line. The approval of financial control (in English language), which has to be signed by an auditor, accountant or financial manager independent from the project activities, which is acknowledged by the financial control structure, with the administrative assistance of the corresponding national bodies (see § 8), has to be added to the financial report. The PA will provide model reports, including a model confirmation. Details are defined in the subsidy contract with the Lead Partner.

6. The financial manager of the CU will first check the reports and monitor the proper implementation of the project as approved by the MC. The financial manager of the CU may check whether the control is properly done and testified (according to § 8 of this agreement) and if the requested payments are within the budget lines of the approved application. Payments may only be made if the Lead Partner’s progress report provides proof of progress of the project within the approved action plan by presenting regular progress reports audited and confirmed by the auditor mentioned in point 2 and 5. The financial manager also may undertake plausibility checks comparing the project expenses with the corresponding project activities. The PA will prepare guidelines in accordance with Commission Regulation (EC) 438/2001, in particular Article 4 thereof, for the checking of the financial reports, which will be binding for the CU. Furthermore, before paying out the funds, proper compliance with the conditions stated in the subsidy contract, in this agreement, the check of the CIP, the Memorandum of Understanding and the relevant EU–Regulations and Decisions by the national authorities shall be ensured by the financial manager of the CU. After all checks are done the financial manager will inform the MA, that payments can be effected to the Lead Partner in accordance with the subsidy contract.

7. Pursuant to Article 32 (1) of Council Regulation (EC) No. 1260/1999 the PA ensures that final beneficiaries receive payment of their contribution from the Structural Funds and national cofinances as quickly as possible and in full according to the work progress established.

8. The PA coordinates that the national bodies if they take part in the management and implementation of the funding (see §1 (5)) maintain either a separate accounting system or an adequate accounting code for all transactions relating to the assistance

9. The subsidy contract is concluded in Euro (€). Funds will be disbursed in Euro (€) to an account named by the Lead Partner.

10. The rate of exchange risk is borne by the Lead Partner.

11. The subsidy from funds of the Community Initiative Programme “ESPON 2006 Programme” will be awarded to the Lead Partner exclusively for the project as described in the application approved by the MC, which is an integral part of the contract.

§ 7 Securities and guaranties, irregularities and liabilities

1. In order to minimise the risk of non–recovery of the Community Funds lost as a result of an irregularity or negligence committed by a final beneficiary, it shall be stipulated that in cases where the Lead Partner is a legal entity or body governed by private law or a natural person, the PA shall insist on presentation by the Lead Partner of a security (bank guarantee upon first request or equivalent security) amounting to the total subsidy as given in the subsidy contract for the project prior to conclusion of the said subsidy contract.

2. In the case where the Lead Partner is a government institution, arrangements shall be agreed with the representation of that Member State in the MC confirms the liability of this institution. in order to achieve an equivalent security as mention in point 1.

3 According to Art. 38 (4) of Council Regulation (EC) No. 1260/1999 the European Commission may make observations, particularly regarding the financial impact of any irregularities detected, and request for corrective measures to remedy the management shortcomings found and correct any irregularities. In such cases it may happen that it becomes necessary to reimburse the Community funds and that it will be impossible to get the funds back from the final beneficiary, the reimbursement will be supported by financial means of the member States having partners involved in the projects, in amounts equal to those resulting from the detected irregularities in each member State, added by the charge of interests, where appropriate. Referring to the Commission’s Working paper1 the responsibility of each Member State lies with the operations managed by Lead Partners based on their national territory even in cases where errors or irregularities are committed by Project Partners from other Member States.

§ 8 Financial control of beneficiaries

1. The PA will draw up the certificates of the proper use of funding according to §6 (5). The certificates built on two kind of information to check:

(a) the use of the subsidy for the purpose mentioned in the subsidy contract and the project plan, and

(b) the progress made by the project under the lead partner. Information on a) is directly accessible by the PA whereas information on b) will by provided by the MA with the support of the CU by the evaluation of progress reports prepared according to the demands of the MC.

2. Taking into account that the Grand Duchy of Luxembourg has not the competence to check the proper utilisation of the Community funds on the territory of the other Member States, the Member States shall take the necessary measures to control the utilisation of the funds on their territory as well as to prevent and to take action against irregularities. Therefore the PA, 1 Interreg IIIB and IIIC Member States responsibility: Management and Control System (DG Regio/B1/GD D (2000) Brussels 21.5.2001, point IV 2 b (p.7). in co–ordination with the member States delegations to the MC, establishes a network of the financial control bodies of all member states, that will be settled through a specific protocol between the PA and those bodies (see annex 2).

3. It is the tasks of the national control structure to undertake the financial control of the invoices of the Lead Partners referring to § 8 (1) (a). The PA provides a standardised form to all financial control bodies mentioned in annex 2 for the proper approval of the appropriate use of funding. According to § 6 (5) the national control structure may authorise other auditors for the financial control of the LP and if necessary the other partners of their country. It is the responsibility of the national control structure to immediately inform the PA about authorised organisation. In general, the reimbursement of cost incurring with the financial control is not considered in the ESPON 2006 Programme. Details are settled in the protocol mention in point 2.

4. The PA has the task to verify that the CU and the national bodies ensure the correctness of operations financed under the assistance particularly by implementing internal controls in keeping with the principles of sound financial management and acting in response to any observations or requests for corrective measures adopted pursuant to Article 38 (4), first subparagraph, or recommendations for adjustment made under Article 34 (2) of Council Regulation (EC) No. 1260/1999 in accordance with the provisions of those Articles and the stipulations made in this agreement

§ 9 Auditing of beneficiaries

1. With reference to Council Regulation (EC) 1260/1999 the overall responsibility for promotion of audits lies with the independent audit structure in the Member State of the MA/PA (Inspection générale des finances – IGF) in co–operation with the respective national audit authorities nominated by the Member State (see annex 3). The PA, with the support of the Luxembourg auditing authority IGF, and in co–ordination with the member States delegations to the MC, organises a network of the national auditing authorities, which will be settled trough a specific protocol between the PA and those bodies. It also provides a standardised form for the approval of the auditing. The CU may assist the auditing process where appropriate.

2. The selection of projects to be audited (on site), method/way of auditing procedure, drafting a financial auditing plan will be done in accordance to the audit guidelines of the European Commission and should be coordinated in the network mentioned in Point (1). These audits will cover at least 5% of the ESPON–program expenditures over the entire program period. National auditing authorities are responsible for the auditing in their country, in the terms established in the protocol mentioned in point 1. Audits will be done of the management and auditing procedures of the beneficiaries and they will be done on site with project managers.

3. Sample checks on operations according to Chapter IV of Commission Regulation (EC) No. 438/2001 will be carried out at even intervals, spread over the years 2003 to 2008. The basis for the selection of projects checked will be a risk analysis. Using a risk point system the following categories of risks will be taken into account, among others:

§ budget size (small, medium, large) of the project,

§ number of project partners,

§ participation of Non Member States,

§ LP governed by private law.

4. The different national public audit bodies shall ensure, for all projects co–financed under the ESPON 2006 programme, the verification of the compliance with the terms and conditions for assistance under the programme as well as correctness of financial statements settled with regard to expenses eligible for assistance. Furthermore they shall verify that assistance funds are continuously safe both in factual and accounting terms.

5. The respective Lead Partners, and the other Project Partners, shall be obliged to make available at all times all relevant information at the project level for ERDF co–financed projects in agreement with the MA/PA to the European Commission. In case the auditing is delegated to a private company to a department within the audited institutions care shall be taken to ensure the proper separation (and if applicable, also the organisational and functional separation) of the personnel conducting the audit and auditing tasks from the project consulting activities and, in particular, from the project management in order to avoid conflicts of interests and to reduce the risk of irregularities.

§ 10 Cut and recover of payments to beneficiaries

1. If the PA or any Member State gains knowledge of irregularities, especially regarding inappropriate implementation by the Lead Partner, and being those irregularities actually confirmed, with the administrative assistance of the corresponding national bodies, it shall without delay inform in the first instance the MA. After the MA gains knowledge of irregularities, especially regarding inappropriate implementation by the Lead Partner, it shall without delay inform the MC and those Member States, who would be liable in case of a cut and recover according to the regulations of the CIP and this agreement.

2. The MA, after informing the members of the MC representing those Member States, who would be liable, shall decide on the cut and recover. The MA/PA has to undertake the necessary steps with respect to the Lead Partner in agreement with the members of the MC representing the Member States concerned in such case of a cut and recover.

3. Should a Lead Partner not comply with the demand of cut and recover by the MA/PA within the set time, a loss shall be assumed as established. The MA shall without delay inform the MC and those members of the MC representing the Member States that are affected.

4. In case of a loss the MA/PA is entitled to make use of securities presented. The MA does not assert recourse demands before court with respect to the Lead Partners outside its own country. If such action emerges recourse has to be asserted by the Member State of the Lead Partner.

5. Should the members of the MC representing the Member States concerned decide that a cut or recourse is not to be effected, they shall release the MA/PA from any demands whatsoever from the European Commission, from the Member States concerned, from the other Member States and from other third parties for whatever legal reason.

6. In case of a right of recourse the MA is obliged to transfer all rights arising from the subsidy contract to the Member States affected and to put all the information necessary for the legal prosecution at their disposal.

7. In urgent cases the MA may initiate prosecution to safeguard recourse demands (e.g. interim injunction) in agreement with the members of the MC representing the Member States concerned; it informs the MC in this respect without delay.

8. The sums received by the PA from the recourse of subsidies or from the ex-ploitation of securities are to be credited to the trust account.

9. Should expenses for legal advice or legal charges arise for the MA/PA in the scope of a right of recourse, then these are to be reimbursed to the MA/PA by those Member States as would be effected by a right of recourse.

10. As far as the MA/PA contravenes the legal provisions or the duties as defined under this agreement, this is to be considered in case of a right of recourse, and a possible contributory negligence of the MA/PA is to be charged.

§ 11 Agreement

1. All communication between Member States, MA, PA and CU and all certification mentioned in the CIP and in this agreement, and all communication necessary to manage and implement the programme are in English language.

2. The cooperation between the members of the Monitoring Committee, the MA / PA and the independent financial control and audit structure in the member state of the country of the MA/PA, and the respective national bodies in each Member State, identified in the annexes 1,2 and 3 of this Agreement represents a condition sine qua non in order to secure a complete management, financial control and audit of all parts co–financed by ERDF and national funds.

3. Where disputes arise out or in connection with this Memorandum of Understanding, the Partners shall seek an amicable solution.

4. Should the Partners fail to reach an amicable solution, all disputes arising out or in connection with this Memorandum of Understanding shall be settled by the competent jurisdiction of the District Court of Luxembourg in the first instance.

5. This Agreement shall be governed in accordance with the laws of the Grand–Duchy of Luxembourg.

6. This Agreement shall be signed by representatives of the Governments of all Member States, the Republic of Austria, the Kingdom of Belgium, the Kingdom of Denmark, the Republic of Finland, the Republic of France, the Federal Republic of Germany, the Republic of Greece, the Republic of Ireland, the Republic of Italy, the Kingdom of the Netherlands, the Grand Duchy of Luxembourg, the Republic of Portugal, the Kingdom of Spain, the Kingdom of Sweden, the United Kingdom of Great Britain and Northern Ireland in 15 originals. It shall enter into force on the date of the last signature and shall apply for the duration of the implementation of the CIP including the preparation of the final report according to Art. 37 of Regulation 1260/1999 and the winding–up of the whole programme.

7. This Agreement may be amended only in writing and in agreement between the Member States.

a) Preparation of the network cooperation of national financial control and auditing structures under the lead of the Luxembourg authorities

Referring to §1(5) initiated by the Luxembourg Authority establishment of a protocol for each of the levels indicated below on the common approach, standard forms for the achievement of tasks in a decentralised way and the distribution of cost:

§ Cooperation between Member States in the Monitoring Committee

§ Cooperation between PA and the MS’ financial control

§ Co–operation of auditing bodies.

b) Processing of projects

1. Subsidy contract between MA and LP (includes project and payment plan), see § 6 (1) after the MC decided to support a Transnational working group and a project.

2. According to payment plan the LP claims the first kick–off payment of 5 % of the project sum and after that a payment by presenting a progress report (activity and financial report), see § 6 (3) including a confirmation by the national financial control structure or an auditor, accountant or financial manager, which is acknowledged by the national financial control structure (standard form will be provided by the Luxemburg financial control structure model of confirmation prepared by the CU). The last 5 % of the project sum is paid out after all control procedures are finalised.

3. Financial manager of the CU checks activity report, plausibility checks (on the base of binding guidelines prepared by the PA), see § 6 (5).

4. If all requirements are met, the financial manager of the CU informs the PA. The PA checks the correctness and informs the MA to affects the payment; see § 6 (6).

5. After the project is finished auditing procedures according to the agreed common approach will beaffected, see § 9.
