Saeima ir pieņēmusi un Valsts
prezidents izsludina šādu likumu:
Par Latvijas Republikas un Kazahstānas Republikas konvenciju par nodokļu dubultās uzlikšanas un nodokļu nemaksāšanas novēršanu attiecībā uz ienākuma un kapitāla nodokļiem

1.pants. 2001.gada 6.septembrī Astanā parakstītā Latvijas Republikas un Kazahstānas Republikas konvencija par nodokļu dubultās uzlikšanas un nodokļu nemaksāšanas novēršanu attiecībā uz ienākuma un kapitāla nodokļiem un tās protokols (turpmāk — Konvencija) ar šo likumu tiek pieņemti un apstiprināti.

2.pants. Likums stājas spēkā tā izsludināšanas dienā. Līdz ar likumu izsludināma Konvencija latviešu un angļu valodā.

3.pants. Konvencija stājas spēkā tās 30.pantā noteiktajā laikā un kārtībā, un par to Ārlietu ministrija paziņo laikrakstā "Latvijas Vēstnesis".

LATVIJAS REPUBLIKAS UN KAZAHSTĀNAS REPUBLIKAS KONVENCIJA PAR NODOKĻU DUBULTĀS UZLIKŠANAS UN NODOKĻU NEMAKSĀŠANAS NOVĒRŠANU ATTIECĪBĀ UZ IENĀKUMA UN KAPITĀLA NODOKĻIEM

Latvijas Republika un Kazahstānas Republika, apliecinādamas vēlēšanos noslēgt Konvenciju par nodokļu dubultās uzlikšanas un nodokļu nemaksāšanas novēršanu attiecībā uz ienākuma un kapitāla nodokļiem,

vienojas: 

1.pants

Konvencijas darbības sfēra

Šī Konvencija attiecas uz personām, kas ir vienas Līgumslēdzējas Valsts vai abu Līgumslēdzēju Valstu rezidenti. 

2.pants

Nodokļi, uz kuriem attiecas Konvencija

1. Šī Konvencija attiecas uz ienākuma un kapitāla nodokļiem, ko neatkarīgi no to iekasēšanas veida iekasē Līgumslēdzējas Valsts vai arī tās pašvaldību vārdā.

2. Par ienākuma un kapitāla nodokļiem uzskatāmi visi nodokļi, ar kuriem apliek kopējo ienākumu, kopējo kapitālu vai ienākuma vai kapitāla daļu, arī nodoklis, ar kuru apliek kustamā vai nekustamā īpašuma atsavināšanas rezultātā gūto ienākumu un kapitāla vērtības pieaugumu.

3. Esošie nodokļi, uz kuriem attiecas šī Konvencija, konkrēti ir:

a) Kazahstānā:

    (i) juridisko un fizisko personu ienākuma nodoklis;

    (ii) juridisko un fizisko personu īpašuma nodoklis;

(turpmāk - Kazahstānas nodokļi);

b) Latvijā:

    (i) uzņēmumu ienākuma nodoklis;

    (ii) iedzīvotāju ienākuma nodoklis;

    (iii) īpašuma nodoklis;

(turpmāk — Latvijas nodokļi).

4. Šī Konvencija tiks piemērota arī visiem identiskiem vai pēc būtības līdzīgiem nodokļiem, kuri, papildinot vai aizstājot esošos nodokļus, tiks ieviesti Līgumslēdzējā Valstī pēc šīs Konvencijas parakstīšanas datuma. Abu Līgumslēdzēju Valstu kompetentajām iestādēm ir savstarpēji jāinformē vienai otra par jebkuriem nozīmīgiem grozījumiem šo valstu attiecīgajos nodokļu likumdošanas aktos. 

3.pants

Vispārīgās definīcijas

1. Ja no konteksta neizriet citādi, šajā Konvencijā:

a) jēdzieni "Līgumslēdzēja Valsts" un "otra Līgumslēdzēja Valsts" atkarībā no konteksta apzīmē Latviju vai Kazahstānu;

b) jēdziens:

    (i) "Kazahstāna" nozīmē Kazahstānas Republiku. Lietots ģeogrāfiskā nozīmē, jēdziens "Kazahstāna" ietver teritoriālos ūdeņus, un arī ekskluzīvo ekonomisko zonu un kontinentālo šelfu, kurā Kazahstāna noteiktiem nolūkiem var realizēt savas suverēnās tiesības un jurisdikciju saskaņā ar starptautiskajām tiesībām un kurā var tikt piemēroti likumdošanas akti attiecībā uz Kazahstānas nodokļiem.

    (ii) "Latvija" nozīmē Latvijas Republiku, un, lietots ģeogrāfiskā nozīmē, tas apzīmē Latvijas Republikas teritoriju un jebkuru citu Latvijas Republikas teritoriālajiem ūdeņiem piegulošu teritoriju, kurā saskaņā ar Latvijas likumdošanas aktiem un starptautiskajām tiesībām var tikt īstenotas Latvijas tiesības uz jūras un zemes dzīlēm un tur esošajiem dabas resursiem;

c) jēdziens "persona" apzīmē fizisko personu, sabiedrību un jebkuru citu personu kopumu;

d) jēdziens "sabiedrība" apzīmē jebkuru korporatīvu personu apvienību vai jebkuru vienību, kas nodokļu aplikšanas nolūkos tiek uzskatīta par korporatīvu personu apvienību;

e) jēdzieni "Līgumslēdzējas Valsts uzņēmums" un "otras Līgumslēdzējas Valsts uzņēmums" attiecīgi apzīmē uzņēmumu, ko vada Līgumslēdzējas Valsts rezidents, un uzņēmumu, ko vada otras Līgumslēdzējas Valsts rezidents;

f) jēdziens "starptautiskā satiksme" apzīmē jebkurus pārvadājumus ar jūras vai gaisa transportu, ko veic Līgumslēdzējas Valsts uzņēmums, izņemot tos gadījumus, kad jūras vai gaisa transporta līdzekļi pārvietojas vienīgi otras Līgumslēdzējas Valsts iekšienē;

g) jēdziens "kompetentā iestāde" apzīmē:

    (i) Kazahstānā — Finansu ministriju vai tās pilnvaroto pārstāvi;

    (ii) Latvijā — Finansu ministru vai tā pilnvaroto pārstāvi;

h) jēdziens "pilsonis" apzīmē:

    (i) jebkuru fizisko personu, kas ir Līgumslēdzējas Valsts pilsonis;

    (ii) jebkuru juridisko personu, līgumsabiedrību vai asociāciju, kuras statuss izriet no Līgumslēdzējā Valstī spēkā esošajiem likumdošanas aktiem.

2. Piemērojot šo Konvenciju jebkurā laikā, Līgumslēdzēja Valsts lietos jebkuru jēdzienu, kas šeit nav definēts, tādā nozīmē, ja vien no konteksta neizriet citādi, kādā tas attiecīgajā laikā lietots šīs Līgumslēdzējas Valsts likumdošanas aktos attiecībā uz nodokļiem, uz kuriem attiecas šī Konvencija. 

4.pants

Rezidents

1. Šajā Konvencijā jēdziens "Līgumslēdzējas Valsts rezidents" apzīmē jebkuru personu, kas saskaņā ar šīs valsts likumdošanas aktiem ir pakļauta aplikšanai ar nodokļiem pamatojoties uz tās pastāvīgo dzīvesvietu, rezidenci, faktiskās vadības atrašanās vietu, inkorporācijas (reģistrācijas) vietu vai jebkuru citu līdzīga rakstura kritēriju. Jēdziens ietver arī šīs Līgumslēdzējas Valsts valdību vai tās pašvaldības. Bet šis jēdziens neietver jebkuras personas, kurām tiek uzlikti nodokļi šajā valstī tikai attiecībā uz to ienākumiem, kas rodas šajā valstī vai par šajā valstī izvietoto kapitālu.

2. Ja saskaņā ar 1.punkta noteikumiem fiziskā persona ir abu Līgumslēdzēju Valstu rezidents, tās statuss tiks noteikts šādā veidā:

a) šī persona tiks uzskatīta par rezidentu tajā valstī, kurā atrodas tās pastāvīgā dzīvesvieta; ja tās pastāvīgā dzīvesvieta ir abās valstīs, šī persona tiks uzskatīta par tās valsts rezidentu, ar kuru tai ir ciešākas personiskās vai ekonomiskās attiecības (vitālo interešu centrs);

b) ja nav iespējams noteikt valsti, kurā šai personai ir vitālo interešu centrs, vai arī ja tai nav pastāvīgas dzīvesvietas nevienā no abām valstīm, šī persona tiks uzskatīta par tās valsts rezidentu, kura tai ir ierastā mītnes zeme;

c) ja šai personai ierastā mītnes zeme ir abas valstis vai nav neviena no tām, tā tiks uzskatīta par tās valsts rezidentu, kuras pilsonis ir šī persona;

d) ja šīs personas rezidenci nevar noteikt saskaņā ar a) - c) apakšpunktiem, Līgumslēdzēju Valstu kompetentās iestādes izšķir šo jautājumu, savstarpēji vienojoties.

3. Ja saskaņā ar 1.punkta nosacījumiem persona, kas nav fiziskā persona, ir abu Līgumslēdzēju Valstu rezidents, Līgumslēdzēju Valstu kompetentajām iestādēm jācenšas izšķirt šo jautājumu, savstarpēji vienojoties, un noteikt šīs Konvencijas piemērošanas veidu šādai personai. Ja šādas vienošanās nav, piemērojot šo Konvenciju, šāda persona nevienā no Līgumslēdzējām Valstīm netiks uzskatīta par otras Līgumslēdzējas Valsts rezidentu. 

5.pants

Pastāvīgā pārstāvniecība

1. Šajā Konvencijā jēdziens "pastāvīgā pārstāvniecība" nozīmē noteiktu vietu, kur uzņēmums pilnīgi vai daļēji veic uzņēmējdarbību.

2. Jēdziens "pastāvīgā pārstāvniecība" ietver:

a) uzņēmuma vadības atrašanās vietu;

b) filiāli;

c) kantori;

d) fabriku;

e) darbnīcu; un

f) šahtu, naftas vai gāzes ieguves vietu, akmeņlauztuves vai jebkuru citu dabas resursu ieguves vietu.

3. Jēdziens "pastāvīgā pārstāvniecība" ietver arī:

a) būvlaukumu, celtniecības, komplektēšanas vai instalācijas projektu, vai ar to saistīto pārraudzības vai konsultatīvo darbību tikai tad, ja šis būvlaukums, projekts vai darbība notiek ilgāk nekā sešus mēnešus;

b) konstrukcijas vai iekārtas, ieskaitot urbšanas aprīkojumu, kas tiek izmantotas dabas resursu pētīšanai vai ar to saistītai pārraudzības darbībai tikai tad, ja šāda izmantošana vai darbība notiek ilgāk nekā sešus mēnešus.

4. Neatkarīgi no šī panta iepriekšējo punktu noteikumiem jēdziens "pastāvīgā pārstāvniecība" neietver:

a) ēku un iekārtu izmantošanu tikai un vienīgi uzņēmumam piederošo preču vai izstrādājumu uzglabāšanai, demonstrēšanai vai piegādēm;

b) uzņēmumam piederošos preču vai izstrādājumu krājumus, kas paredzēti tikai un vienīgi uzglabāšanai, demonstrēšanai vai piegādēm;

c) uzņēmumam piederošos preču vai izstrādājumu krājumus, kas paredzēti tikai un vienīgi pārstrādei citā uzņēmumā;

d) pastāvīgu darbības vietu, kas paredzēta tikai un vienīgi preču vai izstrādājumu iepirkšanai vai informācijas vākšanai uzņēmuma vajadzībām;

e) pastāvīgu darbības vietu, kas paredzēta tikai un vienīgi tam, lai veiktu uzņēmuma labā jebkurus citus priekšdarbus vai palīgdarbību;

f) pastāvīgu darbības vietu, kas paredzēta tikai un vienīgi tam, lai veiktu šī punkta no a) līdz e) apakšpunktā minētās darbības jebkādā to kombinācijā, ar nosacījumu, ka kopējam darbības veidam ir priekšdarbu vai palīgdarbības raksturs.

5. Neatkarīgi no 1. un 2.punkta noteikumiem, ja persona, uz kuru neattiecas 6.punktā minētais neatkarīgā aģenta statuss, darbojas uzņēmuma labā un parasti izmanto tai piešķirtās pilnvaras noslēgt līgumus šī uzņēmuma vārdā Līgumslēdzējā Valstī, tiks uzskatīts, ka šim uzņēmumam ir pastāvīgā pārstāvniecība šajā valstī attiecībā uz jebkuru šīs personas veikto darbību uzņēmuma labā šajā valstī, izņemot gadījumus, kad pastāvīgo darbības vietu, kuru izmanto šī persona, veicot 4.punktā minēto darbību, nevar uzskatīt par pastāvīgo pārstāvniecību saskaņā ar šī panta 4.punkta noteikumiem.

6. Tiks uzskatīts, ka uzņēmumam nav pastāvīgās pārstāvniecības Līgumslēdzējā Valstī, ja uzņēmums veic uzņēmējdarbību šajā valstī, vienīgi izmantojot starpnieku, tirdzniecības aģentu vai jebkuru citu neatkarīgu aģentu, ar nosacījumu, ka šīs personas veic savu parasto uzņēmējdarbību.

7. Fakts, ka sabiedrība — Līgumslēdzējas Valsts rezidents kontrolē sabiedrību, kura ir otras Līgumslēdzējas Valsts rezidents vai kura veic uzņēmējdarbību šajā otrā valstī (izmantojot pastāvīgo pārstāvniecību vai kādā citā veidā), vai ir pakļauta šādas sabiedrības kontrolei, pats par sevi nepārvērš vienu no šīm sabiedrībām par otras sabiedrības pastāvīgo pārstāvniecību. 

6.pants

Ienākums no nekustamā īpašuma

1. Ienākumus, ko gūst Līgumslēdzējas Valsts rezidents no nekustamā īpašuma (arī ienākumus no lauksaimniecības vai mežkopības), kas atrodas otrā Līgumslēdzējā Valstī, var aplikt ar nodokļiem šajā otrā valstī.

2. Jēdzienam "nekustamais īpašums" būs tāda nozīme, kāda tam ir tās Līgumslēdzējas Valsts likumdošanas aktos, kurā atrodas minētais īpašums. Jebkurā gadījumā šis jēdziens tiks lietots lai apzīmētu īpašumu, kas ir piederīgs nekustamajam īpašumam, mājlopus un iekārtas, ko izmanto lauksaimniecībā un mežkopībā, tiesības, uz kurām attiecas zemes īpašuma tiesību vispārīgie noteikumi, jebkuras tiesības pirkt nekustamo īpašumu, vai līdzīgas tiesības iegūt nekustamo īpašumu, nekustamā īpašuma uzufruktu un tiesības uz mainīga lieluma vai pastāvīgiem maksājumiem par tiesībām izmantot vai par derīgo izrakteņu, dabas atradņu un citu dabas resursu izmantošanu. Par nekustamo īpašumu netiks uzskatīti kuģi un lidmašīnas.

3. Šī panta 1.punkta noteikumi tiks piemēroti attiecībā uz ienākumu no nekustamā īpašuma tiešas izmantošanas, izīrēšanas vai izmantošanas citā veidā, kā arī attiecībā uz ienākumu, ko iegūst, atsavinot nekustamo īpašumu.

4. Ja sabiedrības akcijas vai citas korporatīvās tiesības dod to īpašniekam tiesības uz sabiedrības nekustamā īpašuma izmantošanu, tad ienākumu no šo tiesību tiešas izmantošanas, iznomāšanas vai lietošanas jebkādā citā veidā var aplikt ar nodokļiem tajā Līgumslēdzējā Valstī, kurā atrodas šis nekustamais īpašums.

5. Šī panta 1., 3. un 4.punkta noteikumi tiks piemēroti arī attiecībā uz ienākumu no uzņēmuma nekustamā īpašuma, kā arī attiecībā uz ienākumu no nekustamā īpašuma, kas tiek izmantots neatkarīgu individuālu pakalpojumu sniegšanai. 

7.pants

Uzņēmējdarbības peļņa

1. Līgumslēdzējas Valsts uzņēmuma peļņa tiks aplikta ar nodokļiem tikai šajā valstī, izņemot gadījumus, kad uzņēmums veic vai ir veicis uzņēmējdarbību otrā Līgumslēdzējā Valstī, izmantojot tur esošo pastāvīgo pārstāvniecību. Ja uzņēmums veic vai ir veicis uzņēmējdarbību minētajā veidā, uzņēmuma peļņu var aplikt ar nodokļiem otrā valstī, bet tikai to peļņas daļu, kas attiecas uz šo pastāvīgo pārstāvniecību.

2. Saskaņā ar 3.punkta noteikumiem, ja Līgumslēdzējas Valsts uzņēmums veic vai ir veicis uzņēmējdarbību otrā Līgumslēdzējā Valstī, izmantojot tur esošo pastāvīgo pārstāvniecību, katrā Līgumslēdzējā Valstī uz šo pastāvīgo pārstāvniecību attiecināms tāds peļņas daudzums, kādu šī pārstāvniecība varētu gūt, ja nepārprotami būtu atsevišķs uzņēmums, kas veic tādu pašu vai līdzīgu uzņēmējdarbību tādos pašos vai līdzīgos apstākļos un darbojas pilnīgi neatkarīgi no šī uzņēmuma.

3. Nosakot pastāvīgās pārstāvniecības peļņu, tiks pieļauta pastāvīgās pārstāvniecības izdevumu atskaitīšana no summas, kuru apliek ar nodokļiem. Šie izdevumi var būt pārstāvniecības operatīvie un vispārējie administratīvie izdevumi, kas radušies vai nu valstī, kur atrodas pastāvīgā pārstāvniecība, vai citur. Izdevumi, kurus Līgumslēdzēja Valsts atļauj atskaitīt, ietver tikai tos izdevumus, kuri ir atskaitāmi saskaņā ar šīs valsts iekšzemes likumdošanas aktiem. Tomēr šādi atskaitījumi netiks atļauti attiecībā uz maksājumiem, kurus pastāvīgā pārstāvniecība izmaksā uzņēmumam vai jebkurai citai tā daļai kā autoratlīdzības, maksas vai cita veida līdzīgus maksājumus par patentu vai citu tiesību izmantošanu, vai kā komisijas maksu par īpašu pakalpojumu sniegšanu vai vadības pakalpojumiem, vai, izņemot gadījumu, kad uzņēmums ir banka, procentu maksājumus par naudas summām, kuras ir aizdotas pastāvīgajai pārstāvniecībai.

4. Ja Līgumslēdzējā Valstī peļņu, kas attiecināma uz pastāvīgo pārstāvniecību, nosaka, uzņēmuma kopīgo peļņu proporcionāli sadalot starp tā struktūrvienībām, 2.punkts neaizliedz Līgumslēdzējai Valstij kā parasti noteikt apliekamās peļņas daļu pēc šī principa; tomēr šī sadales metode jālieto tā, lai rezultāts atbilstu šajā pantā ietvertajiem principiem.

5. Uz pastāvīgo pārstāvniecību netiks attiecināta peļņa tikai tāpēc vien, ka tā ir iegādājusies sava uzņēmuma vajadzībām preces vai izstrādājumus.

6. Lai piemērotu iepriekšējos punktus, peļņa, ko attiecina uz pastāvīgo pārstāvniecību, katru gadu ir jānosaka ar vienu un to pašu metodi, izņemot gadījumus, kad ir pietiekams pamats rīkoties citādi.

7. Ja peļņā ir ietverti citos šīs Konvencijas pantos atsevišķi aplūkotie ienākuma veidi, šī panta noteikumi neietekmēs šo citu pantu noteikumus. 

8.pants

Jūras un gaisa transports

1. Līgumslēdzējas Valsts uzņēmuma peļņa no jūras un gaisa transporta līdzekļu izmantošanas starptautiskajā satiksmē tiks aplikta ar nodokļiem tikai šajā valstī.

2. Šī panta 1.punkta noteikumi attiecas arī uz peļņu, kas gūta no piedalīšanās pulā, kopējā uzņēmējdarbībā vai starptautiskās satiksmes transporta aģentūrā. 

9.pants

Saistītie uzņēmumi

1. Gadījumos, kad:

a) Līgumslēdzējas Valsts uzņēmums tieši vai netieši piedalās otras Līgumslēdzējas Valsts uzņēmuma vadībā vai kontrolē vai tam pieder daļa no šī uzņēmuma kapitāla; vai

b) vienas un tās pašas personas tieši vai netieši piedalās Līgumslēdzējas Valsts uzņēmuma vadībā vai kontrolē vai tām pieder daļa kapitāla šajā uzņēmumā un vienlaikus tās tieši vai netieši piedalās otras Līgumslēdzējas Valsts uzņēmuma vadībā vai kontrolē vai tām pieder daļa otras valsts uzņēmuma kapitāla,

un jebkurā gadījumā šo divu uzņēmumu komerciālās un finansu attiecības tiek veidotas vai nodibinātas pēc noteikumiem, kas atšķiras no tiem noteikumiem, kuri būtu spēkā starp diviem neatkarīgiem (savstarpēji nesaistītiem) uzņēmumiem, tad jebkura peļņa, kas veidotos vienam no uzņēmumiem, bet iepriekšminēto radīto noteikumu ietekmē nav izveidojusies, var tikt iekļauta šī uzņēmuma peļņā un atbilstoši aplikta ar nodokļiem.

2. Ja Līgumslēdzēja Valsts iekļauj šīs valsts uzņēmuma peļņā un attiecīgi apliek ar nodokļiem to peļņu, attiecībā uz kuru otras Līgumslēdzējas Valsts uzņēmums ir ticis aplikts ar nodokļiem šajā otrā valstī, un šī iekļautā peļņa ir tāda peļņa, kuru būtu guvis pirmās Līgumslēdzējas Valsts uzņēmums, ja attiecības starp šiem diviem uzņēmumiem būtu bijušas tādas, kādas pastāvētu starp diviem pilnīgi neatkarīgiem uzņēmumiem, tad otrai valstij ir jāizdara atbilstošas korektīvas attiecībā uz nodokļa lielumu, ar kuru tiek aplikta šī peļņa otrā valstī. Nosakot šīs korektīvas, jāņem vērā citi šīs Konvencijas noteikumi un, ja nepieciešams, jārīko Līgumslēdzēju Valstu kompetento iestāžu konsultācijas. 

10.pants

Dividendes

1. Dividendes, ko sabiedrība — Līgumslēdzējas Valsts rezidents izmaksā otras Līgumslēdzējas Valsts rezidentam, var aplikt ar nodokļiem šajā otrā valstī.

2. Tomēr šīs dividendes var arī aplikt ar nodokļiem atbilstoši attiecīgās valsts likumdošanas aktiem tajā Līgumslēdzējā Valstī, kuras rezidents ir sabiedrība, kas izmaksā dividendes, bet, ja dividenžu saņēmējs ir šo dividenžu īstenais īpašnieks, nodoklis nedrīkst pārsniegt:

a) 5% no dividenžu bruto apjoma, ja dividenžu īstenais īpašnieks ir sabiedrība (kas nav līgumsabiedrība), kura tieši pārvalda vismaz 25 procentus no kapitāla sabiedrībā, kura izmaksā dividendes;

b) 15% no dividenžu bruto apjoma visos pārējos gadījumos.

Šis punkts neietekmēs sabiedrības aplikšanu ar nodokļiem attiecībā uz peļņu, no kuras tiek izmaksātas dividendes.

3. Jēdziens "dividendes" šajā pantā nozīmē ienākumu no akcijām vai citām tādām tiesībām piedalīties peļņas sadalē, kuras nav parādsaistības, kā arī ienākumu no citām korporatīvām tiesībām, kurš ir pakļauts tādai pašai aplikšanai ar nodokļiem kā ienākums no akcijām saskaņā ar tās valsts likumdošanas aktiem, kuras rezidents ir sabiedrība, kas veic šo sadali.

Šī panta 1. un 2.punkta noteikumi netiks piemēroti, ja dividenžu īstenais īpašnieks, būdams Līgumslēdzējas Valsts rezidents, veic uzņēmējdarbību otrā Līgumslēdzējā Valstī, izmantojot tur esošo pastāvīgo pārstāvniecību, vai arī sniedz otrā valstī neatkarīgus individuālos pakalpojumus, izmantojot tur izvietoto pastāvīgo bāzi, ja sabiedrība, kura izmaksā dividendes, ir šīs otras valsts rezidents un ja līdzdalība, par kuru tiek izmaksātas dividendes, ir faktiski saistīta ar pastāvīgo pārstāvniecību vai pastāvīgo bāzi. Šajā gadījumā atbilstoši apstākļiem piemērojami 7.panta (Uzņēmējdarbības peļņa) vai 14.panta (Neatkarīgie individuālie pakalpojumi) noteikumi.

5. Ja sabiedrība — Līgumslēdzējas Valsts rezidents gūst peļņu vai ienākumus no otras Līgumslēdzējas Valsts, šī otra valsts nedrīkst aplikt ne ar kādu nodokli šīs sabiedrības izmaksātās dividendes, izņemot gadījumus, kad dividendes tiek izmaksātas šīs otras valsts rezidentam vai kad līdzdalība, par kuru tiek izmaksātas dividendes, ir faktiski saistīta ar pastāvīgo pārstāvniecību vai pastāvīgo bāzi, kas atrodas otrā valstī.

6. Sabiedrība, kura ir Līgumslēdzējas Valsts rezidents un kurai otrā Līgumslēdzējā Valstī ir pastāvīgā pārstāvniecība, šajā otrā valstī var tikt pakļauta aplikšanai ar nodokli, papildus tam nodoklim ar kādu tiek aplikta uz šo pastāvīgo pārstāvniecību attiecināmā peļņa. Šis papildus nodoklis tomēr nevar pārsniegt 5% no tās šīs sabiedrības peļņas daļas, kas ir pakļauta aplikšanai ar nodokli otrā Līgumslēdzējā Valstī. 

11.pants

Procenti

1. Procentus, kas rodas Līgumslēdzējā Valstī un tiek izmaksāti otras Līgumslēdzējas Valsts rezidentam, var aplikt ar nodokļiem šajā otrā valstī.

2. Tomēr šos procentus var arī aplikt ar nodokļiem atbilstoši attiecīgās valsts likumdošanas aktiem tajā Līgumslēdzējā Valstī, kurā tie rodas, bet, ja procentu saņēmējs ir šo procentu īstenais īpašnieks, nodoklis nedrīkst pārsniegt 10 procentus no šo procentu bruto apjoma.

3. Šī panta 2.punkta noteikumi netiks piemēroti, ja procentus, kas rodas vienā Līgumslēdzējā Valstī, saņem otras Līgumslēdzējas Valsts valdība, kā arī tās pašvaldības, centrālā banka vai jebkura cita šai valdībai pilnīgi piederoša finansu institūcija, kas ir šo procentu īstenās īpašnieces, arī procenti, kas saņemti par otrās valsts valdības garantētajiem aizdevumiem, netiks aplikti ar nodokļiem pirmajā minētajā valstī.

4. Šajā pantā lietotais jēdziens "procenti" nozīmē ienākumu no jebkura veida parāda prasībām neatkarīgi no to nodrošinājuma ar hipotēku, jo sevišķi ienākumu no valdības vērtspapīriem, ienākumu no obligācijām un parādzīmēm, ieskaitot prēmijas un balvas par šiem vērtspapīriem, obligācijām vai parādzīmēm. Soda naudas, kas saņemtas par laikā neveiktajiem maksājumiem, netiks uzskatītas par procentiem, uz kuriem attiecas šis pants.

5. Šī panta 1., 2. un 3.punkta noteikumi netiks piemēroti, ja procentu īstenais īpašnieks, būdams Līgumslēdzējas Valsts rezidents, veic uzņēmējdarbību otrā Līgumslēdzējā Valstī, kurā šie procenti rodas, izmantojot tur esošo pastāvīgo pārstāvniecību, vai arī sniedz šajā otrā valstī neatkarīgus individuālos pakalpojumus, izmantojot tur izvietoto pastāvīgo bāzi, un parāda prasība, uz kuru pamata tiek maksāti procenti, ir faktiski saistīta ar šo pastāvīgo pārstāvniecību vai pastāvīgo bāzi. Šajā gadījumā atbilstoši apstākļiem piemērojami 7.panta (Uzņēmējdarbības peļņa) vai 14 panta (Neatkarīgie individuālie pakalpojumi) noteikumi.

6. Ja procentu maksātājs ir Līgumslēdzējas Valsts rezidents, tiks uzskatīts, ka procenti rodas šajā valstī. Tomēr, ja persona, kas izmaksā procentus, neatkarīgi no tā, vai šī persona ir Līgumslēdzējas Valsts rezidents vai nav, izmanto Līgumslēdzējā Valstī esošo pastāvīgo pārstāvniecību vai tur izvietoto pastāvīgo bāzi, sakarā ar kuru radušās parāda saistības, par kurām tiek maksāti procenti, un šos procentus izmaksā (sedz) pastāvīgā pārstāvniecība vai pastāvīgā bāze, tiks uzskatīts, ka šie procenti rodas tajā valstī, kurā atrodas pastāvīgā pārstāvniecība vai pastāvīgā bāze.

7. Ja sakarā ar īpašām attiecībām starp procentu maksātāju un procentu īsteno īpašnieku vai starp viņiem abiem un kādu trešo personu procentu summa, kas attiecas uz parāda prasībām, uz kuru pamata tā tiek izmaksāta, pārsniedz summu, par kādu būtu varējuši vienoties procentu maksātājs un procentu īstenais īpašnieks, ja starp viņiem nebūtu minēto īpašo attiecību, tad šī panta noteikumi tiks piemēroti tikai attiecībā uz pēdējo minēto summu. Šajā gadījumā atlikusī maksājumu daļa tiek aplikta ar nodokļiem atbilstoši katras Līgumslēdzējas Valsts likumdošanas aktiem ar nosacījumu, ka tiek ievēroti pārējie šīs Konvencijas noteikumi. 

12.pants

Autoratlīdzība

1. Autoratlīdzību, kas rodas Līgumslēdzējā Valstī un tiek izmaksāta otras Līgumslēdzējas Valsts rezidentam, var aplikt ar nodokļiem šajā otrā valstī.

2. Tomēr šo autoratlīdzību var aplikt ar nodokļiem atbilstoši attiecīgās valsts likumdošanas aktiem tajā Līgumslēdzējā Valstī, kurā tā rodas. Ja autoratlīdzības saņēmējs ir šīs autoratlīdzības īstenais īpašnieks, nodoklis nedrīkst pārsniegt 10 procentus no autoratlīdzības bruto apjoma.

3. Jēdziens "autoratlīdzība" šajā pantā nozīmē jebkāda veida maksājumus, ko saņem kā atlīdzību par jebkuru autortiesību izmantošanu vai par tiesībām izmantot autortiesības uz literāru, zinātnisku vai mākslas darbu, ieskaitot kinofilmas un filmas vai ierakstus radio vai televīzijas pārraidēm, par jebkura patenta, firmas zīmes, dizaina vai modeļa, plāna, slepenas formulas vai procesa izmantošanu, vai par tiesībām tos izmantot, vai par rūpnieciskas, komerciālas, vai zinātniskas iekārtas izmantošanu, vai par tiesībām to izmantot, vai par informāciju attiecībā uz rūpniecisku, komerciālu vai zinātnisku darbību un pieredzi.

4. Šī panta 1. un 2.punkta nosacījumi netiks piemēroti, ja šo maksājumu īstenais īpašnieks, būdams Līgumslēdzējas Valsts rezidents, veic uzņēmējdarbību otrā Līgumslēdzējā Valstī, kurā rodas autoratlīdzība, izmantojot tur esošo pastāvīgo pārstāvniecību, vai šajā otrā valstī sniedz neatkarīgus individuālos pakalpojumus, izmantojot tur izvietoto pastāvīgo bāzi, un, ja tiesības vai īpašums, uz kuriem attiecas autoratlīdzības maksājumi, ir faktiski saistīti ar šo pastāvīgo pārstāvniecību vai pastāvīgo bāzi. Šajā gadījumā atbilstoši apstākļiem piemērojami 7.panta (Uzņēmējdarbības peļņa) vai 14.panta (Neatkarīgie individuālie pakalpojumi) noteikumi.

5. Ja autoratlīdzības maksātājs ir Līgumslēdzējas Valsts rezidents, tiks uzskatīts, ka autoratlīdzība rodas šajā valstī. Tomēr, ja persona, kas izmaksā autoratlīdzību, neatkarīgi no tā, vai šī persona ir Līgumslēdzējas Valsts rezidents vai nav, izmanto Līgumslēdzējā Valstī esošo pastāvīgo pārstāvniecību vai tur izvietoto pastāvīgo bāzi, sakarā ar kuru radušās saistības izmaksāt autoratlīdzību, un šo autoratlīdzību izmaksā pastāvīgā pārstāvniecība vai pastāvīgā bāze, tiks uzskatīts, ka autoratlīdzība rodas tajā valstī, kurā atrodas pastāvīgā pārstāvniecība vai pastāvīgā bāze.

6. Ja sakarā ar īpašām attiecībām starp autoratlīdzības maksātāju un autoratlīdzības īsteno īpašnieku vai starp viņiem abiem un kādu trešo personu autoratlīdzības summa, kas attiecas uz tiesībām, izmantošanu vai informāciju, pārsniedz autoratlīdzības summu, par kādu būtu varējuši vienoties maksātājs un īstenais īpašnieks, ja starp viņiem nebūtu minēto īpašo attiecību, tad šī panta noteikumi tiks piemēroti tikai attiecībā uz pēdējo minēto summu. Šajā gadījumā maksājumu daļa, kas pārsniedz šo summu, tiek aplikta ar nodokļiem atbilstoši katras Līgumslēdzējas Valsts likumdošanas aktiem ar nosacījumu, ka tiek ievēroti pārējie šīs Konvencijas noteikumi. 

13.pants

Kapitāla pieaugums

1. Ienākumu, ko gūst Līgumslēdzējas Valsts rezidents, atsavinot 6.pantā (Ienākums no nekustamā īpašuma) minēto otrā Līgumslēdzējā Valstī esošo nekustamo īpašumu vai tādas sabiedrības akcijas, kuras aktīvi sastāv galvenokārt no šāda īpašuma, vai arī līdzdalību līgumsabiedrībā vai trastā, kura savu vērtību galvenokārt iegūst no otrā Līgumslēdzējā Valstī esošā nekustamā īpašuma, var aplikt ar nodokļiem šajā otrā valstī.

2. Pieaugumu (kapitāla), kas gūts par kustamā īpašuma, kas ir Līgumslēdzējas Valsts uzņēmuma pastāvīgās pārstāvniecības otrā Līgumslēdzējā Valstī uzņēmējdarbības īpašuma daļa, atsavināšanu vai par kustamā īpašuma, kas ir piederīgs Līgumslēdzējas Valsts rezidenta pastāvīgajai bāzei otrā Līgumslēdzējā Valstī, kura izveidota neatkarīgo individuālo pakalpojumu sniegšanai, atsavināšanu, ieskaitot pieaugumu (kapitāla) no šādas pastāvīgās pārstāvniecības (atsevišķi vai kopā ar visu uzņēmumu) atsavināšanas vai šādas pastāvīgās bāzes atsavināšanas, var aplikt ar nodokļiem otrā Līgumslēdzējā Valstī.

3. Kapitāla pieaugumu, ko gūst Līgumslēdzējas Valsts uzņēmums, atsavinot šī uzņēmuma starptautiskajā satiksmē izmantotos jūras vai gaisa transporta līdzekļus vai atsavinot kustamo īpašumu, kas saistīts ar šo jūras vai gaisa transporta līdzekļu izmantošanu, apliek ar nodokļiem tikai šajā valstī.

4. Kapitāla pieaugumu, kas gūts par jebkura tāda īpašuma atsavināšanu, kas atšķiras no 1., 2. un 3.punktā minētā īpašuma, apliek ar nodokļiem tikai tajā Līgumslēdzējā Valstī, kuras rezidents ir šī īpašuma atsavinātājs. 

14.pants

Neatkarīgie individuālie pakalpojumi

1. Līgumslēdzējas Valsts rezidenta — fiziskās personas ienākumi, kas gūti, sniedzot profesionālus pakalpojumus vai veicot cita veida neatkarīgu darbību, tiks aplikti ar nodokļiem tikai šajā valstī, izņemot gadījumus, kad šī persona savas darbības vajadzībām izmanto tai regulāri pieejamu pastāvīgo bāzi otrā Līgumslēdzējā Valstī. Ja tiek izmantota šāda pastāvīgā bāze, ienākumus var aplikt ar nodokļiem arī otrā Līgumslēdzējā Valstī, bet tikai tik lielā mērā, kādā tie ir attiecināmi uz šo pastāvīgo bāzi. Gadījumā, kad Līgumslēdzējas Valsts rezidents — fiziskā persona uzturas otrā Līgumslēdzējā Valstī laika posmu vai laika posmus, kuri kopumā pārsniedz 183 dienas jebkurā 12 mēnešu periodā, kas sākas vai beidzas attiecīgajā taksācijas gadā, tiks uzskatīts, ka šī persona izmanto regulāri pieejamu pastāvīgo bāzi otrā Līgumslēdzējā Valstī, un ienākums, kas gūts par otrā valstī veiktajām iepriekš minētajām darbībām, tiks attiecināts uz šo pastāvīgo bāzi.

2. Jēdziens "profesionālie pakalpojumi" it īpaši ietver neatkarīgu zinātnisko, literāro, māksliniecisko, izglītojošo vai pedagoģisko darbību, kā arī ārsta, jurista, inženiera, arhitekta, zobārsta un grāmatveža neatkarīgu darbību. 

15.pants

Atkarīgie individuālie pakalpojumi

1. Saskaņā ar 16.panta (Direktoru atalgojums),18.panta (Pensijas) 19.panta (Valsts dienests) un 20.panta (Studenti, profesori un pētnieki) noteikumiem darba alga, izpeļņa un cita līdzīga veida atlīdzība, ko saņem Līgumslēdzējas Valsts rezidents par savu darbu, tiks aplikta ar nodokļiem tikai šajā valstī, ja vien algotais darbs netiek veikts otrā Līgumslēdzējā Valstī. Ja algotais darbs tiek veikts otrā Līgumslēdzējā Valstī, par to saņemto atlīdzību var aplikt ar nodokļiem šajā otrā valstī.

2. Neatkarīgi no 1.punkta noteikumiem atlīdzība, kuru Līgumslēdzējas Valsts rezidents saņem par algotu darbu, kas tiek veikts otrā Līgumslēdzējā Valstī, tiks aplikta ar nodokli tikai pirmajā minētajā valstī, ja:

a) atlīdzības saņēmējs ir atradies otrā valstī ne vairāk kā 183 dienas jebkurā 12 mēnešu laika posmā, kas sākas vai beidzas attiecīgajā taksācijas gadā; un

b) atlīdzību maksā darba devējs, kas nav otras valsts rezidents, vai cita persona tāda darba devēja vārdā; un

c) atlīdzību neizmaksā pastāvīgā pārstāvniecība vai pastāvīgā bāze, ko darba devējs izmanto otrā valstī.

3. Neatkarīgi no šī panta iepriekšminētajiem noteikumiem atlīdzību par darbu, kas tiek veikts, strādājot uz Līgumslēdzējas Valsts uzņēmuma starptautiskajā satiksmē izmantotajiem jūras vai gaisa transporta līdzekļiem, var aplikt ar nodokļiem šajā valstī. 

16.pants

Direktoru atalgojums

Direktoru atalgojumu un citus līdzīgus maksājumus, kurus saņem Līgumslēdzējas Valsts rezidents kā sabiedrības, kas ir otras Līgumslēdzējas Valsts rezidents, direktoru padomes vai citas līdzīgas institūcijas loceklis, var aplikt ar nodokļiem otrā Līgumslēdzējā Valstī. 

17.pants

Mākslinieki un sportisti

1. Neatkarīgi no 14.panta (Neatkarīgie individuālie pakalpojumi) un 15.panta (Atkarīgie individuālie pakalpojumi) noteikumiem ienākumus, ko gūst Līgumslēdzējas Valsts rezidents kā izpildītājmākslinieks, piemēram, kā teātra, kino, radio vai televīzijas aktieris, kā mūziķis vai arī kā sportists par savu individuālo darbību otrā Līgumslēdzējā Valstī, var aplikt ar nodokļiem šajā otrā valstī.

2. Ja mākslinieka vai sportista ienākumi par viņa individuālo darbību attiecīgajā jomā tiek maksāti nevis pašam māksliniekam vai sportistam, bet citai personai, šos ienākumus neatkarīgi no 7.panta (Uzņēmējdarbības peļņa), 14.panta (Neatkarīgie individuālie pakalpojumi) un 15.panta (Atkarīgie individuālie pakalpojumi) noteikumiem var aplikt ar nodokļiem tajā Līgumslēdzējā Valstī, kurā tiek veikta izpildītājmākslinieka vai sportista darbība.

3. Šī panta 1. un 2.punkta noteikumi netiks piemēroti attiecībā uz ienākumiem, kas gūti par darbību, ko Līgumslēdzējā Valstī veic mākslinieks vai sportists, ja viņa vizītei šajā valstī pilnīgi vai galvenokārt tiek sniegts atbalsts no vienas vai abu Līgumslēdzēju Valstu vai to pašvaldību līdzekļiem. Šajā gadījumā no šīm darbībām gūtais ienākums tiks aplikts ar nodokļiem tikai tajā Līgumslēdzējā Valstī kuras rezidents ir šis mākslinieks vai sportists. 

18.pants

Pensijas

1. Saskaņā ar 19.panta (Valsts dienests) 2.punktu pensija un cita veida līdzīga atlīdzība par iepriekš veikto algoto darbu, ko saņem Līgumslēdzējas Valsts rezidents, tiks aplikta ar nodokļiem tikai šajā valstī.

2. Alimenti un citi līdzīgi maksājumi (ieskaitot bērnu pabalstus), kuri rodas Līgumslēdzējā Valstī un tiek izmaksāti otras Līgumslēdzējas Valsts rezidentam, tiks aplikti ar nodokļiem tikai šajā otrā valstī. 

19.pants

Valsts dienests

1. a) Darba alga, izpeļņa un cita līdzīga atlīdzība, kura nav pensija un kuru fiziskajai personai izmaksā Līgumslēdzēja Valsts vai tās pašvaldība par šai valstij vai pašvaldībai sniegtajiem pakalpojumiem, tiks aplikta ar nodokļiem tikai šajā valstī.

b) Tomēr šī darba alga, izpeļņa un cita līdzīga atlīdzība tiks aplikta ar nodokļiem tikai otrā Līgumslēdzējā Valstī, ja pakalpojumi ir sniegti šajā otrā valstī un šī fiziskā persona ir tāds šīs valsts rezidents, kas:

    (i) ir šīs valsts pilsonis; vai

    (ii) nav kļuvis par šīs valsts rezidentu tikai un vienīgi ar mērķi sniegt pakalpojumus.

2. a) Jebkura pensija, ko fiziskajai personai izmaksā Līgumslēdzēja Valsts vai tās pašvaldība, vai ko izmaksā no šīs Līgumslēdzējas Valsts vai pašvaldības izveidotiem fondiem par pakalpojumiem, ko šī persona sniegusi šai valstij vai pašvaldībai, tiks aplikta ar nodokļiem tikai šajā valstī.

b) Tomēr šī pensija tiks aplikta ar nodokļiem tikai otrā Līgumslēdzējā Valstī, ja šī fiziskā persona ir šīs otras valsts rezidents un pilsonis.

3. Darba algai, izpeļņai, citai līdzīgai atlīdzībai un pensijai, ko saņem par pakalpojumiem, kas sniegti sakarā ar Līgumslēdzējas Valsts vai tās pašvaldības veikto uzņēmējdarbību, ir jāpiemēro 15.panta (Atkarīgie individuālie pakalpojumi), 16.panta (Direktoru atalgojums) un 18.panta (Pensijas) noteikumi. 

20.pants

Studenti, profesori un pētnieki

1. Maksājumi, kurus uzturēšanās, studiju vai stažēšanās vajadzībām saņem students, māceklis vai stažieris, kas ir, vai tieši pirms ierašanās Līgumslēdzējā Valstī bija, otras Līgumslēdzējas Valsts rezidents un kas atrodas pirmajā minētajā valstī vienīgi ar nolūku studēt vai stažēties, netiks aplikti ar nodokļiem šajā valstī, ja šie maksājumi rodas ārpus šīs valsts.

2. Ienākumi, kurus par veikto mācību vai pētniecības darbu saņem fiziskā persona, kas ieradusies Līgumslēdzējā Valstī ar nolūku mācīt vai nodarboties ar pētniecības darbu universitātē, koledžā vai citā šajā Līgumslēdzējā Valstī atzītā izglītības vai zinātnes iestādē un kas ir, vai tieši pirms ierašanās Līgumslēdzējā Valstī bija, otras Līgumslēdzējas Valsts rezidents, netiks aplikta ar nodokļiem pirmajā minētajā valstī divu gadu laikā no dienas, kad šī persona pirmoreiz ieradās minētajā nolūkā.

3. Šī panta 2.punkta noteikumi netiks piemēroti ienākumiem, kas gūti par izpētes darbiem, ja šie izpētes darbi ir veikti nevis sabiedriskajās interesēs, bet galvenokārt kādas personas vai personu privātajās interesēs. 

21.pants

Darbība šelfa zonā

1. Šī panta noteikumi tiks piemēroti, neatkarīgi no šīs Konvencijas 4. līdz 20.panta noteikumiem.

2. Personas — Līgumslēdzējas Valsts rezidenta otras Līgumslēdzējas Valsts šelfa zonā veiktā darbība, kas saistīta ar jūras un zemes dzīļu un tur esošo dabas resursu pētīšanu vai izmantošanu, saskaņā ar 3. un 4.punkta noteikumiem tiks uzskatīta par tādu uzņēmējdarbību, kas veikta otrā Līgumslēdzējā Valstī, izmantojot tur esošo pastāvīgo pārstāvniecību vai pastāvīgo bāzi.

3. Šī panta 2.punkta noteikumi netiks piemēroti, ja darbības ilgums kopumā nepārsniedz 30 dienu laika posmu vai laika posmus jebkurā 12 mēnešu ilgā periodā. Tomēr šī punkta vajadzībām:

a) darbība, ko veic persona, kura ir saistīta ar citu personu, tiks uzskatīta par šīs citas personas veiktu darbību, ja šī darbība pēc būtības ir tāda pati kā tā, ko veic pirmā minētā persona, izņemot tādā mērā, kādā pirmās personas darbība tiek veikta vienlaicīgi ar otrās personas veikto darbību;

b) persona tiks uzskatīta par saistītu ar citu personu, ja viena no tām tieši vai netieši kontrolē otru, vai arī kāda trešā persona vai trešās personas tieši vai netieši kontrolē abas minētās personas.

4. Peļņa, ko saņem jebkuras Līgumslēdzējas Valsts rezidents par piegādēm vai personāla pārvadāšanu uz vai starp vietām jebkurā Līgumslēdzējā Valstī, kur notiek ar jūras un zemes dzīļu un tur esošo dabas resursu pētīšanu vai izmantošanu saistītā darbība, vai arī par velkoņu un citu kuģu pakalpojumiem, kas notiek papildus iepriekšminētajai darbībai, tiks aplikta ar nodokļiem tikai pirmajā minētajā valstī.

5. a) Saskaņā ar šī punkta b) apakšpunkta noteikumiem darba alga, izpeļņa un cita veida līdzīga atlīdzība, ko saņem Līgumslēdzējas Valsts rezidents par darbu, kas saistīts ar otrās Līgumslēdzējas Valsts jūras un zemes dzīļu un tur esošo dabas resursu izpēti vai izmantošanu, var tikt aplikta ar nodokļiem šajā otrā valstī tik lielā mērā, cik šis darbs ir ticis veikts šīs otrās valsts šelfa zonā. Tomēr, šāda atlīdzība tiks aplikta ar nodokļiem tikai pirmajā minētajā valstī, ja jebkurā 12 mēnešu ilgā periodā darbības ilgums otrās valsts šelfa zonā kopumā nepārsniedz 30 dienu laika posmu vai laika posmus un ja darbs ir veikts tāda darba devēja labā, kas nav otras valsts rezidents.

b) Darba alga, izpeļņa un cita veida līdzīga atlīdzība, ko saņem Līgumslēdzējas Valsts rezidents par darbu, kas veikts uz jūras vai gaisa transporta līdzekļa, kas veic piegādes vai personāla pārvadājumus uz vai starp vietām otrā Līgumslēdzējā Valstī, kur notiek ar jūras un zemes dzīļu un tur esošo dabas resursu pētīšanu vai izmantošanu saistītā darbība, vai arī par darbu uz velkoņiem vai citiem kuģiem, kas sniedz pakalpojumus papildus iepriekšminētajai darbībai, var tikt aplikta ar nodokļiem tajā Līgumslēdzējā Valstī, kuras rezidents ir šo personu darba devējs.

6. Ienākumu, ko Līgumslēdzējas Valsts rezidents gūst atsavinot:

a) pētīšanas vai izmantošanas tiesības; vai

b) īpašumu, kas izvietots otrā Līgumslēdzējā Valstī un tiek izmantots otras valsts jūras un zemes dzīļu un tur esošo dabas resursu pētīšanai vai izmantošanai; vai

c) akcijas, kuras savu vērtību vai vērtības lielāko daļu tieši vai netieši iegūst no iepriekš minētajām tiesībām vai īpašuma, vai no iepriekš minētajām tiesībām un īpašuma kopā, var aplikt ar nodokļiem šajā otrā valstī.

Šajā pantā jēdziens "pētīšanas vai izmantošanas tiesības" nozīmē tiesības uz īpašumu, kas var tikt radīts, veicot otras Līgumslēdzējas Valsts jūras un zemes dzīļu un tur esošo dabas resursu pētīšanu vai izmantošanu, ieskaitot tiesības uz līdzdalību šajā īpašumā vai peļņā, kuru var gūt šis īpašums. 

22.pants

Citi ienākumi

1. Šīs Konvencijas iepriekšējos pantos neaplūkotie Līgumslēdzējas Valsts rezidenta ienākumi neatkarīgi no to rašanās vietas tiks aplikti ar nodokļiem tikai šajā valstī.

2. Šī panta 1.punkta noteikumi netiks piemēroti ienākumam, kas nav ienākums no 6.panta (Ienākums no nekustamā īpašuma) 2.punktā definētā nekustamā īpašuma, ja šī ienākuma saņēmējs, būdams Līgumslēdzējas Valsts rezidents, veic uzņēmējdarbību otrā Līgumslēdzējā Valstī, izmantojot tur esošo pastāvīgo pārstāvniecību, vai sniedz šajā otrā valstī neatkarīgus individuālos pakalpojumus, izmantojot tur izvietoto pastāvīgo bāzi, un ja tiesības vai īpašums, par ko tiek saņemts šis ienākums, ir faktiski saistīti ar šo pastāvīgo pārstāvniecību vai pastāvīgo bāzi. Šajā gadījumā atbilstoši apstākļiem piemērojami 7.panta (Uzņēmējdarbības peļņa) vai 14.panta (Neatkarīgie individuālie pakalpojumi) noteikumi. 

23.pants

Kapitāls

1. Kapitālu, ko pārstāv 6.pantā (Ienākums no nekustamā īpašuma) minētais Līgumslēdzējas Valsts rezidenta nekustamais īpašums, kas atrodas otrā Līgumslēdzējā Valstī, var aplikt ar nodokļiem šajā otrā valstī.

2. Kapitālu, ko pārstāv kustamais īpašums, kas veido daļu no otrā Līgumslēdzējā Valstī esošās Līgumslēdzējas Valsts uzņēmuma pastāvīgās pārstāvniecības uzņēmējdarbības īpašuma, vai kapitālu, ko pārstāv kustamais īpašums, kas ir piederīgs Līgumslēdzējas Valsts rezidenta pastāvīgajai bāzei otrā Līgumslēdzējā Valstī, kura tiek izmantota neatkarīgu individuālo pakalpojumu sniegšanai, var aplikt ar nodokļiem šajā otrā valstī.

3. Kapitāls, ko pārstāv jūras un gaisa transporta līdzekļi, kurus Līgumslēdzējas Valsts uzņēmums izmanto starptautiskajā satiksmē, kā arī kustamais īpašums, kas piederīgs šo jūras un gaisa transporta līdzekļu izmantošanai, tiks aplikts ar nodokļiem tikai šajā Līgumslēdzējā Valstī.

4. Visi pārējie Līgumslēdzējas Valsts rezidenta kapitāla elementi tiks aplikti ar nodokļiem tikai šajā valstī. 

24.pants

Nodokļu dubultās uzlikšanas novēršana

1. Kazahstānā nodokļu dubultā uzlikšana tiks novērsta šādā veidā:

a) gadījumā, kad Kazahstānas rezidents gūst ienākumus vai viņam pieder kapitāls, kuru saskaņā ar šīs Konvencijas noteikumiem var aplikt ar nodokļiem Latvijā, Kazahstānai jāatļauj:

    (i) samazināt šī rezidenta ienākuma nodokli par nodokļa daļu, kas ir vienāda ar Latvijā samaksāto ienākuma nodokli;

    (ii) samazināt šī rezidenta kapitāla nodokli par nodokļa daļu, kas ir vienāda ar Latvijā samaksāto kapitāla nodokli.

Šie samazinājumi tomēr nedrīkst pārsniegt tādu summu, kāda būtu aprēķināta saskaņā ar Kazahstānā piemērojamiem noteikumiem un likmēm, ja iepriekš minētais ienākums tiktu gūts vai kapitāls atrastos Kazahstānā;

b) Gadījumā, kad Kazahstānas rezidents gūst ienākumu vai viņam pieder kapitāls, kurš saskaņā ar šīs Konvencijas noteikumiem tiek aplikts ar nodokļiem tikai Latvijā, Kazahstāna var iekļaut šo ienākumu vai kapitālu nodokļu bāzē, bet tikai tādēļ, lai noteiktu nodokļu likmes citam tāda veida ienākumam vai kapitālam, kas ir apliekams ar nodokļiem Kazahstānā.

2. Latvijā nodokļu dubultā uzlikšana tiks novērsta šādā veidā:

a) gadījumā, kad Latvijas rezidents gūst ienākumus vai viņam pieder kapitāls, kuru saskaņā ar šīs Konvencijas noteikumiem var aplikt ar nodokļiem Kazahstānā, ja vien Latvijas Republikas iekšzemes likumdošanas akti nenodrošina labvēlīgākus noteikumus, Latvijai jāatļauj:

    (i) samazināt šī rezidenta ienākuma nodokli par nodokļa daļu, kas ir vienāda ar Kazahstānā samaksāto ienākuma nodokli;

    (ii) samazināt šī rezidenta kapitāla nodokli par nodokļa daļu, kas ir vienāda ar Kazahstānā samaksāto kapitāla nodokli.

Šie samazinājumi tomēr nekādā gadījumā nedrīkst pārsniegt tādu ienākuma nodokļa vai kapitāla nodokļa summu, kas ir aprēķināta Latvijā pirms šī samazinājuma piemērošanas, kura atkarībā no apstākļiem ir attiecināma uz ienākumu vai kapitālu, kuru var aplikt ar nodokļiem Kazahstānā;

b) lai piemērotu šī punkta a) apakšpunktu, ja sabiedrība — Latvijas rezidents saņem dividendes no sabiedrības — Kazahstānas rezidenta un šajā sabiedrībā Latvijas rezidentam pieder vismaz 10 procenti akciju ar pilnām balsstiesībām, Kazahstānā samaksātajā nodoklī tiks ietverts ne tikai nodoklis, ar kuru apliek dividendes, bet arī nodoklis, ar kuru apliek sabiedrības peļņu, no kuras tiek izmaksātas dividendes. 

25.pants

Diskriminācijas nepieļaušana

1. Līgumslēdzējas Valsts pilsoņi otrā Līgumslēdzējā Valstī netiks pakļauti aplikšanai ar nodokļiem vai jebkurām ar tiem saistītajām prasībām, kas atšķiras no aplikšanas ar nodokļiem vai ar tiem saistītajām prasībām, kurām tiek vai var tikt pakļauti otras valsts pilsoņi tādos pašos apstākļos, vai kas ir apgrūtinošākas, it īpaši attiecībā uz rezidenci. Šis noteikums neatkarīgi no 1.panta (Konvencijas darbības sfēra) noteikumiem attiecas arī uz personām, kas nav vienas Līgumslēdzējas Valsts vai abu Līgumslēdzēju Valstu rezidenti.

2. Bezvalstnieki, kas ir Līgumslēdzējas Valsts rezidenti, nevienā no Līgumslēdzējām Valstīm netiks pakļauti aplikšanai ar nodokļiem vai jebkurām ar tiem saistītām prasībām, kas atšķiras no aplikšanas ar nodokļiem vai ar tiem saistītajām prasībām, kurām tiek vai var tikt pakļauti attiecīgās valsts pilsoņi tādos pašos apstākļos, vai kas ir apgrūtinošākas.

3. Līgumslēdzējas Valsts uzņēmuma pastāvīgo pārstāvniecību, kuru tas izmanto otrā Līgumslēdzējā Valstī, nevar aplikt ar nodokļiem šajā otrā valstī mazāk labvēlīgi, nekā tiktu aplikti ar nodokļiem otras valsts uzņēmumi, kas veic tāda paša veida darbību. Šo noteikumu nedrīkst iztulkot tādējādi, ka tas uzliktu Līgumslēdzējai Valstij pienākumu piešķirt otras Līgumslēdzējas Valsts rezidentiem jebkādas personiskas atlaides, atvieglojumus vai samazinājumus attiecībā uz aplikšanu ar nodokļiem, kādus šī valsts piešķir tās rezidentiem, ņemot vērā viņu civilstāvokli vai ģimenes saistības.

4. Izņemot gadījumus, kad piemērojami 9.panta (Saistītie uzņēmumi) 1.punkta, 11.panta (Procenti) 7.punkta vai 12.panta (Autoratlīdzības) 6.punkta noteikumi, procenti, autoratlīdzības un citi maksājumi, ko Līgumslēdzējas Valsts uzņēmums izmaksā otras Līgumslēdzējas Valsts rezidentam, nosakot šī uzņēmuma apliekamo peļņu, ir jāatskaita no šīs peļņas pēc tādiem pašiem noteikumiem kā tad, ja tie tiktu izmaksāti pirmās minētās valsts rezidentam. Tāpat arī Līgumslēdzējas Valsts uzņēmuma parādi otras Līgumslēdzējas Valsts rezidentam, nosakot šāda uzņēmuma apliekamā kapitāla vērtību, ir jāatskaita pēc tādiem pašiem noteikumiem kā tad, ja tie attiektos uz pirmās minētās valsts rezidentu.

5. Līgumslēdzējas Valsts uzņēmumus, kuru kapitāls pilnīgi vai daļēji pieder vienam vai vairākiem otras Līgumslēdzējas Valsts rezidentiem vai kurus šie rezidenti tieši vai netieši kontrolē, pirmajā minētajā valstī nevar pakļaut aplikšanai ar nodokļiem vai jebkurām ar tiem saistītajām prasībām, kas atšķiras no aplikšanas ar nodokļiem un ar tiem saistītajām prasībām, kurām tiek vai var tikt pakļauti līdzīgi pirmās minētās valsts uzņēmumi, vai kas ir apgrūtinošākas.

6. Šī panta noteikumi neatkarīgi no 2.panta (Nodokļi, uz kuriem attiecas Konvencija) noteikumiem attiecas uz visu veidu un nosaukumu nodokļiem. 

26.pants

Savstarpējās saskaņošanas procedūra

1. Ja persona uzskata, ka vienas Līgumslēdzējas Valsts vai abu Līgumslēdzēju Valstu rīcība izraisa vai var izraisīt šīs personas aplikšanu ar nodokļiem, kas neatbilst šīs Konvencijas noteikumiem, šī persona var neatkarīgi no šo valstu iekšzemes likumdošanas aktu noteikumiem, kas paredz novērst šādu aplikšanu ar nodokļiem, iesniegt savu jautājumu izskatīšanai tās Līgumslēdzējas Valsts kompetentām iestādēm, kuras rezidents ir šī persona, vai arī, ja jautājums attiecas uz 25.panta (Diskriminācijas nepieļaušana) 1.punktu, tās Līgumslēdzējas Valsts kompetentām iestādēm, kuras pilsonis ir šī persona. Jautājums jāiesniedz izskatīšanai triju gadu laikā no pirmā paziņojuma par rīcību, kas izraisījusi aplikšanu ar nodokļiem neatbilstoši šīs Konvencijas noteikumiem.

2. Kompetentās iestādes pienākums ir censties atrisināt šo jautājumu, ja tā uzskata, ka sūdzība ir pamatota, un, ja šī iestāde pati nespēj panākt apmierinošu risinājumu, tai jāmēģina atrisināt jautājumu, savstarpēji vienojoties ar otras Līgumslēdzējas Valsts kompetentajām iestādēm, lai novērstu šai Konvencijai neatbilstošu aplikšanu ar nodokļiem. Katra šāda panāktā vienošanās ir jāizpilda neatkarīgi no Līgumslēdzējas Valsts iekšzemes likumdošanas aktos noteiktajiem laika ierobežojumiem.

3. Līgumslēdzēju Valstu kompetentajām iestādēm ir jācenšas savstarpējas saskaņošanas gaitā atrisināt jebkurus sarežģījumus vai novērst šaubas, kas var rasties, skaidrojot vai piemērojot šo Konvenciju. Tās var arī savstarpēji konsultēties, lai novērstu nodokļu dubulto uzlikšanu gadījumos, kādi nav paredzēti šajā Konvencijā.

4. Līgumslēdzēju Valstu kompetentās iestādes var tieši sazināties viena ar otru, lai panāktu vienošanos par iepriekšējos punktos minētajiem jautājumiem. Ja šķiet, ka vienošanās panākšanai ir lietderīga mutiska viedokļu apmaiņa, šāda viedokļu apmaiņa var notikt, izveidojot komisiju, kas sastāv no Līgumslēdzēju Valstu kompetento iestāžu pārstāvjiem. 

27.pants

Informācijas apmaiņa

1. Līgumslēdzēju Valstu kompetentajām iestādēm ir jāapmainās ar informāciju, kas nepieciešama šīs Konvencijas noteikumu izpildīšanai vai Līgumslēdzēju Valstu iekšzemes likumdošanas aktu par nodokļiem uz kuriem attiecas šī Konvencija, prasību izpildei tiktāl, ciktāl šie likumi nav pretrunā ar šo Konvenciju. Konvencijas 1.pants (Konvencijas darbības sfēra) neierobežo informācijas apmaiņu. Jebkura informācija, ko saņem Līgumslēdzēja Valsts, ir jāuzskata par slepenu tāpat kā informācija, kas tiek iegūta saskaņā ar šīs valsts likumdošanas aktiem un tā var tikt izpausta tikai tām personām vai varas iestādēm (arī tiesas un administratīvajām iestādēm), kas ir iesaistītas nodokļu, uz kuriem attiecas šī Konvencija, aprēķināšanā, iekasēšanā, piespiedu līdzekļu piemērošanā, saukšanā pie juridiskas atbildības vai apelāciju izskatīšanā. Šīm personām vai varas iestādēm šī informācija jālieto vienīgi iepriekšminētajos nolūkos. Tās drīkst izpaust šo informāciju atklātās tiesas sēdēs vai tiesas nolēmumos.

2. Nekādā gadījumā 1.punkta noteikumus nedrīkst iztulkot tādējādi, ka tie uzliktu Līgumslēdzējai Valstij pienākumu:

a) veikt administratīvus pasākumus, kas nesaskan ar vienas vai otras Līgumslēdzējas Valsts likumdošanas aktiem vai administratīvo praksi;

b) sniegt informāciju, kas nav pieejama saskaņā ar vienas vai otras Līgumslēdzējas Valsts likumdošanas aktiem vai parasti piemērojamo administratīvo praksi;

c) sniegt informāciju, kas var atklāt jebkuru tirdzniecības, uzņēmējdarbības, ražošanas, komerciālo vai profesionālo noslēpumu vai tirdzniecības procesu, vai arī sniegt informāciju, kuras izpaušana būtu pretrunā ar sabiedrības interesēm (ordre public).

3. Līgumslēdzēju Valstu kompetentās iestādes var noslēgt papildu vienošanos, lai noteiktu šī panta noteikumu piemērošanas kārtību. 

28.pants

Priekšrocību ierobežošana

Neatkarīgi no jebkuriem citiem šīs Konvencijas noteikumiem Līgumslēdzējas Valsts rezidents nesaņems nekādus nodokļu atvieglojumus vai atbrīvojumus no nodokļiem, kādus tam saskaņā ar šo Konvenciju var piešķirt otra Līgumslēdzēja Valsts, ja šī rezidenta vai ar šo rezidentu saistītas personas izveidošanas vai pastāvēšanas galvenais mērķis vai viens no galvenajiem mērķiem ir bijis izmantot šīs Konvencijas priekšrocības, kuras tam citādi nebūtu piemērojamas.

 29.pants

Diplomātisko un konsulāro pārstāvniecību personāls

Nekas šajā Konvencijā nedrīkst ietekmēt diplomātisko misiju vai konsulāro pārstāvniecību personāla fiskālās privilēģijas, kuras tam piemērojamas saskaņā ar starptautisko tiesību vispārējiem noteikumiem vai īpašiem nolīgumiem. 

30.pants

Stāšanās spēkā

1. Līgumslēdzēju Valstu valdības paziņo viena otrai par šo valstu konstitucionālo prasību, kādas ir nepieciešamas lai šī Konvencija stātos spēkā, izpildi.

2. Šī Konvencija stāsies spēkā ar 1.punktā minētā pēdējā paziņojuma iesniegšanas datumu, un tās noteikumi abās Līgumslēdzējās Valstīs tiks piemēroti:

a) attiecībā uz nodokļiem, ko ietur izmaksas brīdī, sākot ar ienākumu, ko gūst janvāra pirmajā dienā vai pēc janvāra pirmās dienas tajā kalendārajā gadā, kas seko gadam, kurā šī Konvencija stājas spēkā;

b) attiecībā uz pārējiem ienākuma un kapitāla nodokļiem, sākot ar nodokļiem, kas maksājami jebkurā nodokļu gadā, kurš sākas janvāra pirmajā dienā vai pēc janvāra pirmās dienas tajā kalendārajā gadā, kas seko gadam, kurā šī Konvencija stājas spēkā. 

31.pants

Darbības izbeigšana

Šī Konvencija ir spēkā tik ilgi, kamēr Līgumslēdzēja Valsts tās darbību izbeidz. Katra Līgumslēdzēja Valsts var izbeigt šīs Konvencijas darbību, diplomātiskā ceļā iesniedzot rakstisku notu par izbeigšanu vismaz sešus mēnešus pirms jebkura kalendārā gada beigām. Šajā gadījumā Konvencijas darbība abās Līgumslēdzējās Valstīs tiks izbeigta:

a) attiecībā uz nodokļiem, ko ietur izmaksas brīdī, sākot ar ienākumu, ko gūst janvāra pirmajā dienā vai pēc janvāra pirmās dienas tajā kalendārajā gadā, kas seko gadam, kurā ir iesniegta attiecīgā nota;

b) attiecībā uz pārējiem ienākuma un kapitāla nodokļiem, sākot ar nodokļiem, kas maksājami jebkurā finansu gadā, kurš sākas janvāra pirmajā dienā vai pēc janvāra pirmās dienas tajā kalendārajā gadā, kas seko gadam, kurā ir iesniegta attiecīgā nota.

Šo apliecinot, apakšā parakstījušies, būdami pienācīgi pilnvaroti, šo Konvenciju ir parakstījuši.

Konvencija noslēgta Astanā 2001.gada 6.septembrī divos eksemplāros, katrs no tiem latviešu, kazahu, krievu un angļu valodā. Visi teksti ir vienlīdz autentiski. Atšķirīgas interpretācijas gadījumā noteicošais ir teksts angļu valodā.

PROTOKOLS

Parakstot Latvijas Republikas un Kazahstānas Republikas Konvenciju par nodokļu dubultās uzlikšanas un nodokļu nemaksāšanas novēršanu attiecībā uz ienākuma un kapitāla nodokļiem (turpmāk — "Konvencija") puses ir vienojušās par sekojošiem noteikumiem, kas ir Konvencijas neatņemama sastāvdaļa.

Attiecībā uz 10.panta (Dividendes) 6.punktu:

10.panta (Dividendes) 6.punkta noteikumi netiks piemēroti tik ilgi, kamēr 6.punktā minētais papildu nodoklis netiek uzlikts abās Līgumslēdzējās Valstīs saskaņā ar šo valstu iekšzemes likumdošanas aktiem. Gadījumā, kad šāds nodoklis tiks piemērots abās Līgumslēdzējās Valstīs, kompetentajām iestādēm savstarpējas saskaņošanas ceļā ir jānosaka datums, ar kuru tiek uzsākta 6.punkta noteikumu piemērošana abās Līgumslēdzējās Valstīs.

Protokols sastādīts Astanā 2001.gada 6.septembrī divos eksemplāros, katrs no tiem latviešu, kazahu, krievu un angļu valodā. Visi teksti ir vienlīdz autentiski. Atšķirīgas interpretācijas gadījumā noteicošais ir teksts angļu valodā.

CONVENTION
BETWEEN THE REPUBLIC OF LATVIA AND THE REPUBLIC OF KAZAKHSTAN FOR THE AVOIDANCE OF DOUBLE TAXATION AND THE PREVENTION OF FISCAL EVASION WITH RESPECT TO TAXES ON INCOME AND ON CAPITAL

The Republic of Latvia and the Republic of Kazakhstan,

Desiring to conclude a Convention for the avoidance of double taxation and the prevention of fiscal evasion with respect to taxes on income and on capital,

Have agreed as follows:

Article 1

PERSONAL SCOPE

This Convention shall apply to persons who are residents of one or both of the Contracting States.

Article 2

TAXES COVERED

1. This Convention shall apply to taxes on income and on capital imposed on behalf of a Contracting State or of its local authorities, irrespective of the manner in which they are levied.

2. There shall be regarded as taxes on income and on capital all taxes imposed on total income, on total capital, or on elements of income or of capital, including taxes on gains from the alienation of movable or immovable property, as well as taxes on capital appreciation.

3. The existing taxes to which the Convention shall apply are in particular:

a) in Kazakhstan:

(i) the tax on income of legal persons and individuals;

(ii) the tax on the property of legal persons and individuals;

(hereinafter referred to as "Kazakhstan tax");

b) in Latvia:

(i) the enterprise income tax (uznemumu ienakuma nodoklis);

(ii) the personal income tax (iedzivotaju ienakuma nodoklis);

(iii) the property tax (ipasuma nodoklis);

(hereinafter referred to as "Latvian tax").

4. The Convention shall apply also to any identical or substantially similar taxes which are imposed after the date of signature of the Convention in addition to, or in place of, the existing taxes. The competent authorities of the Contracting States shall notify each other of any significant changes which have been made in their respective taxation laws.

Article 3

GENERAL DEFINITIONS

1. For the purposes of this Convention, unless the context otherwise requires:

a) the terms "a Contracting State" and "the other Contracting State" mean Latvia or Kazakhstan, as the context requires;

b) the term:

(i) "Kazakhstan" means the Republic of Kazakhstan. When used in a geographical sense, the term "Kazakhstan" includes the territorial waters, and also the exclusive economic zone and continental shelf in which Kazakhstan, for certain purposes, may exercise sovereign rights and jurisdiction in accordance with international law and in which the laws relating to Kazakhstan tax are applicable;

(ii) "Latvia" means the Republic of Latvia and, when used in the geographical sense, means the territory of the Republic of Latvia and any other area adjacent to the territorial waters of the Republic of Latvia within which, under the laws of Latvia and in accordance with international law, the rights of Latvia may be exercised with respect to the sea bed and its sub-soil and their natural resources;

c) the term "person" includes an individual, a company and any other body of persons;

d) the term "company" means any body corporate or any entity which is treated as a body corporate for tax purposes;

e) the terms "enterprise of a Contracting State" and "enterprise of the other Contracting State" mean respectively an enterprise carried on by a resident of a Contracting State and an enterprise carried on by a resident of the other Contracting State;

f) the term "international traffic" means any transport by a ship or aircraft operated by an enterprise of a Contracting State, except when the ship or aircraft is operated solely between places in the other Contracting State;

g) the term "competent authority" means:

(i) in Kazakhstan, the Ministry of Finance or its authorised representative;

(ii) in Latvia, the Minister of Finance or his authorised representative;

h) the term "national" means:

(i) any individual possessing the nationality of a Contracting State;

(ii) any legal person, partnership or association deriving its status as such from the laws in force in a Contracting State.

2. As regards the application of the Convention at any time by a Contracting State, any term not defined therein shall, unless the context otherwise requires, have the meaning which it has at that time under the law of that State concerning the taxes to which the Convention applies.

Article 4

RESIDENT

1. For the purposes of this Convention, the term "resident of a Contracting State" means any person who, under the laws of that State, is liable to tax therein by reason of his domicile, residence, place of management, place of incorporation or any other criterion of a similar nature. The term shall also include the Government of that Contracting State or a local authority thereof. But this term does not include any person who is liable to tax in that State in respect only of income from sources in that State or capital situated therein.

2. Where by reason of the provisions of paragraph 1 an individual is a resident of both Contracting States, then his status shall be determined as follows:

a) he shall be deemed to be a resident of the State in which he has a permanent home available to him; if he has a permanent home available to him in both States, he shall be deemed to be a resident of the State with which his personal and economic relations are closer (centre of vital interests);

b) if the State in which he has his centre of vital interests cannot be determined, or if he has not a permanent home available to him in either State, he shall be deemed to be a resident of the State in which he has an habitual abode;

c) if he has an habitual abode in both States or in neither of them, he shall be deemed to be a resident of the State of which he is a national;

d) if the status of a resident cannot be determined according to subparagraphs a)-c), the competent authorities of the Contracting States shall settle the question by mutual agreement.

3. Where by reason of the provisions of paragraph 1 a person other than an individual is a resident of both Contracting States, the competent authorities of the Contracting States shall endeavour to settle the question by mutual agreement and determine the mode of application of the Convention to such person. In the absence of such agreement, for the purposes of the Convention, the person shall in each Contracting State be deemed not to be a resident of the other Contracting State.

Article 5

PERMANENT ESTABLISHMENT

1. For the purposes of this Convention, the term "permanent establishment" means a fixed place of business through which the business of an enterprise is wholly or partly carried on.

2. The term "permanent establishment" includes especially:

a) a place of management;

b) a branch;

c) an office;

d) a factory;

e) a workshop, and

f) a mine, an oil or gas well, a quarry or any other place of extraction of natural resources.

3. The term "permanent establishment" also includes:

a) a building site, a construction, assembly or installation project, or supervisory or consultancy activity connected therewith, only if such site, project or activity lasts for a period of more than six months;

b) an installation or structure, including a drilling rig, used for the exploration of natural resources, or supervisory activity connected therewith, only if such use or activity lasts for a period of more than six months.

4. Notwithstanding the preceding provisions of this Article, the term "permanent establishment" shall be deemed not to include:

a) the use of facilities solely for the purpose of storage, display or delivery of goods or merchandise belonging to the enterprise;

b) the maintenance of a stock of goods or merchandise belonging to the enterprise solely for the purpose of storage, display or delivery;

c) the maintenance of a stock of goods or merchandise belonging to the enterprise solely for the purpose of processing by another enterprise;

d) the maintenance of a fixed place of business solely for the purpose of purchasing goods or merchandise or of collecting information, for the enterprise;

e) the maintenance of a fixed place of business solely for the purpose of carrying on, for the enterprise, any other activity of a preparatory or auxiliary character;

f) the maintenance of a fixed place of business solely for any combination of activities mentioned in subparagraphs a) to e), provided that the overall activity of the fixed place of business resulting from this combination is of a preparatory or auxiliary character.

5. Notwithstanding the provisions of paragraphs 1 and 2, where a person - other than an agent of an independent status to whom paragraph 6 applies - is acting on behalf of an enterprise and has, and habitually exercises, in a Contracting State an authority to conclude contracts in the name of the enterprise, that enterprise shall be deemed to have a permanent establishment in that State in respect of any activities which that person undertakes for the enterprise, unless the activities of such person are limited to those mentioned in paragraph 4 which, if exercised through a fixed place of business, would not make this fixed place of business a permanent establishment under the provisions of that paragraph.

6. An enterprise shall not be deemed to have a permanent establishment in a Contracting State merely because it carries on business in that State through a broker, general commission agent or any other agent of an independent status, provided that such persons are acting in the ordinary course of their business.

7. The fact that a company which is a resident of a Contracting State controls or is controlled by a company which is a resident of the other Contracting State, or which carries on business in that other State (whether through a permanent establishment or otherwise), shall not of itself constitute either company a permanent establishment of the other.

Article 6

INCOME FROM IMMOVABLE PROPERTY

1. Income derived by a resident of a Contracting State from immovable property (including income from agriculture or forestry) situated in the other Contracting State may be taxed in that other State.

2. The term "immovable property" shall have the meaning which it has under the law of the Contracting State in which the property in question is situated. The term shall in any case include property accessory to immovable property, livestock and equipment used in agriculture and forestry, rights to which the provisions of general law respecting landed property apply, any option or similar right to acquire immovable property, usufruct of immovable property and rights to variable or fixed payments as consideration for the working of, or the right to work, mineral deposits, sources and other natural resources. Ships and aircraft shall not be regarded as immovable property.

3. The provisions of paragraph 1 shall apply to income derived from the direct use, letting, or use in any other form of immovable property, as well as income from the alienation of immovable property.

4. Where the ownership of shares or other corporate rights in a company entitles the owner of such shares or corporate rights to the enjoyment of immovable property held by the company, the income from direct use, letting, or use in any other form of such right to enjoyment may be taxed in the Contracting State in which the immovable property is situated.

5. The provisions of paragraphs 1, 3 and 4 shall also apply to the income from immovable property of an enterprise and to income from immovable property used for the performance of independent personal services.

Article 7

BUSINESS PROFITS

1. The profits of an enterprise of a Contracting State shall be taxable only in that State unless the enterprise carries on or has carried on business in the other Contracting State through a permanent establishment situated therein. If the enterprise carries on or has carried on business as aforesaid, the profits of the enterprise may be taxed in the other State but only so much of them as is attributable to that permanent establishment.

2. Subject to the provisions of paragraph 3, where an enterprise of a Contracting State carries on or has carried on business in the other Contracting State through a permanent establishment situated therein, there shall in each Contracting State be attributed to that permanent establishment the profits which it might be expected to make if it were a distinct and separate enterprise engaged in the same or similar activities under the same or similar conditions and dealing wholly independently with the enterprise of which it is a permanent establishment.

3. In determining the profits of a permanent establishment, there shall be allowed as deductions expenses which are incurred for the purposes of the permanent establishment, including executive and general administrative expenses so incurred, whether in the State in which the permanent establishment is situated or elsewhere. The expenses to be allowed as deductions by a Contracting State shall include only expenses that are deductible under the domestic laws of that State. However, no such deduction shall be allowed in respect of amounts if any, paid by the permanent establishment to the enterprise or any of its other offices, by way of royalties, fees or other similar payments in return for the use of patents or other rights, or by way of commission, for specific services performed or for management, or, except in case of a banking enterprise, by way of interest on moneys lent to the permanent establishment.

4. Insofar as it has been customary in a Contracting State to determine the profits to be attributed to a permanent establishment on the basis of an apportionment of the total profits of the enterprise to its various parts, nothing in paragraph 2 shall preclude that Contracting State from determining the profits to be taxed by such an apportionment as may be customary; the method of apportionment adopted shall, however, be such that the result shall be in accordance with the principles contained in this Article.

5. No profits shall be attributed to a permanent establishment by reason of the mere purchase by that permanent establishment of goods or merchandise for the enterprise.

6. For the purposes of the preceding paragraphs, the profits to be attributed to the permanent establishment shall be determined by the same method year by year unless there is good and sufficient reason to the contrary.

7. Where profits include items of income which are dealt with separately in other Articles of this Convention, then the provisions of those Articles shall not be affected by the provisions of this Article.

Article 8

SHIPPING AND AIR TRANSPORT

1. Profits derived by an enterprise of a Contracting State from the operation of ships or aircraft in international traffic shall be taxable only in that State.

2. The provisions of paragraph 1 shall also apply to profits from the participation in a pool, a joint business or an international operating agency.

Article 9

ASSOCIATED ENTERPRISES

1. Where

a) an enterprise of a Contracting State participates directly or indirectly in the management, control or capital of an enterprise of the other Contracting State, or

b) the same persons participate directly or indirectly in the management, control or capital of an enterprise of a Contracting State and an enterprise of the other Contracting State,

and in either case conditions are made or imposed between the two enterprises in their commercial or financial relations which differ from those which would be made between independent enterprises, then any profits which would, but for those conditions, have accrued to one of the enterprises, but, by reason of those conditions, have not so accrued, may be included in the profits of that enterprise and taxed accordingly.

2. Where a Contracting State includes in the profits of an enterprise of that State — and taxes accordingly — profits on which an enterprise of the other Contracting State has been charged to tax in that other State and the profits so included are profits which would have accrued to the enterprise of the first-mentioned State if the conditions made between the two enterprises had been those which would have been made between independent enterprises, then that other State shall make an appropriate adjustment to the amount of the tax charged therein on those profits. In determining such adjustment, due regard shall be had to the other provisions of this Convention and the competent authorities of the Contracting States shall if necessary consult each other.

Article 10

DIVIDENDS

1. Dividends paid by a company which is a resident of a Contracting State to a resident of the other Contracting State may be taxed in that other State.

2. However, such dividends may also be taxed in the Contracting State of which the company paying the dividends is a resident and according to the laws of that State, but if the recipient is the beneficial owner of the dividends the tax so charged shall not exceed:

a) 5 per cent of the gross amount of the dividends if the beneficial owner is a company (other than a partnership) which holds directly at least 25 per cent of the capital of the company paying the dividends;

b) 15 per cent of the gross amount of the dividends in all other cases.

This paragraph shall not affect the taxation of the company in respect of the profits out of which the dividends are paid.

3. The term "dividends" as used in this Article means income from shares or other rights, not being debt-claims, participating in profits, as well as income from other corporate rights which is subjected to the same taxation treatment as income from shares by the laws of the State of which the company making the distribution is a resident.

4. The provisions of paragraphs 1 and 2 shall not apply if the beneficial owner of the dividends, being a resident of a Contracting State, carries on business in the other Contracting State of which the company paying the dividends is a resident, through a permanent establishment situated therein, or performs in that other State independent personal services from a fixed base situated therein, and the holding in respect of which the dividends are paid is effectively connected with such permanent establishment or fixed base. In such case the provisions of Article 7 (Business Profits) or Article 14 (Independent Personal Services), as the case may be, shall apply.

5. Where a company which is a resident of a Contracting State derives profits or income from the other Contracting State, that other State may not impose any tax on the dividends paid by the company, except insofar as such dividends are paid to a resident of that other State or insofar as the holding in respect of which the dividends are paid is effectively connected with a permanent establishment or a fixed base situated in that other State.

6. A company which is a resident of a Contracting State and which has a permanent establishment in the other Contracting State may be subject in that other State to tax in addition to the tax on profits attributable to that permanent establishment. Such tax, however, may not exceed 5 per cent of the portion of the profits of the company subject to tax in the other Contracting State.

Article 11

INTEREST

1. Interest arising in a Contracting State and paid to a resident of the other Contracting State may be taxed in that other State.

2. However, such interest may also be taxed in the Contracting State in which it arises and according to the laws of that State, but if the recipient is the beneficial owner of the interest the tax so charged shall not exceed 10 per cent of the gross amount of the interest.

3. Notwithstanding the provisions of paragraph 2, interest arising in a Contracting State, derived and beneficially owned by the Government of the other Contracting State, including local authorities thereof, the Central Bank or any financial institution wholly owned by that Government, or interest derived on loans guaranteed by that Government shall be exempt from tax in the first-mentioned State.

4. The term "interest" as used in this Article means income from debt-claims of every kind, whether or not secured by mortgage, and in particular, income from government securities and income from bonds or debentures, including premiums and prizes attaching to such securities, bonds or debentures. Penalty charges for late payment shall not be regarded as interest for the purpose of this Article.

5. The provisions of paragraphs 1, 2 and 3 shall not apply if the beneficial owner of the interest, being a resident of a Contracting State, carries on business in the other Contracting State in which the interest arises, through a permanent establishment situated therein, or performs in that other State independent personal services from a fixed base situated therein, and the debt-claim in respect of which the interest is paid is effectively connected with such permanent establishment or fixed base. In such case the provisions of Article 7 (Business Profits) or Article 14 (Independent Personal Services), as the case may be, shall apply.

6. Interest shall be deemed to arise in a Contracting State when the payer is a resident of that State. Where, however, the person paying the interest, whether he is a resident of a Contracting State or not, has in a Contracting State a permanent establishment or a fixed base in connection with which the indebtedness on which the interest is paid was incurred, and such interest is borne by such permanent establishment or fixed base, then such interest shall be deemed to arise in the State in which the permanent establishment or fixed base is situated.

7. Where, by reason of a special relationship between the payer and the beneficial owner or between both of them and some other person, the amount of the interest, having regard to the debt-claim for which it is paid, exceeds the amount which would have been agreed upon by the payer and the beneficial owner in the absence of such relationship, the provisions of this Article shall apply only to the last-mentioned amount. In such case, the excess part of the payments shall remain taxable according to the laws of each Contracting State, due regard being had to the other provisions of this Convention.

Article 12

ROYALTIES

1. Royalties arising in a Contracting State and paid to a resident of the other Contracting State may be taxed in that other State.

2. However, such royalties may also be taxed in the Contracting State in which they arise and according to the laws of that State, but if the recipient is the beneficial owner of the royalties the tax so charged shall not exceed 10 per cent of the gross amount of the royalties.

3. The term "royalties" as used in this Article means payments of any kind received as a consideration for the use of, or the right to use, any copyright of literary, artistic or scientific work, including cinematograph films and films or tapes for radio or television broadcasting, any patent, trade mark, design or model, plan, secret formula or process, or for the use of, or the right to use, industrial, commercial, or scientific equipment, or for information concerning industrial, commercial or scientific experience.

4. The provisions of paragraphs 1 and 2 shall not apply if the beneficial owner of the royalties, being a resident of a Contracting State, carries on business in the other Contracting State in which the royalties arise, through a permanent establishment situated therein, or performs in that other State independent personal services from a fixed base situated therein, and the right or property in respect of which the royalties are paid is effectively connected with such permanent establishment or fixed base. In such case the provisions of Article 7 (Business Profits) or Article 14 (Independent Personal Services), as the case may be, shall apply.

5. Royalties shall be deemed to arise in a Contracting State when the payer is a resident of that State. Where, however, the person paying the royalties, whether he is a resident of a Contracting State or not, has in a Contracting State a permanent establishment or a fixed base in connection with which the liability to pay the royalties was incurred, and such royalties are borne by such permanent establishment or fixed base, then such royalties shall be deemed to arise in the State in which the permanent establishment or fixed base is situated.

6. Where, by reason of a special relationship between the payer and the beneficial owner or between both of them and some other person, the amount of the royalties, having regard to the use, right or information for which they are paid, exceeds the amount which would have been agreed upon by the payer and the beneficial owner in the absence of such relationship, the provisions of this Article shall apply only to the last-mentioned amount. In such case, the excess part of the payments shall remain taxable according to the laws of each Contracting State, due regard being had to the other provisions of this Convention.

Article 13

CAPITAL GAINS

1. Gains derived by a resident of a Contracting State from the alienation of immovable property referred to in Article 6 (Income from Immovable Property) and situated in the other Contracting State or shares in a company the assets of which consist mainly of such property or an interest in a partnership or trust, the value of which is derived principally from immovable property situated in the other Contracting State, may be taxed in that other State.

2. Gains from the alienation of movable property forming part of the business property of a permanent establishment which an enterprise of a Contracting State has in the other Contracting State or of movable property pertaining to a fixed base available to a resident of a Contracting State in the other Contracting State for the purpose of performing independent personal services, including such gains from the alienation of such a permanent establishment (alone or with the whole enterprise) or of such fixed base, may be taxed in that other State.

3. Gains derived by an enterprise of a Contracting State from the alienation of ships or aircraft operated in international traffic by that enterprise or movable property pertaining to the operation of such ships or aircraft, shall be taxable only in that State.

4. Gains from the alienation of any property other than that referred to in paragraphs 1, 2 and 3, shall be taxable only in the Contracting State of which the alienator is a resident.

Article 14

INDEPENDENT PERSONAL SERVICES

1. Income derived by an individual who is a resident of a Contracting State in respect of professional services or other activities of an independent character shall be taxable only in that State unless he has a fixed base regularly available to him in the other Contracting State for the purpose of performing his activities. If he has such a fixed base, the income may be taxed in the other Contracting State but only so much of it as is attributable to that fixed base. Where an individual who is a resident of a Contracting State stays in the other Contracting State for a period or periods exceeding in the aggregate 183 days in any twelve month period commencing or ending in the fiscal year concerned, he shall be deemed to have a fixed base regularly available to him in that other State and the income that is derived from his activities referred to above that are performed in that other State shall be attributable to that fixed base.

2. The term "professional services" includes especially independent scientific, literary, artistic, educational or teaching activities as well as the independent activities of physicians, lawyers, engineers, architects, dentists and accountants.

Article 15

DEPENDENT PERSONAL SERVICES

1. Subject to the provisions of Articles 16 (Directors' Fees), 18 (Pensions), 19 (Government Service) and 20 (Students, Professors and Researchers), salaries, wages and other similar remuneration derived by a resident of a Contracting State in respect of an employment shall be taxable only in that State unless the employment is exercised in the other Contracting State. If the employment is so exercised, such remuneration as is derived therefrom may be taxed in that other State.

2. Notwithstanding the provisions of paragraph 1, remuneration derived by a resident of a Contracting State in respect of an employment exercised in the other Contracting State shall be taxable only in the first-mentioned State if:

a) the recipient is present in the other State for a period or periods not exceeding in the aggregate 183 days in any twelve month period commencing or ending in the fiscal year concerned, and

b) the remuneration is paid by, or on behalf of, an employer who is not a resident of the other State, and

c) the remuneration is not borne by a permanent establishment or a fixed base which the employer has in the other State.

3. Notwithstanding the preceding provisions of this Article, remuneration derived in respect of an employment exercised aboard a ship or aircraft operated in international traffic by an enterprise of a Contracting State may be taxed in that State.

Article 16

DIRECTORS' FEES

Directors' fees and other similar payments derived by a resident of a Contracting State in his capacity as a member of the board of directors or any other similar organ of a company which is a resident of the other Contracting State may be taxed in that other State.

Article 17

ARTISTES AND SPORTSMEN

1. Notwithstanding the provisions of Articles 14 (Independent Personal Services) and 15 (Dependent Personal Services), income derived by a resident of a Contracting State as an entertainer, such as a theatre, motion picture, radio or television artiste, or a musician, or as a sportsman, from his personal activities as such exercised in the other Contracting State, may be taxed in that other State.

2. Where income in respect of personal activities exercised by an entertainer or a sportsman in his capacity as such accrues not to the entertainer or sportsman himself but to another person, that income may, notwithstanding the provisions of Articles 7 (Business Profits), 14 (Independent Personal Services) and 15 (Dependent Personal Services), be taxed in the Contracting State in which the activities of the entertainer or sportsman are exercised.

3. The provisions of paragraphs 1 and 2 shall not apply to income derived from activities exercised in a Contracting State by an entertainer or a sportsman if the visit to that State is wholly or mainly supported by public funds of one or both of the Contracting States or a local authority thereof. In such case, the income derived from these activities shall be taxable only in the Contracting State of which the entertainer or sportsman is a resident.

Article 18

PENSIONS

1. Subject to the provisions of paragraph 2 of Article 19 (Government Service), pensions and other similar remuneration paid to a resident of a Contracting State in consideration of past employment shall be taxable only in that State.

2. Alimony and other similar amounts (including child support payments) arising in a Contracting State and paid to a resident of the other Contracting State shall be taxable only in that other State.

Article 19

GOVERNMENT SERVICE

1. a) Salaries, wages and other similar remuneration, other than a pension, paid by a Contracting State or a local authority thereof to an individual in respect of services rendered to that State or authority shall be taxable only in that State.

b) However, such salaries, wages and other similar remuneration shall be taxable only in the other Contracting State if the services are rendered in that State and the individual is a resident of that State who:

(i) is a national of that State; or

(ii) did not become a resident of that State solely for the purpose of rendering the services.

2. a) Any pension paid by, or out of funds created by, a Contracting State or a local authority thereof to an individual in respect of services rendered to that State or authority shall be taxable only in that State.

b) However, such pension shall be taxable only in the other Contracting State if the individual is a resident of, and a national of, that State.

3. The provisions of Articles 15 (Dependent Personal Services), 16 (Directors' Fees) and 18 (Pensions) shall apply to salaries, wages and other similar remuneration, and to pensions, in respect of services rendered in connection with a business carried on by a Contracting State or a local authority thereof.

Article 20

STUDENTS, PROFESSORS AND RESEARCHERS

1. Payments which a student, an apprentice or a trainee who is or was immediately before visiting a Contracting State a resident of the other Contracting State and who is present in the first-mentioned State solely for the purpose of his education or training receives for the purpose of his maintenance, education or training shall not be taxed in that State, provided that such payments arise from sources outside that State.

2. An individual who visits a Contracting State for the purpose of teaching or carrying out research at a university, college or other recognised educational or scientific institution in that Contracting State and who is or was immediately before that visit a resident of the other Contracting State, shall be exempted from taxation in the first-mentioned Contracting State on remuneration for such teaching or research for a period not exceeding two years from the date of his first visit for that purpose.

3. The provisions of paragraph 2 shall not apply to income from research if such research is undertaken not in the public interest but primarily for the private benefit of a specific person or persons.

Article 21

OFFSHORE ACTIVITIES

1. The provisions of this Article shall apply notwithstanding the provisions of Articles 4 to 20 of this Convention.

2. A person who is a resident of a Contracting State and carries on activities offshore in the other Contracting State in connection with the exploration or exploitation of the sea bed and sub-soil and their natural resources situated in that other State shall, subject to paragraphs 3 and 4, be deemed in relation to those activities to be carrying on business in that other State through a permanent establishment or fixed base situated therein.

3. The provisions of paragraph 2 shall not apply, where the activities are carried on for a period or periods not exceeding 30 days in the aggregate in any twelve months period. However, for the purposes of this paragraph:

a) activities carried on by a person associated with another person shall be regarded as carried on by the other person if the activities in question are substantially the same as those carried on by the first-mentioned person, except to the extent that those activities are carried on at the same time as its own activities;

b) a person shall be deemed to be associated with another person if one is controlled directly or indirectly by the other, or both are controlled directly or indirectly by a third person or third persons.

4. Profits derived by a resident of a Contracting State from the transportation of supplies or personnel to a location, or between locations, where activities in connection with the exploration or exploitation of the sea bed and sub-soil and their natural resources are being carried on in a Contracting State, or from the operation of tugboats and other vessels auxiliary to such activities, shall be taxable only in the first-mentioned State.

5. a) Subject to subparagraph b) of this paragraph, salaries, wages and other similar remuneration derived by a resident of a Contracting State in respect of an employment connected with the exploration or exploitation of the sea bed and sub-soil and their natural resources situated in the other Contracting State may, to the extent that the duties are performed offshore in that other State, be taxed in that other State. However, such remuneration shall be taxable only in the first-mentioned State if the employment is carried on offshore for an employer who is not a resident of the other State and for a period or periods not exceeding in the aggregate 30 days in any twelve months period.

b) Salaries, wages and other similar remuneration derived by a resident of a Contracting State in respect of an employment exercised aboard a ship or aircraft engaged in the transportation of supplies or personnel to a location, or between locations, where activities connected with the exploration or exploitation of the sea bed and sub-soil and their natural resources are being carried on in the other Contracting State, or in respect of an employment exercised aboard tugboats or other vessels operated auxiliary to such activities, may be taxed in the Contracting State of which the employer is a resident.

6. Gains derived by a resident of a Contracting State from the alienation of:

a) exploration or exploitation rights; or

b) property situated in the other Contracting State and used in connection with the exploration or exploitation of the sea bed and sub-soil and their natural resources situated in that other State; or

c) shares deriving their value or the greater part of their value directly or indirectly from such rights or such property or from such rights and such property taken together;

may be taxed in that other State.

In this paragraph "exploration or exploitation rights" means rights to assets to be produced by the exploration or exploitation of the sea bed and sub-soil and their natural resources in the other Contracting State, including rights to interests in or to the benefit of such assets.

Article 22

OTHER INCOME

1. Items of income of a resident of a Contracting State, wherever arising, not dealt with in the foregoing Articles of this Convention shall be taxable only in that State.

2. The provisions of paragraph 1 shall not apply to income, other than income from immovable property as defined in paragraph 2 of Article 6 (Income from Immovable Property), if the recipient of such income, being a resident of a Contracting State, carries on business in the other Contracting State through a permanent establishment situated therein, or performs in that other State independent personal services from a fixed base situated therein, and the right or property in respect of which the income is paid is effectively connected with such permanent establishment or fixed base. In such case the provisions of Article 7 (Business Profits) or Article 14 (Independent Personal Services), as the case may be, shall apply.

Article 23

CAPITAL

1. Capital represented by immovable property referred to in Article 6 (Income from Immovable Property), owned by a resident of a Contracting State and situated in the other Contracting State may be taxed in that other State.

2. Capital represented by movable property forming part of the business property of a permanent establishment which an enterprise of a Contracting State has in the other Contracting State or by movable property pertaining to a fixed base available to a resident of a Contracting State in the other Contracting State for the purpose of performing independent personal services, may be taxed in that other State.

3. Capital represented by ships and aircraft operated in international traffic by an enterprise of a Contracting State, and by movable property pertaining to the operation of such ships and aircraft, shall be taxable only in that Contracting State.

4. All other elements of capital of a resident of a Contracting State shall be taxable only in that State.

Article 24

ELIMINATION OF DOUBLE TAXATION

1. In the case of Kazakhstan, double taxation shall be avoided as follows:

a) Where a resident of Kazakhstan derives income or owns capital which, in accordance with the provisions of this Convention, may be taxed in Latvia, Kazakhstan shall allow:

(i) as a deduction from the tax on the income of that resident, an amount equal to the income tax paid in Latvia;

(ii) as a deduction from the tax on the capital of that resident, an amount equal to the capital tax paid in Latvia.

Such deduction shall not, however, exceed that amount which would be calculated in accordance with the provisions and rates applicable in Kazakhstan, if the above-mentioned income was derived, or capital owned, in Kazakhstan.

b) Where a resident of Kazakhstan derives income or owns capital, which in accordance with the provisions of this Convention, shall be taxable only in Latvia, Kazakhstan may include this income or capital in the tax base but only for purposes of determining the rate of tax on such other income or capital as is taxable in Kazakhstan.

2. In the case of Latvia, double taxation shall be avoided as follows:

a) Where a resident of Latvia derives income or owns capital which, in accordance with this Convention, may be taxed in Kazakhstan, unless a more favourable treatment is provided in its domestic law, Latvia shall allow:

(i) as a deduction from the tax on the income of that resident, an amount equal to the income tax paid thereon in Kazakhstan;

(ii) as a deduction from the tax on the capital of that resident, an amount equal to the capital tax paid thereon in Kazakhstan.

Such deduction in either case shall not, however, exceed that part of the income tax or capital tax in Latvia, as computed before the deduction is given, which is attributable, as the case may be, to the income or the capital which may be taxed in Kazakhstan.

b) For the purposes of subparagraph a) of this paragraph, where a company that is a resident of Latvia receives a dividend from a company that is a resident of Kazakhstan in which it owns at least 10 per cent of its shares having full voting rights, the tax paid in Kazakhstan shall include not only the tax paid on dividend, but also the tax paid on the underlying profits of the company out of which the dividend was paid.

Article 25

NON-DISCRIMINATION

1. Nationals of a Contracting State shall not be subjected in the other Contracting State to any taxation or any requirement connected therewith, which is other or more burdensome than the taxation and connected requirements to which nationals of that other State in the same circumstances, in particular with respect to residence, are or may be subjected. This provision shall, notwithstanding the provisions of Article 1 (Personal Scope), also apply to persons who are not residents of one or both of the Contracting States.

2. Stateless persons who are residents of a Contracting State shall not be subjected in either Contracting State to any taxation or any requirement connected therewith, which is other or more burdensome than the taxation and connected requirements to which nationals of the State concerned in the same circumstances, are or may be subjected.

3. The taxation on a permanent establishment which an enterprise of a Contracting State has in the other Contracting State shall not be less favourably levied in that other State than the taxation levied on enterprises of that other State carrying on the same activities. This provision shall not be construed as obliging a Contracting State to grant to residents of the other Contracting State any personal allowances, reliefs and reductions for taxation purposes on account of civil status or family responsibilities which it grants to its own residents.

4. Except where the provisions of paragraph 1 of Article 9 (Associated Enterprises), paragraph 7 of Article 11 (Interest), or paragraph 6 of Article 12 (Royalties), apply, interest, royalties and other disbursements paid by an enterprise of a Contracting State to a resident of the other Contracting State shall, for the purpose of determining the taxable profits of such enterprise, be deductible under the same conditions as if they had been paid to a resident of the first-mentioned State. Similarly, any debts of an enterprise of a Contracting State to a resident of the other Contracting State shall, for the purpose of determining the taxable capital of such enterprise, be deductible under the same conditions as if they had been contracted to a resident of the first-mentioned State.

5. Enterprises of a Contracting State, the capital of which is wholly or partly owned or controlled, directly or indirectly, by one or more residents of the other Contracting State, shall not be subjected in the first-mentioned State to any taxation or any requirement connected therewith which is other or more burdensome than the taxation and connected requirements to which other similar enterprises of the first-mentioned State are or may be subjected.

6. The provisions of this Article shall, notwithstanding the provisions of Article 2 (Taxes Covered), apply to taxes of every kind and description.

Article 26

MUTUAL AGREEMENT PROCEDURE

1. Where a person considers that the actions of one or both of the Contracting States result or will result for him in taxation not in accordance with the provisions of this Convention, he may, irrespective of the remedies provided by the domestic law of those States, present his case to the competent authority of the Contracting State of which he is a resident or, if his case comes under paragraph 1 of Article 25 (Non-Discrimination), to that of the Contracting State of which he is a national. The case must be presented within three years from the first notification of the action resulting in taxation not in accordance with the provisions of the Convention.

2. The competent authority shall endeavour, if the objection appears to it to be justified and if it is not itself able to arrive at a satisfactory solution, to resolve the case by mutual agreement with the competent authority of the other Contracting State, with a view to the avoidance of taxation which is not in accordance with the Convention. Any agreement reached shall be implemented notwithstanding any time limits in the domestic law of the Contracting States.

3. The competent authorities of the Contracting States shall endeavour to resolve by mutual agreement any difficulties or doubts arising as to the interpretation or application of the Convention. They may also consult together for the elimination of double taxation in cases not provided for in the Convention.

4. The competent authorities of the Contracting States may communicate with each other directly for the purpose of reaching an agreement in the sense of the preceding paragraphs. When it seems advisable in order to reach agreement to have an oral exchange of opinions, such exchange may take place through a Commission consisting of representatives of the competent authorities of the Contracting States.

Article 27

EXCHANGE OF INFORMATION

1. The competent authorities of the Contracting States shall exchange such information as is necessary for carrying out the provisions of this Convention or of the domestic laws of the Contracting States concerning taxes covered by the Convention insofar as the taxation thereunder is not contrary to the Convention. The exchange of information is not restricted by Article 1 (Personal Scope). Any information received by a Contracting State shall be treated as secret in the same manner as information obtained under the domestic laws of that State and shall be disclosed only to persons or authorities (including courts and administrative bodies) involved in the assessment or collection of, the enforcement or prosecution in respect of, or the determination of appeals in relation to, the taxes covered by the Convention. Such persons or authorities shall use the information only for such purposes. They may disclose the information in public court proceedings or in judicial decisions.

2. In no case shall the provisions of paragraph 1 be construed so as to impose on a Contracting State the obligation:

a) to carry out administrative measures at variance with the laws and administrative practice of that or of the other Contracting State;

b) to supply information which is not obtainable under the laws or in the normal course of the administration of that or of the other Contracting State;

c) to supply information which would disclose any trade, business, industrial, commercial or professional secret or trade process, or information, the disclosure of which would be contrary to public policy (ordre public).

3. The competent authorities of the Contracting States may conclude an additional agreement in order to establish necessary procedure for the implementation of the provisions of this Article.

Article 28

LIMITATION OF BENEFITS

Notwithstanding any other provision of this Convention, a resident of a Contracting State shall not receive the benefit of any reduction in or exemption from taxes provided for in this Convention by the other Contracting State if the main purpose or one of the main purposes of the creation or existence of such resident or any person connected with such resident was to obtain the benefits under this Convention that would not otherwise be available.

Article 29

MEMBERS OF DIPLOMATIC MISSIONS AND CONSULAR POSTS

Nothing in this Convention shall affect the fiscal privileges of members of diplomatic missions or consular posts under the general rules of international law or under the provisions of special agreements.

Article 30

ENTRY INTO FORCE

1. The Governments of the Contracting States shall notify each other when the constitutional requirements for the entry into force of this Convention have been complied with.

2. The Convention shall enter into force on the date of the later of the notifications referred to in paragraph 1 and its provisions shall have effect in both Contracting States:

a) in respect of taxes withheld at source, on income derived on or after the first day of January in the calendar year next following the year in which the Convention enters into force;

b) in respect of other taxes on income, and taxes on capital, for taxes chargeable for any fiscal year beginning on or after the first day of January in the calendar year next following the year in which the Convention enters into force.

Article 31

TERMINATION

This Convention shall remain in force until terminated by a Contracting State. Either Contracting State may terminate the Convention, through diplomatic channel, by giving written notice of termination at least six months before the end of any calendar year. In such event, the Convention shall cease to have effect in both Contracting States:

a) in respect of taxes withheld at source, on income derived on or after the first day of January in the calendar year next following the year in which the notice is given;

b) in respect of other taxes on income, and taxes on capital for taxes chargeable for any fiscal year beginning on or after the first day of January in the calendar year next following the year in which the notice is given.

In witness whereof the undersigned, duly authorised thereto, have signed this Convention.

Done in duplicate at Astana this 6th day of 2001, in the Latvian, Kazakh, Russian and English languages, all texts being equally authentic. In the case of divergence of interpretation the English text shall prevail.

PROTOCOL

At the signing of the Convention between the Republic of Latvia and the Republic of Kazakhstan for the avoidance of double taxation and the prevention of fiscal evasion with respect to taxes on income and on capital (hereinafter referred to as "the Convention") the undersigned have agreed upon the following provision which forms an integral part of the Convention.

With reference to paragraph 6 of Article 10 (Dividends):

As long as the additional tax on profits referred to in paragraph 6 is not levied in accordance with the domestic legislation of both Contracting States, the provisions of paragraph 6 of Article 10 (Dividends) are not applicable. In the case of implementation of such tax in both Contracting States the competent authorities shall by mutual agreement determine the date from which the provisions of paragraph 6 shall be applicable in both Contracting States.

Done in duplicate at Astana this 6th day of September 2001, in the Latvian, Kazakh, Russian and English languages, all texts being equally authentic. In the case of divergence of interpretation the English text shall prevail.
