Saeima ir pieņēmusi un Valsts
prezidents izsludina šādu likumu:
Par Latvijas Republikas valdības un Krievijas Federācijas valdības līgumu par nodokļu dubultās uzlikšanas un nodokļu nemaksāšanas novēršanu attiecībā uz ienākuma un kapitāla nodokļiem un tā Protokolu

1.pants. 2010.gada 20.decembrī Maskavā parakstītais Latvijas Republikas valdības un Krievijas Federācijas valdības līgums par nodokļu dubultās uzlikšanas un nodokļu nemaksāšanas novēršanu attiecībā uz ienākuma un kapitāla nodokļiem (turpmāk — Līgums) un tā Protokols ar šo likumu tiek pieņemts un apstiprināts.

2.pants. Līgumā un tā Protokolā paredzēto saistību izpildi koordinē Finanšu ministrija.

3.pants. Līgums un tā Protokols stājas spēkā Līguma 30.pantā noteiktajā laikā un kārtībā, un Ārlietu ministrija par to paziņo laikrakstā “Latvijas Vēstnesis”.

4.pants. Likums stājas spēkā nākamajā dienā pēc tā izsludināšanas. Līdz ar likumu izsludināms Līgums un tā Protokols latviešu un angļu valodā.

5. pants. Šā likuma 1. pantā minētā Līguma un tā Protokola darbība tiek apturēta no 2022. gada 16. maija līdz brīdim, kad Krievijas Federācija izbeidz starptautisko tiesību pārkāpumus attiecībā uz Ukrainu, tajā skaitā izved savus bruņotos spēkus no Ukrainas teritorijas un pilnībā atjauno Ukrainas teritoriālo integritāti un suverenitāti atbilstoši starptautisko tiesību prasībām, un pilnībā atlīdzina Ukrainai par izdarītajiem starptautisko tiesību pārkāpumiem.

LATVIJAS REPUBLIKAS VALDĪBAS UN KRIEVIJAS FEDERĀCIJAS VALDĪBAS LĪGUMS PAR NODOKĻU DUBULTĀS UZLIKŠANAS UN NODOKĻU NEMAKSĀŠANAS NOVĒRŠANU ATTIECĪBĀ UZ IENĀKUMA UN KAPITĀLA NODOKĻIEM

Latvijas Republikas valdība un Krievijas Federācijas valdība,

apliecinādamas vēlēšanos noslēgt Līgumu par nodokļu dubultās uzlikšanas un nodokļu nemaksāšanas novēršanu attiecībā uz ienākuma un kapitāla nodokļiem, kā arī nolūkā veicināt ekonomisko sadarbību starp abām valstīm,

vienojas par tālāk minēto:

1.pants
PERSONAS, UZ KURĀM ATTIECAS LĪGUMS

Šis Līgums attiecas uz personām, kas ir vienas vai abu Līgumslēdzēju Valstu rezidenti.

2.pants
NODOKĻI, UZ KURIEM ATTIECAS LĪGUMS

1. Šis Līgums attiecas uz ienākuma un kapitāla nodokļiem, ko uzliek Līgumslēdzējas Valsts vai tās politiski administratīvo vienību vai pašvaldību labā neatkarīgi no šo nodokļu iekasēšanas veida.

2. Par ienākuma un kapitāla nodokļiem uzskatāmi visi nodokļi, ko uzliek kopējam ienākumam, kopējam kapitālam vai ienākuma vai kapitāla daļai, tajā skaitā nodokļi, ko uzliek kapitāla pieaugumam no kustamā vai nekustamā īpašuma atsavināšanas, kā arī nodokļi no kapitāla vērtības pieauguma.

3. Esošie nodokļi, uz kuriem attiecas šis Līgums, konkrēti ir:

a) Krievijas Federācijā:

(i) organizāciju peļņas nodoklis;

(ii) iedzīvotāju ienākuma nodoklis;

(iii) organizāciju īpašuma nodoklis; un

(iv) iedzīvotāju īpašuma nodoklis;

b) Latvijas Republikā:

(i) uzņēmumu ienākuma nodoklis;

(ii) iedzīvotāju ienākuma nodoklis; un

(iii) nekustamā īpašuma nodoklis.

4. Šis Līgums attiecas arī uz viesiem identiskiem vai pēc būtības līdzīgiem ienākuma vai kapitāla nodokļiem, kuri, papildinot vai aizstājot esošos nodokļus, tiek ieviesti pēc šī Līguma parakstīšanas datuma. Līgumslēdzēju Valstu kompetentās iestādes savstarpēji informē viena otru par jebkuriem būtiskiem grozījumiem šo valstu attiecīgajos nodokļu normatīvajos aktos.

3.pants
VISPĀRĪGĀS DEFINĪCIJAS

1. Ja no konteksta nav izsecināms citādi, tad šajā Līgumā:

a) termini "Līgumslēdzēja Valsts" un "otra Līgumslēdzēja Valsts" atkarībā no konteksta nozīmē Latvijas Republiku vai Krievijas Federāciju;

b) termins "Krievijas Federācija" nozīmē Krievijas Federācijas teritoriju, kā arī tās ekskluzīvo ekonomisko zonu un kontinentālo šelfu, kas definēti saskaņā ar starptautiskajām tiesībām, tajā skaitā 1982.gada ANO Jūras tiesību konvenciju;

c) termins "Latvijas Republika" nozīmē Latvijas Republikas teritoriju, kā arī tās ekskluzīvo ekonomisko zonu un kontinentālo šelfu, kas definēti saskaņā ar starptautiskajām tiesībām, tajā skaitā 1982.gada ANO Jūras tiesību konvenciju;

d) termins "persona" nozīmē fizisko personu, sabiedrību un jebkuru citu personu apvienību;

e) termins "sabiedrība" nozīmē jebkuru korporatīvu apvienību vai jebkuru vienību, kas nodokļu uzlikšanas nolūkā tiek uzskatīta par korporatīvu apvienību;

f) termini "Līgumslēdzējas Valsts uzņēmums" un "otras Līgumslēdzējas Valsts uzņēmums" attiecīgi nozīmē uzņēmumu, ko vada Līgumslēdzējas Valsts rezidents, un uzņēmumu, ko vada otras Līgumslēdzējas Valsts rezidents;

g) termins "starptautiskā satiksme" nozīmē jebkurus pārvadājumus ar kuģi, gaisa kuģi, auto vai dzelzceļa transporta līdzekli, ko veic Līgumslēdzējas Valsts uzņēmums, izņemot tos gadījumus, kad kuģis, gaisa kuģis, auto vai dzelzceļa transporta līdzeklis pārvietojas vienīgi otras Līgumslēdzējas Valsts iekšienē;

h) termins "kompetentā iestāde" nozīmē:

(i) Krievijas Federācijā – Krievijas Federācijas Finanšu ministriju vai tās pilnvaroto pārstāvi;

(ii) Latvijas Republikā – Finanšu ministriju vai tās pilnvaroto pārstāvi;

i) termins "valsts piederīgais" nozīmē:

(i) ikvienu fizisku personu, kurai ir Līgumslēdzējas Valsts piederība;

(ii) ikvienu juridisku personu, personālsabiedrību vai asociāciju, kuras statuss kā tāds izriet no spēkā esošajiem Līgumslēdzējas Valsts normatīvajiem aktiem.

2. Līgumslēdzējām Valstīm piemērojot šo Līgumu, visiem tajā nedefinētiem terminiem ir tāda nozīme, kāda tiem ir attiecīgās Līgumslēdzējas Valsts normatīvajos aktos attiecībā uz nodokļiem, uz kuriem attiecas Līgums, ja vien no konteksta nav izsecināms citādi, turklāt šīs valsts attiecīgajos nodokļu normatīvajos aktos paredzētā nozīme prevalē pār citos šīs valsts normatīvajos aktos paredzēto nozīmi.

4.pants
REZIDENTS

1. Šajā Līgumā termins "Līgumslēdzējas Valsts rezidents" nozīmē jebkuru personu, kura saskaņā ar šīs valsts normatīvajiem aktiem ir pakļauta nodokļu uzlikšanai, pamatojoties uz tās pastāvīgo dzīvesvietu, rezidenci, vadības atrašanās vietu, inkorporācijas (reģistrācijas) vietu vai jebkuru citu līdzīgu kritēriju, un ietver arī attiecīgo valsti, tās politiski administratīvo vienību vai pašvaldību. Tomēr šis jēdziens neietver tās personas, kurām šajā valstī nodokļi tiek uzlikti tikai attiecībā uz to ienākumiem no šajā valstī esošajiem peļņas avotiem vai tajā esošo kapitālu.

2. Ja saskaņā ar pirmās daļas noteikumiem fiziskā persona ir abu Līgumslēdzēju Valstu rezidents, tās statuss nosakāms šādi:

a) šī persona tiek uzskatīta tikai par tās valsts rezidentu, kurā atrodas tās pastāvīgā dzīvesvieta; ja tās pastāvīgā dzīvesvieta ir abās valstīs, šī persona tiek uzskatīta tikai par tās valsts rezidentu, ar kuru tai ir ciešākas personiskās un ekonomiskās attiecības (vitālo interešu centrs);

b) ja nav iespējams noteikt valsti, kurā šai personai ir vitālo interešu centrs, vai arī tai nav pastāvīgas dzīvesvietas nevienā no abām valstīm, šī persona tiek uzskatīta tikai par tās valsts rezidentu, kas tai ir ierastā mītnes zeme;

c) ja šai personai ierastā mītnes zeme ir abas valstis vai nav neviena no tām, tā tiek uzskatīta tikai par tās valsts rezidentu, kuras valsts piederīgais ir šī persona;

d) ja šī persona ir abu valstu piederīgais vai nav nevienas šīs valsts piederīgais, Līgumslēdzēju Valstu kompetentās iestādes izšķir šo jautājumu savstarpēji vienojoties.

3. Ja saskaņā ar pirmās daļas noteikumiem persona, kas nav fiziskā persona, ir abu Līgumslēdzēju Valstu rezidents, Līgumslēdzēju Valstu kompetentajām iestādēm ir jācenšas atrisināt šo jautājumu savstarpējas vienošanās ceļā, un noteikt Līguma piemērošanas veidu šādai personai. Ja šāda vienošanās nepastāv, tad Līguma piemērošanai minētā persona nebūs tiesīga pieprasīt jebkuru nodokļu atvieglojumu, ko piešķir saskaņā ar šo Līgumu.

5.pants
PASTĀVĪGĀ PĀRSTĀVNIECĪBA

1. Šajā Līgumā termins "pastāvīgā pārstāvniecība" nozīmē noteiktu darbības vietu, kur uzņēmums pilnīgi vai daļēji veic uzņēmējdarbību.

2. Termins "pastāvīgā pārstāvniecība" ietver:

a) vadības atrašanās vietu;

b) filiāli;

c) biroju;

d) fabriku;

e) darbnīcu, un

f) šahtu, naftas vai gāzes ieguves vietu, akmeņlauztuves vai jebkuru citu dabas resursu ieguves vietu.

3. Būvlaukums, celtniecības, montāžas vai instalācijas projekts, vai ar tiem saistīta uzraudzības darbība tiek uzskatīta par pastāvīgo pārstāvniecību tikai tad, ja šie būvdarbi, projekts vai darbība notiek ilgāk nekā deviņus mēnešus.

4. Neatkarīgi no šī panta iepriekšējiem noteikumiem termins "pastāvīgā pārstāvniecība" neietver:

a) ēku un iekārtu izmantošanu tikai un vienīgi uzņēmumam piederošo preču vai izstrādājumu uzglabāšanai, demonstrēšanai vai piegādēm;

b) uzņēmumam piederošos preču vai izstrādājumu krājumus, kas paredzēti tikai un vienīgi uzglabāšanai, demonstrēšanai vai piegādēm;

c) uzņēmumam piederošos preču vai izstrādājumu krājumus, kas paredzēti tikai un vienīgi pārstrādei citā uzņēmumā;

d) noteiktu darbības vietu, kas paredzēta tikai un vienīgi preču vai izstrādājumu iepirkšanai uzņēmuma vajadzībām vai informācijas vākšanai uzņēmuma vajadzībām;

e) noteiktu darbības vietu, kas paredzēta tikai un vienīgi tam, lai veiktu uzņēmuma labā jebkuru citu sagatavošanas vai palīgdarbību;

f) noteiktu darbības vietu, kas paredzēta tikai un vienīgi tam, lai nodarbotos ar a) līdz e) punktā minētajām darbībām jebkādā to kombinācijā, ja darbību kombinācijai kopumā ir sagatavošanas vai palīgdarbības raksturs.

5. Neatkarīgi no pirmās un otrās daļas noteikumiem, ja persona, kas nav sestajā daļā minētais neatkarīga statusa aģents, darbojas uzņēmuma labā un tai ir piešķirtas pilnvaras Līgumslēdzējā Valstī noslēgt līgumus uzņēmuma vārdā, un tā pastāvīgi izmanto šīs pilnvaras, tad attiecībā uz visām darbībām, ko šāda persona veic uzņēmuma labā, tiek uzskatīts, ka uzņēmumam ir pastāvīgā pārstāvniecība attiecīgajā valstī, izņemot, ja šī persona veic tikai ceturtajā daļā paredzētās darbības, kuras veicot noteiktā darbības vietā, šāda noteikta darbības vieta saskaņā ar minēto daļu netiek uzskatīta par pastāvīgo pārstāvniecību.

6. Tiek uzskatīts, ka uzņēmumam nav pastāvīgā pārstāvniecība Līgumslēdzējā Valstī, ja uzņēmums veic uzņēmējdarbību šajā valstī, izmantojot vienīgi brokeri, tirdzniecības aģentu vai jebkuru citu neatkarīga statusa aģentu ar nosacījumu, ka šīs personas veic savu parasto uzņēmējdarbību.

7. Fakts, ka sabiedrība - Līgumslēdzējas Valsts rezidents kontrolē sabiedrību, kas ir otras Līgumslēdzējas Valsts rezidents vai kas veic uzņēmējdarbību šajā otrā valstī (izmantojot pastāvīgo pārstāvniecību vai kādā citā veidā), vai ir pakļauta šādas sabiedrības kontrolei, pats par sevi nenozīmē, ka kāda no šīm sabiedrībām ir otras sabiedrības pastāvīgā pārstāvniecība.

6.pants
IENĀKUMS NO NEKUSTAMĀ ĪPAŠUMA

1. Ienākumam, ko Līgumslēdzējas Valsts rezidents gūst no nekustamā īpašuma (arī ienākumam no lauksaimniecības un mežsaimniecības), kas atrodas otrā Līgumslēdzējā Valstī, var uzlikt nodokļus šajā otrā valstī.

2. Terminam "nekustamais īpašums" ir tāda nozīme, kāda tam ir tās Līgumslēdzējas Valsts normatīvajos aktos, kurā atrodas attiecīgais īpašums.

Jebkurā gadījumā šis termins ietver īpašumu, kas ir piederīgs nekustamajam īpašumam, tajā skaitā mājlopus un iekārtas, ko izmanto lauksaimniecībā un mežsaimniecībā, tiesības, uz kurām attiecas zemes īpašuma tiesību noteikumi, jebkuras līdzīgas tiesības iegūt nekustamo īpašumu, tiesības, kas pazīstamas kā nekustamā īpašuma lietojums un tiesības uz mainīgiem vai nemainīgiem maksājumiem kā atlīdzību par derīgo izrakteņu iegulu, dabas atradņu un citu dabas resursu izmantošanu vai tiesībām tos izmantot. Kuģi, gaisa kuģi, auto un dzelzceļa transporta līdzekļi netiek uzskatīti par nekustamo īpašumu.

3. Pirmās daļas noteikumi tiek piemēroti attiecībā uz ienākumu no nekustamā īpašuma tiešas izmantošanas, izīrēšanas vai izmantošanas citā veidā.

4. Ja sabiedrības akciju, pamatkapitāla daļu vai citu korporatīvo tiesību īpašumtiesības dod šo akciju, pamatkapitāla daļu vai korporatīvo tiesību īpašniekam tiesības uz sabiedrības turējumā esoša nekustamā īpašuma izmantošanu, tad ienākumam no šo tiesību tiešas izmantošanas, izīrēšanas vai izmantošanas citā veidā var uzlikt nodokļus tajā Līgumslēdzējā Valstī, kurā atrodas nekustamais īpašums.

5. Pirmās, trešās un ceturtās daļas noteikumi tiek piemēroti arī attiecībā uz ienākumu no uzņēmuma nekustamā īpašuma, kā arī attiecībā uz ienākumu no nekustamā īpašuma, ko izmanto neatkarīgu individuālu pakalpojumu sniegšanai.

7.pants
UZŅĒMĒJDARBĪBAS PEĻŅA

1. Līgumslēdzējas Valsts uzņēmuma peļņai tiek uzlikti nodokļi tikai šajā valstī, izņemot, ja uzņēmums veic uzņēmējdarbību otrā Līgumslēdzējā Valstī, izmantojot tur esošo pastāvīgo pārstāvniecību. Ja uzņēmums veic uzņēmējdarbību minētajā veidā, uzņēmuma peļņai var uzlikt nodokļus otrā valstī, bet tikai tai peļņas daļai, ko var attiecināt uz šo pastāvīgo pārstāvniecību.

2. Saskaņā ar trešās daļas noteikumiem, ja Līgumslēdzējas Valsts uzņēmums veic uzņēmējdarbību otrā Līgumslēdzējā Valstī, izmantojot tur esošo pastāvīgo pārstāvniecību, katrā Līgumslēdzējā Valstī uz šo pastāvīgo pārstāvniecību attiecināms tāds peļņas daudzums, kādu tā varētu gūt, ja tā būtu nodalīts un atsevišķs uzņēmums, kas veic tādu pašu vai līdzīgu uzņēmējdarbību tādos pašos vai līdzīgos apstākļos un pilnīgi neatkarīgi veiktu darījumus ar uzņēmumu, kura pastāvīgā pārstāvniecība tā ir.

3. Nosakot pastāvīgās pārstāvniecības peļņu, tiek atļauts atskaitīt atskaitāmos izdevumus, kas radušies pastāvīgās pārstāvniecības vajadzībām tās atrašanās valstī vai citur, tajā skaitā darbības un vispārējos administratīvos izdevumus.

4. Ja Līgumslēdzējā Valstī peļņu, kas attiecināma uz pastāvīgo pārstāvniecību, nosaka, sadalot uzņēmuma kopīgo peļņu proporcionāli starp tā struktūrvienībām, otrā daļa neaizliedz Līgumslēdzējai Valstij kā parasti pēc šī principa noteikt peļņas daļu, kurai uzliek nodokļus; izmantotajai sadales metodei tomēr jābūt tādai, lai rezultāts atbilstu šajā pantā ietvertajiem principiem.

5. Uz pastāvīgo pārstāvniecību netiek attiecināta peļņa tikai tāpēc vien, ka tā ir iegādājusies preces vai izstrādājumus uzņēmuma, kura pastāvīgā pārstāvniecība tā ir, vajadzībām.

6. Lai piemērotu iepriekšējo daļu noteikumus, peļņu, ko attiecina uz pastāvīgo pārstāvniecību, katru gadu nosaka ar vienu un to pašu metodi, izņemot, ja ir pietiekams iemesls rīkoties citādi.

7. Ja peļņā ir ietverti citos šī Līguma pantos atsevišķi aplūkotie ienākuma veidi, šī panta noteikumi neietekmē šo citu pantu noteikumus.

8.pants
STARPTAUTISKAJĀ SATIKSMĒ GŪTĀ PEĻŅA

1. Līgumslēdzējas Valsts uzņēmuma gūtajai peļņai no kuģu, gaisa kuģu, auto vai dzelzceļa transporta līdzekļu izmantošanas starptautiskajā satiksmē uzliek nodokļus tikai šajā valstī.

2. Šī panta piemērošanai uzņēmuma peļņa no kuģu, gaisa kuģu, auto vai dzelzceļa transporta līdzekļu izmantošanas starptautiskajā satiksmē arī ietver:

a) peļņu no kuģu, gaisa kuģu, auto vai dzelzceļa transporta līdzekļu iznomāšanas bez apkalpes un apgādes; un

b) peļņu no konteineru (tajā skaitā treileru un līdzīgu konteineru pārvadāšanas iekārtu) lietošanas, uzturēšanas vai iznomāšanas preču vai izstrādājumu pārvadāšanai;

ja, šāda iznomāšana vai šāda lietošana, uzturēšana vai iznomāšana, atkarībā no apstākļiem, notiek papildus uzņēmuma kuģu, gaisa kuģu, auto vai dzelzceļa transporta līdzekļu izmantošanai starptautiskā satiksmē.

3. Pirmās un otrās daļas noteikumi attiecas arī uz peļņu no piedalīšanās pulā, kopējā uzņēmējdarbībā vai starptautiskās satiksmes transporta aģentūrā.

9.pants
SAISTĪTIE UZŅĒMUMI

1. Ja:

a) Līgumslēdzējas Valsts uzņēmums tieši vai netieši piedalās otras Līgumslēdzējas Valsts uzņēmuma vadībā, kontrolē vai arī tam pieder daļa no šī uzņēmuma kapitāla, vai

b) vienas un tās pašas personas tieši vai netieši piedalās Līgumslēdzējas Valsts uzņēmuma un otras Līgumslēdzējas Valsts uzņēmuma vadībā, kontrolē vai arī tām pieder daļa no šo uzņēmumu kapitāla,

un jebkurā no šiem gadījumiem šo divu uzņēmumu komerciālās vai finanšu attiecības tiek veidotas vai nodibinātas pēc noteikumiem, kas atšķiras no tiem noteikumiem, kuri būtu spēkā starp diviem neatkarīgiem uzņēmumiem, tad jebkura peļņa, ko gūtu viens no uzņēmumiem, bet iepriekšminēto noteikumu ietekmē nav guvis, var tikt iekļauta šī uzņēmuma peļņā, un tai var atbilstoši uzlikt nodokļus.

2. Ja Līgumslēdzēja Valsts iekļauj šīs valsts uzņēmuma peļņā un attiecīgi uzliek nodokļus tai peļņai, attiecībā uz ko otrā valstī otras Līgumslēdzējas Valsts uzņēmumam ir uzlikts nodoklis, un šī iekļautā peļņa ir tāda peļņa, ko būtu guvis pirmās Līgumslēdzējas Valsts uzņēmums, ja attiecības starp šiem diviem uzņēmumiem būtu bijušas tādas, kādas pastāvētu starp diviem neatkarīgiem uzņēmumiem, tad, ja otra valsts to uzskata par pamatotu, tā veic atbilstošas korekcijas attiecībā uz nodokļa lielumu, kāds tiek uzlikts šai peļņai otrā valstī. Nosakot šīs korekcijas, ņem vērā citus šī Līguma noteikumus un, ja nepieciešams, rīko Līgumslēdzēju Valstu kompetento iestāžu konsultācijas.

10.pants
DIVIDENDES

1. Dividendēm, ko sabiedrība – Līgumslēdzējas Valsts rezidents izmaksā otras Līgumslēdzējas Valsts rezidentam, var uzlikt nodokļus šajā otrā valstī.

2. Tomēr šīm dividendēm var uzlikt nodokļus arī atbilstoši attiecīgās valsts normatīvajiem aktiem tajā Līgumslēdzējā Valstī, kuras rezidents ir sabiedrība, kas izmaksā dividendes, bet, ja šo dividenžu īstenais īpašnieks ir otras Līgumslēdzējas Valsts rezidents, nodoklis nedrīkst pārsniegt:

a) 5 procentus no dividenžu kopapjoma, ja dividenžu īstenais īpašnieks ir sabiedrība (kas nav personālsabiedrība), kura tieši pārvalda vismaz 25 procentus tās sabiedrības kapitāla, kura izmaksā dividendes, un investētais kapitāls pārsniedz septiņdesmit piecus tūkstošus Amerikas Savienoto Valstu dolārus (75000 ASV dolārus) vai šādas summas ekvivalentu Līgumslēdzēju Valstu nacionālajās valūtās;

b) 10 procentus no dividenžu kopapjoma visos pārējos gadījumos.

Šīs daļas noteikumi neietekmē nodokļu uzlikšanu sabiedrības peļņai no kuras izmaksā dividendes.

3. Termins "dividendes" šajā pantā nozīmē ienākumu no akcijām, pamatkapitāla daļām vai citām tādām tiesībām piedalīties peļņas sadalē, kas nav parāda prasības, kā arī tādu ienākumu no citām tiesībām, uz ko saskaņā ar tās valsts normatīvajiem aktiem, kuras rezidents ir sabiedrība, kas veic peļņas sadali, attiecas tāds pats nodokļu uzlikšanas režīms kā uz ienākumu no akcijām vai pamatkapitāla daļām.

4. Pirmās un otrās daļas noteikumus nepiemēro, ja dividenžu īstenais īpašnieks, kurš ir Līgumslēdzējas Valsts rezidents, veic uzņēmējdarbību otrā Līgumslēdzējā Valstī, kuras rezidents ir dividendes izmaksājošā sabiedrība, izmantojot tur esošo pastāvīgo pārstāvniecību, vai arī sniedz neatkarīgus individuālos pakalpojumus šajā otrā valstī, izmantojot tajā izvietoto pastāvīgo bāzi, un ja līdzdalība, par kuru tiek izmaksātas dividendes, ir faktiski saistīta ar šo pastāvīgo pārstāvniecību vai pastāvīgo bāzi. Šajā gadījumā atkarībā no apstākļiem piemēro 7. vai 14.panta noteikumus.

5. Ja sabiedrība - Līgumslēdzējas Valsts rezidents gūst peļņu vai ienākumus otrā Līgumslēdzējā Valstī, šī otra valsts nedrīkst nedz uzlikt jebkādus nodokļus šīs sabiedrības izmaksātajām dividendēm, izņemot, ja dividendes tiek izmaksātas otras valsts rezidentam vai ja līdzdalība, par kuru tiek izmaksātas dividendes, ir faktiski saistīta ar pastāvīgo pārstāvniecību vai pastāvīgo bāzi šajā otrā valstī; nedz arī uzlikt nesadalītās peļņas nodokli sabiedrības nesadalītajai peļņai pat tad, ja izmaksātās dividendes vai nesadalītā peļņa pilnīgi vai daļēji sastāv no otrā valstī gūtās peļņas vai ienākuma.

11.pants
PROCENTI

1. Procentiem, kas rodas Līgumslēdzējā Valstī un tiek izmaksāti otras Līgumslēdzējas Valsts rezidentam, var uzlikt nodokļus šajā otrā valstī.

2. Tomēr šiem procentiem var uzlikt nodokļus arī atbilstoši attiecīgās valsts normatīvajiem aktiem tajā Līgumslēdzējā Valstī, kurā tie rodas, bet, ja šo procentu īstenais īpašnieks ir otras Līgumslēdzējas Valsts rezidents, tad nodoklis nedrīkst pārsniegt:

a) 5 procentus no procentu kopapjoma, kas tiek maksāti par jebkāda veida aizdevumu, ko Līgumslēdzējas Valsts banka vai cita finanšu institūcija ir piešķīrusi otras Līgumslēdzējas Valsts bankai vai citai finanšu institūcijai,

b) 10 procentus no procentu kopapjoma visos pārējos gadījumos.

3. Neatkarīgi no otrās daļas noteikumiem procenti, kas rodas Līgumslēdzējā Valstī un kuru saņēmējs un īstenais īpašnieks ir otras Līgumslēdzējas Valsts valdība, tajā skaitā tās politiski administratīvās vienības un pašvaldības, centrālā banka vai jebkura cita šai valdībai pilnīgi piederoša finanšu institūcija, vai procenti, ko gūst par aizdevumiem, kam galvojumu devusi šī valdība, pirmajā minētajā valstī tiek atbrīvoti no nodokļu uzlikšanas.

4. Šajā pantā termins "procenti" nozīmē ienākumu no jebkāda veida parāda prasībām neatkarīgi no tā, vai tās ir vai nav nodrošinātas ar hipotēku un vai tām ir vai nav tiesības piedalīties parādnieka peļņas sadalē, un it īpaši ienākumu no valdības vērtspapīriem un ienākumu no obligācijām vai parādzīmēm, tajā skaitā prēmijas un balvas, kas piederīgas šiem vērtspapīriem, obligācijām vai parādzīmēm. Soda naudas, kas saņemtas par laikā neveiktajiem maksājumiem, netiek uzskatītas par procentiem šī panta noteikumu piemērošanai.

5. Pirmās, otrās un trešās daļas noteikumi netiek piemēroti, ja procentu īstenais īpašnieks, kas ir Līgumslēdzējas Valsts rezidents, veic uzņēmējdarbību otrā Līgumslēdzējā Valstī, kurā šie procenti rodas, izmantojot tur esošo pastāvīgo pārstāvniecību, vai arī sniedz neatkarīgus individuālos pakalpojumus šajā otrā valstī, izmantojot tajā izvietoto pastāvīgo bāzi, un parāda prasības, uz kuru pamata tiek maksāti procenti, ir faktiski saistītas ar šo pastāvīgo pārstāvniecību vai pastāvīgo bāzi. Šajā gadījumā atkarībā no apstākļiem piemēro 7. vai 14.panta noteikumus.

6. Ja procentu maksātājs ir Līgumslēdzējas Valsts rezidents, tiek uzskatīts, ka procenti rodas šajā valstī. Tomēr, ja persona, kas izmaksā procentus, neatkarīgi no tā, vai šī persona ir Līgumslēdzējas Valsts rezidents vai nav, izmanto Līgumslēdzējā Valstī esošo pastāvīgo pārstāvniecību vai tur izvietoto pastāvīgo bāzi, sakarā ar kuru radušās parādu saistības, par kurām tiek maksāti procenti, un šos procentus izmaksā (sedz) pastāvīgā pārstāvniecība vai pastāvīgā bāze, tiek uzskatīts, ka šie procenti rodas tajā valstī, kurā atrodas pastāvīgā pārstāvniecība vai pastāvīgā bāze.

7. Ja, pamatojoties uz īpašām attiecībām starp procentu maksātāju un procentu īsteno īpašnieku vai starp viņiem abiem un kādu citu personu, procentu summa, kas attiecas uz parāda prasībām, par kurām tā tiek izmaksāta, pārsniedz summu, par kādu būtu varējuši vienoties procentu maksātājs un procentu īstenais īpašnieks, ja starp viņiem nebūtu minēto īpašo attiecību, tad šī panta noteikumi tiek piemēroti tikai attiecībā uz pēdējo minēto summu. Šādā gadījumā maksājumu daļai, kas pārsniedz šo summu, nodokļus uzliek atbilstoši katras Līgumslēdzējas Valsts normatīvajiem aktiem, ņemot vērā šī Līguma pārējos noteikumus.

12.pants
AUTORATLĪDZĪBA

1. Autoratlīdzībai, kas rodas Līgumslēdzējā Valstī un ko izmaksā otras Līgumslēdzējas Valsts rezidentam, var uzlikt nodokļus šajā otrā valstī.

2. Tomēr šādai autoratlīdzībai var uzlikt nodokļus arī atbilstoši attiecīgās valsts normatīvajiem aktiem tajā Līgumslēdzējā Valstī, kurā tā rodas, bet, ja autoratlīdzības īstenais īpašnieks ir otras Līgumslēdzējas Valsts rezidents, nodoklis nedrīkst pārsniegt 5 procentus no autoratlīdzības kopapjoma.

3. Termins "autoratlīdzība" šajā pantā nozīmē jebkāda veida maksājumus, ko saņem kā kompensāciju par jebkuru autortiesību izmantošanu vai par tiesībām izmantot jebkuras autortiesības uz literāru, mākslas vai zinātnisku darbu, tajā skaitā kinofilmām un filmām vai ierakstiem un citiem attēla vai skaņas atveidošanas līdzekļiem radio vai televīzijas pārraidēm, uz jebkuru patentu, preču zīmi, dizainu vai paraugu, plānu, slepenu formulu vai procesu, vai par pārraidīšanu, izmantojot satelītu, kabeli, optiskās šķiedras kabeli vai līdzīgu tehnoloģiju, vai par ražošanas, komerciālo vai zinātnisko iekārtu izmantošanu vai par tiesībām tās izmantot, vai par informāciju attiecībā uz ražošanas, komerciālu vai zinātnisku pieredzi.

4. Pirmās un otrās daļas noteikumi netiek piemēroti, ja autoratlīdzības īstenais īpašnieks, kas ir Līgumslēdzējas Valsts rezidents, veic uzņēmējdarbību otrā Līgumslēdzējā Valstī, kurā rodas autoratlīdzība, izmantojot tur esošo pastāvīgo pārstāvniecību, vai arī sniedz neatkarīgus individuālos pakalpojumus šajā otrā valstī, izmantojot tajā izvietoto pastāvīgo bāzi, un ja tiesības vai īpašums, par ko tiek maksāta autoratlīdzība, ir faktiski saistīti ar šo pastāvīgo pārstāvniecību vai pastāvīgo bāzi. Šajā gadījumā atkarībā no apstākļiem piemēro 7. vai 14.panta noteikumus.

5. Ja autoratlīdzības maksātājs ir Līgumslēdzējas Valsts rezidents, tiek uzskatīts, ka autoratlīdzība rodas šajā valstī. Tomēr, ja persona, kas izmaksā autoratlīdzību neatkarīgi no tā, vai šī persona ir Līgumslēdzējas Valsts rezidents vai nav, izmanto Līgumslēdzējā Valstī esošo pastāvīgo pārstāvniecību vai tur izvietoto pastāvīgo bāzi, sakarā ar ko radies pienākums izmaksāt autoratlīdzību, un ja šo autoratlīdzību izmaksā (sedz) šī pastāvīgā pārstāvniecība vai pastāvīgā bāze, tiek uzskatīts, ka autoratlīdzība rodas tajā valstī, kurā atrodas pastāvīgā pārstāvniecība vai pastāvīgā bāze.

6. Ja, pamatojoties uz īpašām attiecībām starp autoratlīdzības maksātāju un autoratlīdzības īsteno īpašnieku vai starp viņiem abiem un kādu citu personu, autoratlīdzības summa pārsniedz autoratlīdzības summu, par kādu būtu varējuši vienoties maksātājs un īstenais īpašnieks, ja starp viņiem nebūtu minēto īpašo attiecību, tad šī panta noteikumi tiek piemēroti tikai attiecībā uz pēdējo minēto summu. Šajā gadījumā maksājuma daļai, kas pārsniedz šo summu, tiek uzlikti nodokļi atbilstoši katras Līgumslēdzējas Valsts normatīvajiem aktiem, ņemot vērā šī Līguma pārējos noteikumus.

13.pants
KAPITĀLA PIEAUGUMS

1. Kapitāla pieaugumam, ko Līgumslēdzējas Valsts rezidents gūst, atsavinot 6.pantā minēto otrā Līgumslēdzējā Valstī esošo nekustamo īpašumu, var uzlikt nodokļus šajā otrā valstī.

2. Kapitāla pieaugumam, ko Līgumslēdzējas Valsts rezidents gūst atsavinot akcijas, pamatkapitāla daļas vai tām pielīdzināmu jebkāda veida līdzdalību sabiedrībā vai citā vienībā, kas vairāk nekā 50 procentus no vērtības tieši vai netieši gūst no 6.pantā minētā otrā Līgumslēdzējā Valstī esošā nekustamā īpašuma, var uzlikt nodokļus šajā otrā valstī.

3. Kapitāla pieaugumam, kas gūts, atsavinot kustamo īpašumu, kurš ir daļa no Līgumslēdzējas Valsts uzņēmuma pastāvīgās pārstāvniecības uzņēmējdarbības īpašuma otrā Līgumslēdzējā Valstī, vai atsavinot kustamo īpašumu, kas ir piederīgs Līgumslēdzējas Valsts rezidenta pastāvīgajai bāzei otrā Līgumslēdzējā Valstī, kura izveidota neatkarīgo individuālo pakalpojumu sniegšanai, tajā skaitā kapitāla pieaugumam no šādas pastāvīgās pārstāvniecības  atsavināšanas (atsevišķi vai kopā ar visu uzņēmumu) vai šādas pastāvīgās bāzes atsavināšanas, var uzlikt nodokļus šajā otrā valstī.

4. Kapitāla pieaugumam, ko Līgumslēdzējas Valsts uzņēmums, kas izmanto starptautiskajā satiksmē kuģus, gaisa kuģus, auto vai dzelzceļa transporta līdzekļus, gūst, atsavinot šādus kuģus, gaisa kuģus, auto vai dzelzceļa transporta līdzekļus vai atsavinot kustamo īpašumu, kas ir piederīgs šo kuģu, gaisa kuģu, auto vai dzelzceļa transporta līdzekļu izmantošanai, tiek uzlikti nodokļi tikai šajā valstī.

5. Kapitāla pieaugumam, kas gūts atsavinot jebkuru tādu īpašumu, kas nav pirmajā, otrajā, trešajā un ceturtajā daļā minētais īpašums, tiek uzlikti nodokļi tikai tajā Līgumslēdzējā Valstī, kuras rezidents ir šī īpašuma atsavinātājs.

14.pants
IENĀKUMS NO NEATKARĪGIEM INDIVIDUĀLAJIEM PAKALPOJUMIEM

1. Līgumslēdzējas Valsts rezidenta – fiziskās personas ienākumam, kas gūts, sniedzot profesionālus pakalpojumus vai veicot cita veida neatkarīgu darbību, tiek uzlikti nodokļi tikai šajā valstī, izņemot, ja šī persona savas darbības vajadzībām izmanto tai regulāri pieejamu pastāvīgo bāzi otrā Līgumslēdzējā Valstī. Ja tiek izmantota šāda pastāvīgā bāze, ienākumam var uzlikt nodokļus arī otrā Līgumslēdzējā Valstī, bet tikai tik lielā mērā, kādā tas ir attiecināms uz šo pastāvīgo bāzi. Šī panta piemērošanai, ja Līgumslēdzējas Valsts rezidents - fiziskā persona uzturas otrā Līgumslēdzējā Valstī laika posmu vai laika posmus, kuri kopumā pārsniedz 183 dienas jebkurā divpadsmit mēnešu periodā, kas sākas vai beidzas attiecīgajā taksācijas gadā, tiek uzskatīts, ka šī persona izmanto regulāri pieejamu pastāvīgo bāzi otrā valstī un ienākums, kas gūts par otrā valstī veiktajām iepriekšminētajām darbībām, tiek attiecināts uz šo pastāvīgo bāzi.

2. Termins "profesionālie pakalpojumi" īpaši ietver neatkarīgu zinātnisko, literāro, māksliniecisko, izglītojošo vai pedagoģisko darbību, kā arī ārsta, jurista, inženiera, arhitekta, zobārsta un grāmatveža neatkarīgu darbību.

15.pants
IENĀKUMS NO ATKARĪGIEM INDIVIDUĀLAJIEM PAKALPOJUMIEM

1. Saskaņā ar 16., 18. un 19.panta noteikumiem darba algai, samaksai un citai līdzīga veida atlīdzībai, ko Līgumslēdzējas Valsts rezidents saņem par algotu darbu, tiek uzlikti nodokļi tikai šajā valstī, ja vien algotais darbs netiek veikts otrā Līgumslēdzējā Valstī. Ja algotais darbs tiek veikts otrā Līgumslēdzējā Valstī, par to saņemtajai atlīdzībai var uzlikt nodokļus šajā otrā valstī.

2. Neatkarīgi no pirmās daļas noteikumiem atlīdzībai, ko Līgumslēdzējas Valsts rezidents saņem par algotu darbu, kas tiek veikts otrā Līgumslēdzējā Valstī, tiek uzlikti nodokļi tikai pirmajā minētajā valstī, ja:

a) atlīdzības saņēmējs ir atradies otrā valstī laika posmu vai laika posmus, kas kopumā nepārsniedz 183 dienas jebkurā divpadsmit mēnešu periodā, kas sākas vai beidzas attiecīgajā taksācijas gadā, un

b) atlīdzību maksā darba devējs, kas nav otras valsts rezidents, vai cita persona tāda darba devēja vārdā, un

c) atlīdzību neizmaksā (nesedz) pastāvīgā pārstāvniecība vai pastāvīgā bāze, ko darba devējs izmanto otrā valstī.

3. Neatkarīgi no šī panta iepriekšējiem noteikumiem atlīdzībai, ko saņem par algotu darbu, kas tiek veikts uz Līgumslēdzējas Valsts uzņēmuma starptautiskajā satiksmē izmantota kuģa, gaisa kuģa, auto vai dzelzceļa transporta līdzekļa, var uzlikt nodokļus šajā valstī.

16.pants
DIREKTORU ATALGOJUMS

Direktoru atalgojumam un citai līdzīgai atlīdzībai, ko saņem Līgumslēdzējas Valsts rezidents kā direktoru padomes vai citas līdzīgas institūcijas loceklis sabiedrībā, kas ir otras Līgumslēdzējas Valsts rezidents, var uzlikt nodokļus šajā otrā valstī.

17.pants
MĀKSLINIEKU UN SPORTISTU IENĀKUMS

1. Neatkarīgi no 14. un 15.panta noteikumiem ienākumam, ko gūst Līgumslēdzējas Valsts rezidents kā izpildītājmākslinieks, piemēram, teātra, kino, radio vai televīzijas mākslinieks, vai kā mūziķis vai arī kā sportists par savu individuālo darbību otrā Līgumslēdzējā Valstī, var uzlikt nodokļus šajā otrā valstī.

2. Ja izpildītājmākslinieka vai sportista ienākums par viņa individuālo darbību attiecīgajā jomā tiek maksāts nevis pašam izpildītājmāksliniekam vai sportistam, bet citai personai, šādam ienākumam neatkarīgi no 7., 14. un 15.panta noteikumiem var uzlikt nodokļus tajā Līgumslēdzējā Valstī, kurā tiek veikta izpildītājmākslinieka vai sportista darbība.

3. Pirmās un otrās daļas noteikumi netiek piemēroti ienākumam, ko izpildītājmākslinieks vai sportists guvis par Līgumslēdzējā Valstī veiktu darbību, ja šīs valsts apmeklējums pilnībā vai galvenokārt tiek finansēts no vienas vai abu Līgumslēdzēju Valstu, to politiski administratīvo vienību vai pašvaldību līdzekļiem, vai arī, ja šis apmeklējums tiek organizēts saskaņā ar īpašu abu Līgumslēdzēju Valstu vienošanos par sadarbību kultūras vai sporta jomā. Šajā gadījumā ienākumam tiek uzlikti nodokļi tikai tajā Līgumslēdzējā Valstī, kuras rezidents ir izpildītājmākslinieks vai sportists.

18.pants
PENSIJAS

1. Pensijām un citai līdzīgai atlīdzībai, ko Līgumslēdzējas Valsts rezidents saņem par iepriekš veikto algoto darbu, tiek uzlikti nodokļi tikai šajā valstī.

2. Tomēr šādām pensijām un citai līdzīgai atlīdzībai, ko izmaksā otra Līgumslēdzēja Valsts, tās politiski administratīvā vienība vai pašvaldība, vai kas tiek izmaksātas no to izveidotajiem fondiem, tiek uzlikti nodokļi tikai šajā otrā valstī.

19.pants
ATLĪDZĪBA PAR VALSTS DIENESTU

1. a) Darba algai, samaksai un citai līdzīgai atlīdzībai, kas nav pensija un kuru fiziskajai personai izmaksā Līgumslēdzēja Valsts, tās politiski administratīvā vienība vai pašvaldība par šai valstij, vienībai vai pašvaldībai sniegtajiem pakalpojumiem, tiek uzlikti nodokļi tikai šajā valstī.

b) Tomēr šādai darba algai, samaksai un citai līdzīgai atlīdzībai tiek uzlikti nodokļi tikai otrā Līgumslēdzējā Valstī, ja pakalpojumi ir sniegti šajā valstī un šī fiziskā persona ir tāds šīs valsts rezidents, kas:

(i)    ir šīs valsts piederīgais; vai

(ii)    nav kļuvis par šīs valsts rezidentu tikai un vienīgi, lai sniegtu šos pakalpojumus.

2. 15., 16. un 17.panta noteikumus piemēro darba algai, samaksai un citai līdzīgai atlīdzībai, ko izmaksā par pakalpojumiem, kas sniegti saistībā ar Līgumslēdzējas Valsts, tās politiski administratīvās vienības vai pašvaldības veikto uzņēmējdarbību.

20.pants
MAKSĀJUMI STUDENTIEM, STAŽIERIEM UN MĀCEKĻIEM

Maksājumiem, ko uzturēšanās, studiju vai stažēšanās vajadzībām saņem students, stažieris vai māceklis, kurš ir vai tieši pirms ierašanās Līgumslēdzējā Valstī bija otras Līgumslēdzējas Valsts rezidents, un kurš pirmajā minētajā valstī ir ieradies vienīgi studiju vai stažēšanās nolūkā, šajā valstī netiek uzlikti nodokļi, ja šādi maksājumi ir no avotiem, kas neatrodas šajā valstī.

21.pants
DARBĪBA ŠELFA ZONĀ

1. Šī panta noteikumi tiek piemēroti neatkarīgi no šī Līguma 5. līdz 20.panta noteikumiem.

2. Šajā pantā termins "darbība šelfa zonā" nozīmē darbību Līgumslēdzējas Valsts šelfa zonā, kas saistīta ar šajā valstī esošo jūras un zemes dzīļu un tur esošo dabas resursu izpēti vai izmantošanu.

3. Personas - Līgumslēdzējas Valsts rezidenta veiktā darbība otras Līgumslēdzējas Valsts šelfa zonā, saskaņā ar ceturto daļu uzskatāma par tādu uzņēmējdarbību, kas tiek veikta otrā valstī, izmantojot tur esošo pastāvīgo pārstāvniecību vai pastāvīgo bāzi.

4. Trešās daļas noteikumi netiek piemēroti, ja darbība šelfa zonā tiek veikta laika posmā vai laika posmos, kas kopumā nepārsniedz 30 dienas jebkurā divpadsmit mēnešu periodā. Šīs daļas piemērošanai:

a) personas, kas ir saistīta ar citu personu, veiktā darbība šelfa zonā, tiek uzskatīta par šīs citas personas veiktu darbību, ja šī darbība pēc būtības ir tāda pati kā tā, ko veic pirmā minētā persona, izņemot, ja darbība tiek veikta vienlaicīgi kā šīs personas pašas veiktā darbība;

b) persona tiek uzskatīta par saistītu ar citu personu, ja viena no tām tieši vai netieši kontrolē otru vai arī kāda trešā persona vai trešās personas tieši vai netieši kontrolē abas minētās personas.

5. Darba algai, samaksai un citai līdzīgai atlīdzībai, ko saņem Līgumslēdzējas Valsts rezidents par algotu darbu, kas saistīts ar darbību šelfa zonā otrā Līgumslēdzējā Valstī, var uzlikt nodokļus šajā otrā valstī tik lielā mērā, cik šis darbs ir ticis veikts šīs otras valsts šelfa zonā. Tomēr šādai atlīdzībai tiek uzlikti nodokļi tikai pirmajā minētajā valstī, ja algotais darbs tiek veikts tāda darba devēja labā, kurš nav otras valsts rezidents, un ja šīs darbības ilgums kopumā nepārsniedz 30 dienu laika posmu vai laika posmus jebkurā divpadsmit mēnešu periodā.

6. Ienākumam, ko Līgumslēdzējas Valsts rezidents gūst atsavinot:

a) izpētes vai izmantošanas tiesības; vai

b) īpašumu, kas izvietots otrā Līgumslēdzējā Valstī un tiek izmantots saistībā ar darbību šīs otras valsts šelfa zonā; vai

c) akcijas vai pamatkapitāla daļas, kuras savu vērtību vai vērtības lielāko daļu tieši vai netieši iegūst no iepriekš minētajām tiesībām vai īpašuma, vai no šīm tiesībām un īpašuma kopā;

var uzlikt nodokļus šajā otrā valstī.

Šajā daļā termins "izpētes vai izmantošanas tiesības" nozīmē tiesības uz īpašumu, kas var tikt radīts, veicot darbību otras Līgumslēdzējas Valsts šelfa zonā, vai tiesības uz līdzdalību īpašumā vai peļņā, ko var gūt šis īpašums.

22.pants
CITI IENĀKUMI

1. Saskaņā ar otrās daļas noteikumiem citiem Līgumslēdzējas Valsts rezidenta ienākumiem, kas nav atrunāti šī Līguma iepriekšējos pantos, neatkarīgi no to rašanās vietas tiek uzlikti nodokļi tikai šajā valstī.

2. Pirmās daļas noteikumi netiek piemēroti ienākumam, kas nav ienākums no 6.panta otrajā daļā definētā nekustamā īpašuma, ja šī ienākuma saņēmējs, kurš ir Līgumslēdzējas Valsts rezidents, veic uzņēmējdarbību otrā Līgumslēdzējā Valstī, izmantojot tur esošo pastāvīgo pārstāvniecību, vai sniedz neatkarīgus individuālos pakalpojumus šajā otrā valstī, izmantojot tur izvietoto pastāvīgo bāzi, un ja tiesības vai īpašums, par ko tiek saņemts šis ienākums, ir faktiski saistīti ar šo pastāvīgo pārstāvniecību vai pastāvīgo bāzi. Šajā gadījumā atkarībā no apstākļiem piemēro šī Līguma 7. vai 14.panta noteikumus.

3. Neatkarīgi no pirmās un otrās daļas noteikumiem jebkuram ienākumam azartspēļu un loteriju laimesta formā, kas rodas otrā Līgumslēdzējā Valstī, var arī uzlikt nodokļus šajā otrā Līgumslēdzējā Valstī.

23.pants
KAPITĀLS

1. Kapitālam, ko veido 6.pantā minētais Līgumslēdzējas Valsts rezidenta nekustamais īpašums, kas atrodas otrā Līgumslēdzējā Valstī, var uzlikt nodokļus šajā otrā valstī.

2. Kapitālam, ko veido kustamais īpašums, kas ir daļa no Līgumslēdzējas Valsts uzņēmuma pastāvīgās pārstāvniecības uzņēmējdarbības īpašuma otrā Līgumslēdzējā Valstī, vai kapitālam, ko veido kustamais īpašums, kas ir piederīgs Līgumslēdzējas Valsts rezidenta pastāvīgajai bāzei neatkarīgu individuālo pakalpojumu sniegšanai otrā Līgumslēdzējā Valstī, var uzlikt nodokļus šajā otrā valstī.

3. Kapitālam, ko veido kuģi, gaisa kuģi, auto vai dzelzceļa transporta līdzekļi, kurus Līgumslēdzējas Valsts uzņēmums izmanto starptautiskajā satiksmē, kā arī kustamais īpašums, kas piederīgs šo kuģu, gaisa kuģu, auto vai dzelzceļa transporta līdzekļu izmantošanai, tiek uzlikti nodokļi tikai šajā valstī.

4. Visiem pārējiem Līgumslēdzējas Valsts rezidenta kapitāla elementiem tiek uzlikti nodokļi tikai šajā valstī.

24.pants
NODOKĻU DUBULTĀS UZLIKŠANAS NOVĒRŠANAS METODES

1. Attiecībā uz Krievijas Federācijas rezidentiem nodokļu dubultā uzlikšana tiek novērsta šādi:

Ja Krievijas Federācijas rezidents gūst ienākumu vai tam pieder kapitāls, kam saskaņā ar šī Līguma noteikumiem var uzlikt nodokļus Latvijas Republikā, tad par nodokļa summu, kāda par šo ienākumu vai kapitālu ir maksājama Latvijas Republikā, var atļaut samazināt Krievijas Federācijā maksājamo nodokli. Šī samazinājuma summa tomēr nedrīkst pārsniegt tādu nodokļa summu par šo ienākumu vai kapitālu, kāda ir tikusi aprēķināta saskaņā ar Krievijas Federācijas normatīvajiem aktiem un noteikumiem.

2. Attiecībā uz Latvijas Republikas rezidentiem nodokļu dubultā uzlikšana tiek novērsta šādi:

a) Ja Latvijas Republikas rezidents gūst ienākumus vai tam pieder kapitāls, kam saskaņā ar šī Līguma noteikumiem var uzlikt nodokļus Krievijas Federācijā, tad, ja vien tās nacionālajos normatīvajos aktos netiek paredzēti labvēlīgāki noteikumus, Latvijas Republika atļauj:

(i)    samazināt šī rezidenta ienākuma nodokli par summu, kas ir vienāda ar Krievijas Federācijā samaksāto ienākuma nodokli;

(ii)    samazināt šī rezidenta kapitāla nodokli par summu, kas ir vienāda ar Krievijas Federācijā samaksāto kapitāla nodokli.

Šie samazinājumi tomēr nevienā gadījumā nedrīkst pārsniegt tādu ienākuma nodokļa vai kapitāla nodokļa daļu, kāda ir aprēķināta Latvijas Republikā pirms šī samazinājuma piemērošanas un kura atkarībā no apstākļiem ir attiecināma uz ienākumu vai kapitālu, kam var uzlikt nodokļus Krievijas Federācijā.

b) Lai piemērotu a) punktu, ja sabiedrība – Latvijas Republikas rezidents saņem dividendes no sabiedrības – Krievijas Federācijas rezidenta, kurā tai pieder vismaz 10 procentu akciju vai pamatkapitāla daļu ar pilnām balsstiesībām, tad Krievijas Federācijā samaksātajā nodoklī tiek ietverts ne tikai par dividendēm samaksātais nodoklis, bet arī atbilstoša daļa no nodokļa, kas samaksāts par sabiedrības peļņu, no kuras tika maksātas dividendes.

25.pants
DISKRIMINĀCIJAS NEPIEĻAUŠANA

1. Uz Līgumslēdzējas Valsts piederīgajiem otrā Līgumslēdzējā Valstī neattiecas nodokļu uzlikšana vai ar to saistītas prasības, kas ir citādākas vai apgrūtinošākas nekā nodokļu uzlikšana vai ar to saistītās prasības, kuras tādos pašos apstākļos, jo īpaši sakarā ar rezidenci, attiecas vai var tikt attiecinātas uz šīs otras valsts piederīgajiem. Šis noteikums neatkarīgi no 1.panta noteikumiem attiecas arī uz personām, kuras nav vienas vai abu Līgumslēdzēju Valstu rezidenti.

2. Uz bezvalstniekiem – Līgumslēdzējas Valsts rezidentiem nevienā no Līgumslēdzējām Valstīm neattiecas nodokļu uzlikšana vai ar to saistītas prasības, kas ir citādākas vai apgrūtinošākas nekā nodokļu uzlikšana vai ar to saistītās prasības, kuras tādos pašos apstākļos, jo īpaši sakarā ar rezidenci, attiecas vai var tikt attiecinātas uz attiecīgās valsts piederīgajiem.

3. Nodokļu uzlikšana Līgumslēdzējas Valsts uzņēmuma pastāvīgajai pārstāvniecībai otrā Līgumslēdzējā Valstī nevar būt nelabvēlīgāka nekā nodokļu uzlikšana šīs otras valsts uzņēmumiem, kas veic tādu pašu darbību. Šo noteikumu nedrīkst iztulkot tā, ka tas uzliek Līgumslēdzējai Valstij pienākumu piešķirt otras Līgumslēdzējas Valsts rezidentiem jebkādu personisku atvieglojumu, atlaidi un samazinājumu attiecībā uz nodokļu uzlikšanu, kādus šī valsts piešķir tās rezidentiem, ņemot vērā viņu civilstāvokli vai ģimenes saistības.

4. Izņemot gadījumus, kad piemērojami 9.panta pirmās daļas, 11.panta septītās daļas vai 12.panta sestās daļas noteikumi, procenti, autoratlīdzības un citi maksājumi, ko Līgumslēdzējas Valsts uzņēmums izmaksā otras Līgumslēdzējas Valsts rezidentam, nosakot šī uzņēmuma ar nodokļiem apliekamo peļņu, ir jāatskaita pēc tādiem pašiem noteikumiem, kā tad, ja tie tiktu izmaksāti pirmās minētās valsts rezidentam. Tāpat arī Līgumslēdzējas Valsts uzņēmuma parādi otras Līgumslēdzējas Valsts rezidentam, nosakot šāda uzņēmuma apliekamā kapitāla vērtību, ir jāatskaita pēc tādiem pašiem noteikumiem kā tad, ja tie attiektos uz pirmās minētās valsts rezidentu.

5. Līgumslēdzējas Valsts uzņēmumus, kuru kapitāls pilnīgi vai daļēji, tieši vai netieši pieder vienam vai vairākiem otras Līgumslēdzējas Valsts rezidentiem vai to tieši vai netieši kontrolē minētie rezidenti, pirmajā valstī nevar pakļaut jebkādai nodokļu uzlikšanai vai jebkurām ar to saistītām prasībām, kas atšķiras no nodokļu uzlikšanas un ar to saistītām prasībām, kurām tiek vai var tikt pakļauti līdzīgi pirmās minētās valsts uzņēmumi vai kuras ir apgrūtinošākas par tām.

6. Šī panta noteikumi, neatkarīgi no 2.panta noteikumiem, attiecas uz visu veidu un nosaukumu nodokļiem.

26.pants
SAVSTARPĒJĀS SASKAŅOŠANAS PROCEDŪRA

1. Ja persona uzskata, ka vienas vai abu Līgumslēdzēju Valstu rīcība attiecībā uz šo personu izraisa vai izraisīs nodokļu uzlikšanu, kas neatbilst šī Līguma noteikumiem, šī persona var neatkarīgi no šo valstu nacionālajos normatīvajos aktos paredzētajiem tiesiskajiem līdzekļiem iesniegt sūdzību izskatīšanai tās Līgumslēdzējas Valsts kompetentajai iestādei, kuras rezidents ir šī persona, vai arī, ja sūdzība attiecas uz 25.panta pirmo daļu - tās Līgumslēdzējas Valsts kompetentajai iestādei, kuras valsts piederīgais ir šī persona. Sūdzība iesniedzama izskatīšanai triju gadu laikā pēc pirmā paziņojuma par rīcību, kas izraisījusi šī Līguma noteikumiem neatbilstošu nodokļu uzlikšanu.

2. Ja kompetentā iestāde sūdzību uzskata par pamatotu un pati nespēj panākt apmierinošu risinājumu, tā cenšas savstarpēji vienoties ar otras Līgumslēdzējas Valsts kompetento iestādi, lai novērstu šim Līgumam neatbilstošu nodokļu uzlikšanu. Jebkura šāda panāktā vienošanās ir jāizpilda neatkarīgi no Līgumslēdzējas Valsts nacionālajos normatīvajos aktos noteiktajiem laika ierobežojumiem.

3. Līgumslēdzēju Valstu kompetentajām iestādēm ir jācenšas savstarpējas vienošanās ceļā atrisināt jebkurus sarežģījumus vai novērst šaubas, kas var rasties, interpretējot vai piemērojot šo Līgumu. Tās var arī savstarpēji konsultēties, lai novērstu nodokļu dubulto uzlikšanu šajā Līgumā neparedzētos gadījumos.

4. Lai panāktu vienošanos iepriekšējās daļās minētajos jautājumos, Līgumslēdzēju Valstu kompetentās iestādes var tieši sazināties viena ar otru, kā arī šāda viedokļu apmaiņa var notikt ar Līgumslēdzēju Valstu kompetento iestāžu vai to pārstāvju kopīgas komisijas starpniecību.

27.pants
INFORMĀCIJAS APMAIŅA

1. Līgumslēdzēju Valstu kompetentajām iestādēm ir jāapmainās ar informāciju, kas nepieciešama šī Līguma noteikumu izpildīšanai vai Līgumslēdzēju Valstu nacionālo normatīvo aktu prasību attiecībā uz visu veidu un nosaukumu nodokļiem, kas uzlikti Līgumslēdzējas Valsts, tās politiski administratīvās vienības vai pašvaldības labā, izpildīšanai, tiktāl, ciktāl šāda nodokļu uzlikšana nav pretrunā ar Līgumu. Līguma 1. un 2.pants neierobežo informācijas apmaiņu. Jebkura informācija, ko saņem Līgumslēdzēja Valsts, ir jāuzskata par tikpat konfidenciālu kā informācija, kas tiek iegūta saskaņā ar šīs valsts normatīvajiem aktiem un var tikt izpausta tikai tām personām vai iestādēm (arī tiesas un administratīvajām iestādēm), kas ir iesaistītas pirmajā teikumā ietverto nodokļu aprēķināšanā, iekasēšanā, piespiedu līdzekļu lietošanā, lietu iztiesāšanā vai apelāciju izskatīšanā attiecībā uz šiem nodokļiem. Šīm personām vai iestādēm šī informācija jāizmanto vienīgi iepriekšminētajos nolūkos. Tās drīkst izpaust šo informāciju atklātās tiesas sēdēs vai tiesas nolēmumos.

2. Nekādā gadījumā pirmās daļas noteikumus nedrīkst izskaidrot tādējādi, ka tie uzliktu Līgumslēdzējai Valstij pienākumu:

a) veikt administratīvus pasākumus, kas neatbilst vienas vai otras Līgumslēdzējas Valsts normatīvajiem aktiem un administratīvajai praksei;

b) sniegt informāciju, kas nav pieejama saskaņā ar vienas vai otras Līgumslēdzējas Valsts normatīvajiem aktiem vai parasti piemērojamo administratīvo praksi;

c) sniegt informāciju, kas var atklāt jebkuru tirdzniecības, uzņēmējdarbības, ražošanas, komerciālo vai profesionālo noslēpumu vai darījuma procesu vai arī sniegt informāciju, kuras izpaušana būtu pretrunā ar sabiedrisko kārtību (ordre public).

28.pants
PALĪDZĪBA NODOKĻU IEKASĒŠANĀ

1. Līgumslēdzējas Valstis apņemas viena otrai sniegt palīdzību nodokļu maksātāja nenomaksāto nodokļu iekasēšanā tādā apmērā, kādā šī summa ir galīgi noteikta saskaņā ar palīdzību pieprasošās Līgumslēdzējas Valsts normatīvajiem aktiem.

2. Ja Līgumslēdzēja Valsts pieprasa sniegt palīdzību nodokļu iekasēšanā un šai iekasēšanai ir piekritusi otra Līgumslēdzēja Valsts, šī otrā valsts iekasē šos nodokļus saskaņā ar normatīvajiem aktiem, kas piemērojami šīs otrās valsts nodokļu iekasēšanai, un it kā iekasējamie nodokļi būtu tās nodokļi.

3. Jebkurai Līgumslēdzējas Valsts prasībai ir jāpievieno dokuments, kas saskaņā ar šīs valsts normatīvajiem aktiem apstiprina, ka nodokļu maksātāja nodokļu parāda apjoms ir noteikts galīgi.

4. Ja Līgumslēdzējas Valsts nodokļu prasības apjoms nav noteikts galīgi, jo tas tiek noteikts tiesas ceļā vai citādi, šī valsts, lai saglabātu tās ieņēmumus, var pieprasīt otrai Līgumslēdzējai Valstij veikt tās labā tādus pagaidu pasākumus šo līdzekļu saglabāšanai, kādi ir piemērojami saskaņā ar šīs otras valsts normatīvajiem aktiem. Ja otra valsts piekrīt izpildīt šādu prasību, šī otra valsts minētos pagaidu pasākumus veic tā, it kā nodokļu parāds pirmajai minētajai valstij būtu nodokļu parāds otrai valstij.

5. Prasību saskaņā ar trešās un ceturtās daļas noteikumiem Līgumslēdzēja Valsts sniedz tikai tad, ja šajā valstī nav pieejams pietiekams nodokļu nemaksātāja īpašums, lai piedzītu nenomaksāto nodokļa summu.

6. Līgumslēdzēja Valsts, kurā saskaņā ar šī panta noteikumiem tiek iekasēts nodoklis, izmaksā Līgumslēdzējai Valstij, kuras labā šis nodoklis tika iekasēts, iekasētā nodokļa summu, no kuras, ja nepieciešams, atskaitīta septītās daļas b) punktā minētā ārkārtas izdevumu summa.

7. Ja vien abu Līgumslēdzēju Valstu kompetentās iestādes nav vienojušās par citādiem noteikumiem, tiek uzskatīts, ka:

a) Līgumslēdzējas Valsts palīdzības sniegšanas laikā radušos kārtējos izdevumus sedz šī valsts;

b) Līgumslēdzējas Valsts palīdzības sniegšanas laikā radušos ārkārtas izdevumus sedz otra valsts un tie ir jāmaksā neatkarīgi no tā, kāds nodokļu apjoms tiek iekasēts otras valsts labā.

Tiklīdz Līgumslēdzēja Valsts paredz, ka var rasties ārkārtas izdevumi, tā nekavējoties dara to zināmu otrai Līgumslēdzējai Valstij un norāda šo izdevumu iespējamo apjomu.

8. Šajā pantā jēdziens "nodokļi" nozīmē nodokļus, uz kuriem attiecas Līgums, un ietver jebkādus ar tiem saistītos procentus un soda naudas.

29.pants
DIPLOMĀTISKO MISIJU UN KONSULĀRO PĀRSTĀVNIECĪBU  PERSONĀLS

Nekas šajā Līgumā neietekmē diplomātisko misiju vai konsulāro pārstāvniecību personāla fiskālās privilēģijas, kuras tam piemērojamas saskaņā ar starptautisko tiesību vispārējiem noteikumiem vai īpašu nolīgumu noteikumiem.

30.pants
STĀŠANĀS SPĒKĀ

1. Katra Līgumslēdzēja Valsts pa diplomātiskajiem kanāliem rakstveidā informē otru valsti par to, ka ir izpildītas šīs Līgumslēdzējas Valsts normatīvajos aktos noteiktās procedūras, lai šis Līgums stātos spēkā.

2. Šis Līgums stājas spēkā ar pirmajā daļā minētā pēdējā paziņojuma datumu, un tā noteikumi abās Līgumslēdzējās Valstīs tiek piemēroti:

a) attiecībā uz nodokļiem, ko ietur ienākuma izmaksas brīdī – ienākumam, kas gūts janvāra pirmajā dienā vai pēc tās kalendārajā gadā, kas seko gadam, kurā šis Līgums stājas spēkā;

b) attiecībā uz pārējiem ienākuma nodokļiem un kapitāla nodokļiem – nodokļiem, kas maksājami par jebkuru taksācijas gadu, kas sākas janvāra pirmajā dienā vai pēc tās kalendārajā gadā, kas seko gadam, kurā šis Līgums stājas spēkā.

31.pants
DARBĪBAS IZBEIGŠANA

Šis Līgums ir spēkā tik ilgi, kamēr viena Līgumslēdzēja Valsts tā darbību izbeidz. Katra Līgumslēdzēja Valsts var izbeigt šī Līguma darbību pa diplomātiskajiem kanāliem iesniedzot rakstisku paziņojumu par izbeigšanu vismaz sešus mēnešus pirms jebkura kalendārā gada beigām, kas seko piecu gadu periodam pēc Līguma spēkā stāšanās datuma. Šajā gadījumā Līguma darbība abās Līgumslēdzējās Valstīs tiek izbeigta:

a) attiecībā uz nodokļiem, ko ietur ienākuma izmaksas brīdī – ienākumam, kas gūts janvāra pirmajā dienā vai pēc tās kalendārajā gadā, kas seko gadam, kurā ir iesniegts paziņojums;

b) attiecībā uz pārējiem ienākuma nodokļiem un kapitāla nodokļiem – nodokļiem, kas maksājami par jebkuru taksācijas gadu, kas sākas janvāra pirmajā dienā vai pēc tās kalendārajā gadā, kas seko gadam, kurā ir iesniegts paziņojums.

Līgums sastādīts Maskavā divos eksemplāros 2010.gada 20.decembrī  latviešu, krievu un angļu valodā, turklāt visi teksti ir vienlīdz autentiski. Atšķirīgas interpretācijas gadījumā noteicošais ir teksts angļu valodā.

PROTOKOLS

Parakstot Latvijas Republikas valdības un Krievijas Federācijas valdības Līgumu par nodokļu dubultās uzlikšanas un nodokļu nemaksāšanas novēršanu attiecībā uz ienākuma un kapitāla nodokļiem (turpmāk tekstā – Līgums), puses ir vienojušās par turpmāk minētajiem noteikumiem, kas ir šī Līguma neatņemama sastāvdaļa.

1.   Attiecībā uz 13.pantu:

Līgumslēdzējas Valstis saprot, ka visam ienākumam un kapitāla pieaugumam no Līgumslēdzējā Valstī esoša nekustamā īpašuma atsavināšanas var uzlikt nodokļus šajā Līgumslēdzējā Valstī saskaņā ar Līguma 13.panta pirmās daļas noteikumiem.

2.   Attiecībā uz 27.pantu:

Ja Līgumslēdzēja Valsts saskaņā ar šo pantu pieprasa sniegt informāciju, otrai Līgumslēdzējai Valstij ir jāiegūst informācija, uz kuru attiecas pieprasījums, tādā pat veidā un tik pat lielā mērā, it kā pirmās minētās valsts nodoklis būtu šīs otras valsts nodoklis, kuru uzliek šī otrā valsts, pat ja pieprasītā informācija otrai valstij nav nepieciešama savām nodokļu uzlikšanas vajadzībām.

Līgumslēdzēja Valsts nevar atteikties sniegt informāciju par nodokļu maksātāja kontiem un darījumiem vienīgi tāpēc, ka tās turētāja ir banka vai cita finanšu institūcija.

Tomēr valstij, kurai pieprasa sniegt informāciju, nav jāveic administratīvie pasākumi, kādi nav atļauti saskaņā ar pieprasošās valsts normatīvajiem aktiem vai praksi, kā arī nav jāsniedz tāda informācija, kas nav iegūstama saskaņā ar pieprasošās valsts normatīvajiem aktiem vai parasti piemērojamo administratīvo praksi.

3.   Abu Līgumslēdzēju Valstu kompetentās iestādes nepieprasīs apliecinājumu (apostille) jebkuriem dokumentiem, kas nepieciešami šī Līguma piemērošanai.

4.   Tiek saprasts, ka Līgumslēdzējas Valsts rezidentam nav tiesības saņemt jebkuru šajā Līgumā noteikto nodokļu samazinājumu vai atbrīvojumu attiecībā uz ienākumu, kas tiek saņemts no otras Līgumslēdzējas Valsts, ja abu Līgumslēdzēju Valstu kompetento iestāžu savstarpēju konsultāciju rezultātā tiek konstatēts, ka šāda rezidenta izveidošanas vai pastāvēšanas galvenais mērķis vai viens no galvenajiem mērķiem ir bijis izmantot šajā Līgumā noteiktos atvieglojumus, kas tam citādi nebūtu pieejami.

Protokols sastādīts Maskavā divos eksemplāros 2010.gada 20.decembrī latviešu, krievu un angļu valodā, turklāt visi teksti ir vienlīdz autentiski. Atšķirīgas interpretācijas gadījumā noteicošais ir teksts angļu valodā.

AGREEMENT BETWEEN THE GOVERNMENT OF THE REPUBLIC OF LATVIA AND THE GOVERNMENT OF THE RUSSIAN FEDERATION FOR THE AVOIDANCE OF DOUBLE TAXATION AND THE PREVENTION OF FISCAL EVASION WITH RESPECT TO TAXES ON INCOME AND ON CAPITAL

The Government of the Republic of Latvia and the Government of the Russian Federation,

desiring to conclude an Agreement for the avoidance of double taxation and the prevention of fiscal evasion with respect to taxes on income and on capital and with a view to promote economic cooperation between the two countries,

have agreed as follows:

 

Article 1
PERSONS COVERED

This Agreement shall apply to persons who are residents of one or both of the Contracting States.

Article 2
TAXES COVERED

1. This Agreement shall apply to taxes on income and on capital imposed on behalf of a Contracting State or of its political subdivisions or local authorities, irrespective of the manner in which they are levied.

2. There shall be regarded as taxes on income and on capital all taxes imposed on total income, on total capital, or on elements of income or of capital, including taxes on gains from the alienation of movable or immovable property, as well as taxes on capital appreciation.

3. The existing taxes to which the Agreement shall apply are in particular:

a) in the case of the Russian Federation:

(i) the tax on profits of organisations;

(ii) the income tax on individuals;

(iii) the tax on property of organisations; and

(iv) the tax on property of individuals;

b) in the case of the Republic of Latvia:

(i) the enterprise income tax;

(ii) the personal income tax; and

(iii) the immovable property tax.

4. This Agreement shall apply also to any identical or substantially similar taxes on income or on capital which are imposed after the date of signature of this Agreement in addition to, or in place of, the existing taxes. The competent authorities of the Contracting States shall notify each other of any substantial changes which have been made in their respective taxation laws.

Article 3
GENERAL DEFINITIONS

1. For the purposes of this Agreement, unless the context otherwise requires:

a) the terms "a Contracting State" and "the other Contracting State" mean the Republic of Latvia or the Russian Federation, as the context requires;

b) the term "the Russian Federation" means the territory of the Russian Federation as well as its exclusive economic zone and continental shelf, defined in accordance with the international law, including the 1982 UN Law of the Sea Convention;

c) the term "the Republic of Latvia" means the territory of the Republic of Latvia as well as its exclusive economic zone and continental shelf, defined in accordance with the international law, including the 1982 UN Law of the Sea Convention;

d) the term "person" includes an individual, a company and any other body of persons;

e) the term "company" means any body corporate or any entity which is treated as a body corporate for tax purposes;

f) the terms "enterprise of a Contracting State" and "enterprise of the other Contracting State" mean respectively an enterprise carried on by a resident of a Contracting State and an enterprise carried on by a resident of the other Contracting State;

g) the term "international traffic" means any transport by a ship, aircraft, road or railway vehicle operated by an enterprise of a Contracting State, except when the ship, aircraft, road or railway vehicle is operated solely between places in the other Contracting State;

h) the term "competent authority" means:

(i) in the case of the Russian Federation - the Ministry of Finance of the Russian Federation or its authorised representative;

(ii) in the case of the Republic of Latvia - the Ministry of Finance or its authorised representative;

i) the term "national" means:

(i) any individual possessing the nationality of a Contracting State;

(ii) any legal person, partnership or association deriving its status as such from the laws in force in a Contracting State.

2. As regards the application of this Agreement by a Contracting State, any term not defined therein shall, unless the context otherwise requires, have the meaning that it has under the laws of that State concerning the taxes to which the Agreement applies, any meaning under the applicable tax laws of that State prevailing over a meaning given to the term under other laws of that State.

Article 4
RESIDENT

1. For the purposes of this Agreement, the term "resident of a Contracting State" means any person who, under the laws of that State, is liable to tax therein by reason of his domicile, residence, place of management, place of incorporation or any other criterion of a similar nature, and also includes that State and any political subdivision or local authority thereof. This term, however, does not include any person who is liable to tax in that State in respect only of income from sources in that State or capital situated therein.

2. Where by reason of the provisions of paragraph 1 an individual is a resident of both Contracting States, then his status shall be determined as follows:

a) he shall be deemed to be a resident only of the  State in which he has a permanent home available to him; if he has a permanent home available to him in both States, he shall be deemed to be a resident only of the State with which his personal and economic relations are closer (centre of vital interests);

b) if the State in which he has his centre of vital interests cannot be determined, or if he has not a permanent home available to him in either  State, he shall be deemed to be a resident only of the State in which he has an habitual abode;

c) if he has an habitual abode in both States or in neither of them, he shall be deemed to be a resident only of the State of which he is a national;

d) if he is a national of both States or of neither of them, the competent authorities of the Contracting States shall settle the question by mutual agreement.

3. Where by reason of the provisions of paragraph 1 a person other than an individual is a resident of both Contracting States, the competent authorities of the Contracting States shall endeavour to settle the question by mutual agreement and determine the mode of application of the Agreement to such person. In the absence of such agreement, for the purposes of the Agreement, the person shall not be entitled to claim any benefits provided by this Agreement.

Article 5
PERMANENT ESTABLISHMENT

1. For the purposes of this Agreement, the term "permanent establishment" means a fixed place of business through which the business of an enterprise is wholly or partly carried on.

2. The term "permanent establishment" includes especially:

a) a place of management;

b) a branch;

c) an office;

d) a factory;

e) a workshop, and

f) a mine, an oil or gas well, a quarry or any other place of extraction of natural resources.

3. A building site, a construction, assembly or installation project or a supervisory activity connected therewith constitutes a permanent establishment only if such site, project or activity lasts for a period of more than nine months.

4. Notwithstanding the preceding provisions of this Article, the term "permanent establishment" shall be deemed not to include:

a) the use of facilities solely for the purpose of storage, display or delivery of goods or merchandise belonging to the enterprise;

b) the maintenance of a stock of goods or merchandise belonging to the enterprise solely for the purpose of storage, display or delivery;

c) the maintenance of a stock of goods or merchandise belonging to the enterprise solely for the purpose of processing by another enterprise;

d) the maintenance of a fixed place of business solely for the purpose of purchasing goods or merchandise or of collecting information, for the enterprise;

e) the maintenance of a fixed place of business solely for the purpose of carrying on, for the enterprise, any other activity of a preparatory or auxiliary character;

f) the maintenance of a fixed place of business solely for any combination of activities mentioned in sub-paragraphs a) to e), provided that the overall activity of the fixed place of business resulting from this combination is of a preparatory or auxiliary character.

5. Notwithstanding the provisions of paragraphs 1 and 2, where a person - other than an agent of an independent status to whom paragraph 6 applies - is acting on behalf of an enterprise and has, and habitually exercises, in a Contracting State an authority to conclude contracts in the name of the enterprise, that enterprise shall be deemed to have a permanent establishment in that State in respect of any activities which that person undertakes for the enterprise, unless the activities of such person are limited to those mentioned in paragraph 4 which, if exercised through a fixed place of business, would not make this fixed place of business a permanent establishment under the provisions of that paragraph.

6. An enterprise shall not be deemed to have a permanent establishment in a Contracting State merely because it carries on business in that State through a broker, general commission agent or any other agent of an independent status, provided that such persons are acting in the ordinary course of their business.

7. The fact that a company which is a resident of a Contracting State controls or is controlled by a company which is a resident of the other Contracting State, or which carries on business in that other State (whether through a permanent establishment or otherwise), shall not of itself constitute either company a permanent establishment of the other.

Article 6
INCOME FROM IMMOVABLE PROPERTY

1. Income derived by a resident of a Contracting State from immovable property (including income from agriculture or forestry) situated in the other Contracting State may be taxed in that other State.

2. The term "immovable property" shall have the meaning which it has under the law of the Contracting State in which the property in question is situated.

The term shall in any case include property accessory to immovable property, livestock and equipment used in agriculture and forestry, rights to which the provisions of the law respecting landed property apply, any option or similar right to acquire immovable property, rights known as usufruct of immovable property and rights to variable or fixed payments as consideration for the working of, or the right to work, mineral deposits, sources and other natural resources. Ships, aircraft, road and railway vehicles shall not be regarded as immovable property.

3. The provisions of paragraph 1 shall apply to income derived from the direct use, letting, or use in any other form of immovable property.

4. Where the ownership of shares or other corporate rights in a company entitles the owner of such shares or corporate rights to the enjoyment of immovable property held by the company, the income from direct use, letting, or use in any other form of such right to enjoyment may be taxed in the Contracting State in which the immovable property is situated.

5. The provisions of paragraphs 1, 3 and 4 shall also apply to the income from immovable property of an enterprise and to income from immovable property used for the performance of independent personal services.

Article 7
BUSINESS PROFITS

1. The profits  of an enterprise of a Contracting State shall be taxable only in that State unless the enterprise carries on business in the other Contracting State through a permanent establishment situated therein. If the enterprise carries on business as aforesaid, the profits of the enterprise may be taxed in the other State but only so much of them as is attributable to that permanent establishment

2. Subject to the provisions of paragraph 3, where an enterprise of a Contracting State carries on business in the other Contracting State through a permanent establishment situated therein, there shall in each Contracting State be attributed to that permanent establishment the profits which it might be expected to make if it were a distinct and separate enterprise engaged in the same or similar activities under the same or similar conditions and dealing wholly independently with the enterprise of which it is a permanent establishment.

3. In determining the profits of a permanent establishment, there shall be allowed as deductions those deductible expenses which are incurred for the purposes of the permanent establishment, including executive and general administrative expenses so incurred, whether in the State in which the permanent establishment is situated or elsewhere.

4. Insofar as it has been customary in a Contracting State to determine the profits to be attributed to a permanent establishment on the basis of an apportionment of the total profits of the enterprise to its various parts, nothing in paragraph 2 shall preclude that Contracting State from determining the profits to be taxed by such an apportionment as may be customary; the method of apportionment adopted shall, however, be such that the result shall be in accordance with the principles contained in this Article.

5. No profits shall be attributed to a permanent establishment by reason of the mere purchase by that permanent establishment of goods or merchandise for the enterprise.

6. For the purposes of the preceding paragraphs, the profits to be attributed to the permanent establishment shall be determined by the same method year by year unless there is good and sufficient reason to the contrary.

7. Where profits include items of income which are dealt with separately in other Articles of this Agreement, then the provisions of those Articles shall not be affected by the provisions of this Article.

Article 8
 PROFITS FROM INTERNATIONAL TRANSPORT

1. Profits derived by an enterprise of a Contracting State from the operation of ships, aircraft, road or railway vehicles in international traffic shall be taxable only in that State.

2. For the purposes of this Article, profits of an enterprise from the operation of ships, aircraft, road or railway vehicles in international traffic also include:

a) profits from the rental on a bareboat basis of ships, aircraft, road or railway vehicles; and

b) profits from the use, maintenance or rental of containers (including trailers and related equipment for the transport of containers) used for the transport of goods or merchandise;

where such rental or such use, maintenance or rental, as the case may be, is incidental to the operation of ships, aircraft, road or railway vehicles by the enterprise in international traffic.

3. The provisions of paragraphs 1 and 2 shall also apply to profits from the participation in a pool, a joint business or an international operating agency.

Article 9
ASSOCIATED ENTERPRISES

1. Where

a) an enterprise of a Contracting State participates directly or indirectly in the management, control or capital of an enterprise of the other Contracting State, or

b) the same persons participate directly or indirectly in the management, control or capital of an enterprise of a Contracting State and an enterprise of the other Contracting State,

and in either case conditions are made or imposed between the two enterprises in their commercial or financial relations which differ from those which would be made between independent enterprises, then any profits which would, but for those conditions, have accrued to one of the enterprises, but, by reason of those conditions, have not so accrued, may be included in the profits of that enterprise and taxed accordingly.

2. Where a Contracting State includes in the profits of an enterprise of that State - and taxes accordingly - profits on which an enterprise of the other Contracting State has been charged to tax in that other State and the profits so included are profits which would have accrued to the enterprise of the first-mentioned State if the conditions made between the two enterprises had been those which would have been made between independent enterprises, then that other State shall make an appropriate adjustment to the amount of the tax charged therein on those profits, where that other State considers the adjustment justified. In determining such adjustment, due regard shall be had to the other provisions of this Agreement and the competent authorities of the Contracting States shall if necessary consult each other.

Article 10
DIVIDENDS

1. Dividends paid by a company which is a resident of a Contracting State to a resident of the other Contracting State may be taxed in that other State.

2. However, such dividends may also be taxed in the Contracting State of which the company paying the dividends is a resident and according to the laws of that State, but if the beneficial owner of the dividends is a resident of the other Contracting State, the tax so charged shall not exceed:

a) 5 per cent of the gross amount of the dividends if the beneficial owner is a company (other than a partnership) which holds directly at least 25 per cent of the capital of the company paying the dividends and the capital invested exceeds seventy five thousand United States dollars (75 000 US dollars) or its equivalent in the national currencies of the Contracting States;

b) 10 per cent of the gross amount of the dividends in all other cases.

The provisions of this paragraph shall not affect the taxation of the company on the profits out of which the dividends are paid.

3. The term "dividends" as used in this Article means income from shares or other rights, not being debt-claims, participating in profits, as well as income from other  rights which is subjected to the same taxation treatment as income from shares by the taxation laws of the State of which the company making the distribution is a resident.

4. The provisions of paragraphs 1 and 2 shall not apply if the beneficial owner of the dividends, being a resident of a Contracting State, carries on business in the other Contracting State of which the company paying the dividends is a resident, through a permanent establishment situated therein, or performs in that other State independent personal services from a fixed base situated therein, and the holding in respect of which the dividends are paid is effectively connected with such permanent establishment or fixed base. In such case the provisions of Article 7 or Article 14, as the case may be, shall apply.

5. Where a company which is a resident of a Contracting State derives profits or income from the other Contracting State, that other State may not impose any tax on the dividends paid by the company, except insofar as such dividends are paid to a resident of that other State or insofar as the holding in respect of which the dividends are paid is effectively connected with a permanent establishment or a fixed base situated in that other State, nor subject the company's undistributed profits to a tax on the company's undistributed profits, even if the dividends paid or the undistributed profits consist wholly or partly of profits or income arising in such other State.

Article 11
INTEREST

1. Interest arising in a Contracting State and paid to a resident of the other Contracting State may be taxed in that other State.

2. However, such interest may also be taxed in the Contracting State in which it arises and according to the laws of that State, but if the beneficial owner of the interest is a resident of the other Contracting State, the tax so charged shall not exceed:

a) 5 per cent of the gross amount of interest on loans of any kind granted by a bank or other financial institution of a Contracting State to a bank or other financial institution of the other Contracting State;

b) 10 per cent of the gross amount of interest in all other cases.

3. Notwithstanding the provisions of paragraph 2 interest arising in a Contracting State, derived and beneficially owned by the Government of the other Contracting State, including its political subdivisions and local authorities, the Central Bank or any financial institution wholly owned by that Government, or interest derived on loans guaranteed by that Government shall be exempt from tax in the first-mentioned State.

4. The term "interest" as used in this Article means income from debt-claims of every kind, whether or not secured by mortgage, and whether or not carrying a right to participate in the debtor's profits and in particular, income from government securities and income from bonds or debentures, including premiums and prizes attaching to such securities, bonds or debentures. Penalty charges for late payment shall not be regarded as interest for the purpose of this Article.

5. The provisions of paragraphs 1, 2 and 3 shall not apply if the beneficial owner of the interest, being a resident of a Contracting State, carries on  business in the other Contracting State in which the interest arises, through a permanent establishment situated therein, or performs in that other State independent personal services from a fixed base situated therein, and the debt-claim in respect of which the interest is paid is effectively connected with such permanent establishment or fixed base. In such case the provisions of Article 7 or Article 14, as the case may be, shall apply.

6. Interest shall be deemed to arise in a Contracting State when the payer is a resident of that State. Where, however, the person paying the interest, whether he is a resident of a Contracting State or not, has in a Contracting State a permanent establishment or a fixed base in connection with which the indebtedness on which the interest is paid was incurred, and such interest is borne by such permanent establishment or fixed base, then such interest shall be deemed to arise in the State in which the permanent establishment or fixed base is situated.

7. Where, by reason of a special relationship between the payer and the beneficial owner of interest or between both of them and some other person, the amount of the interest, having regard to the debt-claim for which it is paid, exceeds the amount which would have been agreed upon by the payer and the beneficial owner in the absence of such relationship, the provisions of this Article shall apply only to the last-mentioned amount. In such case, the excess part of the payments shall remain taxable according to the laws of each Contracting State, due regard being had to the other provisions of this Agreement.

Article 12
ROYALTIES

1. Royalties arising in a Contracting State and paid to a resident of the other Contracting State may be taxed in that other State.

2. However, such royalties  may also be taxed in the Contracting State in which they arise and according to the laws of that State, but if the beneficial owner of the royalties is a resident of the other Contracting State, the tax so charged shall not exceed 5 per cent of the gross amount of the royalties.

3. The term "royalties" as used in this Article means payments of any kind received as a consideration for the use of, or the right to use, any copyright of a literary, artistic, or scientific work, including cinematograph films and films or tapes and other means of image or sound reproduction for radio or television broadcasting, any patent, trademark, design or model, plan, secret formula or process, or for transmission by satellite, cable, optic fibre or similar technology, or for the use of, or the right to use any industrial, commercial, or scientific equipment, or for information concerning industrial, commercial or scientific experience.

4. The provisions of paragraphs 1 and 2 shall not apply if the beneficial owner of the royalties, being a resident of a Contracting State, carries on business in the other Contracting State in which the royalties arise, through a permanent establishment situated therein, or performs in that other State independent personal services from a fixed base situated therein, and the right or property in respect of which the royalties are paid is effectively connected with such permanent establishment or fixed base. In such case the provisions of Article 7 or Article 14, as the case may be, shall apply.

5. Royalties shall be deemed to arise in a Contracting State when the payer is a resident of that State. Where, however, the person paying the royalties, whether he is a resident of a Contracting State or not, has in a Contracting State a permanent establishment or a fixed base in connection with which the liability to pay the royalties was incurred, and such royalties are borne by such permanent establishment or fixed base, then such royalties shall be deemed to arise in the State in which the permanent establishment or fixed base is situated.

6. Where, by reason of a special relationship between the payer and the beneficial owner or between both of them and some other person, the amount of the royalties, exceeds the amount which would have been agreed upon by the payer and the beneficial owner in the absence of such relationship, the provisions of this Article shall apply only to the last-mentioned amount. In such case, the excess part of the payments shall remain taxable according to the laws of each Contracting State, due regard being had to the other provisions of this Agreement.

Article 13
CAPITAL GAINS

1. Gains derived by a resident of a Contracting State from the alienation of immovable property referred to in Article 6 and situated in the other Contracting State may be taxed in that other State.

2. Gains derived by a resident of a Contracting State from the alienation of shares or comparable interests of any kind in a company or other entity deriving more than 50 per cent of their value directly or indirectly from immovable property referred to in Article 6 and situated in the other Contracting State, may be taxed in that other State.

3. Gains derived from the alienation of movable property forming part of the business property of a permanent establishment which an enterprise of a Contracting State has in the other Contracting State or of movable property pertaining to a fixed base available to a resident of a Contracting State in the other Contracting State for the purpose of performing independent personal services, including such gains from the alienation of such a permanent establishment (alone or with the whole enterprise) or of such fixed base, may be taxed in that other State.

4. Gains derived by an enterprise of a Contracting State operating ships, aircraft, road or railway vehicles in international traffic from the alienation of such ships, aircraft, road or railway vehicles or movable property pertaining to the operation of such ships, aircraft, road or railway vehicles shall be taxable only in that State.

5. Gains from the alienation of any property other than that referred to in paragraphs 1, 2, 3 and 4, shall be taxable only in the Contracting State of which the alienator is a resident.

Article 14
INCOME FROM INDEPENDENT PERSONAL SERVICES

1. Income derived by an individual who is a resident of a Contracting State from the performance of professional services or other activities of an independent character shall be taxable only in that State unless he has a fixed base regularly available to him in the other Contracting State for the purpose of performing his activities. If he has such a fixed base, the income may be taxed in the other Contracting State but only so much of it as is attributable to that fixed base. For this purpose, where an individual who is a resident of a Contracting State stays in the other Contracting State for a period or periods exceeding in the aggregate 183 days in any twelve month period commencing or ending in the fiscal year concerned, he shall be deemed to have a fixed base regularly available to him in that other State and the income that is derived from his activities referred to above that are performed in that other State shall be attributable to that fixed base.

2. The term "professional services" includes especially independent scientific, literary, artistic, educational or teaching activities as well as the independent activities of physicians, lawyers, engineers, architects, dentists and accountants.

Article 15
INCOME FROM DEPENDENT PERSONAL SERVICES

1. Subject to the provisions of Articles 16, 18 and 19, salaries, wages and other similar remuneration derived by a resident of a Contracting State in respect of an employment shall be taxable only in that State unless the employment is exercised in the other Contracting State. If the employment is so exercised, such remuneration as is derived therefrom may be taxed in that other State.

2. Notwithstanding the provisions of paragraph 1, remuneration derived by a resident of a Contracting State in respect of an employment exercised in the other Contracting State shall be taxable only in the first-mentioned State if:

a) the recipient is present in the other State for a period or periods not exceeding in the aggregate 183 days in any twelve month period commencing or ending in the fiscal year concerned, and

b) the remuneration is paid by, or on behalf of, an employer who is not a resident of the other  State, and

c) the remuneration is not borne by a permanent establishment or a fixed base which the employer has in the other  State.

3. Notwithstanding the preceding provisions of this Article, remuneration derived in respect of an employment exercised aboard a ship, aircraft, road or railway vehicle operated in international traffic by an enterprise of a Contracting State may be taxed in that State.

Article 16
DIRECTORS' FEES

Directors' fees and other similar remuneration derived by a resident of a Contracting State in his capacity as a member of the board of directors or a similar body of a company which is a resident of the other Contracting State may be taxed in that other State.

Article 17
INCOME OF ARTISTES AND SPORTSMEN

1. Notwithstanding the provisions of Articles 14 and 15, income derived by a resident of a Contracting State as an entertainer, such as a theatre, motion picture, radio or television artiste, or a musician, or as a sportsman, from his personal activities as such exercised in the other Contracting State, may be taxed in that other State.

2. Where income in respect of personal activities exercised by an entertainer or a sportsman in his capacity as such accrues not to the entertainer or sportsman himself but to another person, that income may, notwithstanding the provisions of Articles 7, 14 and 15, be taxed in the Contracting State in which the activities of the entertainer or sportsman are exercised.

3. The provisions of paragraphs 1 and 2 shall not apply to income derived from activities exercised in a Contracting State by an entertainer or a sportsman if the visit to that State is wholly or mainly financed by one or both of the Contracting States, political subdivisions or local authorities thereof, or if such visit is organized in accordance with the special cultural or sports agreements between the Contracting States. In such case, the income shall be taxable only in the Contracting State of which the entertainer or sportsman is a resident.

Article 18
PENSIONS

1. Pensions and other similar remuneration paid to a resident of a Contracting State in consideration of past employment shall be taxable only in that State.

2. However, such pensions and other similar remuneration paid by, or out of funds created by, the other Contracting State or a political subdivisions or a local authority thereof shall be taxable only in that other State.

Article 19
REMUNERATION FROM GOVERNMENT SERVICE

1. a)     Salaries, wages and other similar remuneration, other than a pension, paid by a Contracting State or a political subdivision or a local authority thereof to an individual in respect of services rendered to that State or a political subdivision or a local authority shall be taxable only in that State.

b) However, such salaries, wages and other similar remuneration shall be taxable only in the other Contracting State if the services are rendered in that State and the individual is a resident of that State who:

(i) is a national of that State; or

(ii) did not become a resident of that State solely for the purpose of rendering the services.

2. The provisions of Articles 15, 16, and 17 shall apply to salaries, wages and other similar remuneration, in respect of services rendered in connection with a business carried on by a Contracting State or a political subdivision or a local authority thereof.

Article 20
PAYMENTS TO STUDENTS, TRAINEES AND BUSINESS APPRENTICES

Payments which a student, trainee or business apprentice who is or was immediately before visiting a Contracting State a resident of the other Contracting State and who is present in the first-mentioned State solely for the purpose of his education or training receives for the purpose of his maintenance, education or training shall not be taxed in that State, provided that such payments arise from sources outside that State.

Article 21
OFFSHORE ACTIVITIES

1. The provisions of this Article shall apply notwithstanding the provisions of Articles 5 to 20 of this Agreement.

2. For the purposes of this Article, the term "offshore activities" means activities carried on offshore in a Contracting State in connection with the exploration or exploitation of the sea bed and sub-soil and their natural resources situated in that State.

3. A person who is a resident of a Contracting State and carries on offshore activities in the other Contracting State shall, subject to paragraph 4, be deemed to be carrying on business in that other State through a permanent establishment or a fixed base situated therein.

4. The provisions of paragraph 3 shall not apply where the offshore activities are carried on for a period or periods not exceeding in the aggregate 30 days in any  twelve month period.  For the purposes of this paragraph:

a) offshore activities carried on by a person who is  associated with another person shall be deemed to be carried on by the other person if the activities in question are substantially the same as those carried on by the first-mentioned person, except to the extent that those activities are carried on at the same time as its own activities;

b) a person shall be deemed to be associated with another person if one is controlled directly or indirectly by other, or both are controlled directly or indirectly by a third person or third persons.

5. Salaries, wages and other similar remuneration derived by a resident of a Contracting State in respect of an employment connected with offshore activities in the other Contracting State may, to the extent that the duties are performed offshore in that other State, be taxed in that other State.  However, such remuneration shall be taxable only in the first-mentioned State if the employment is carried on for an employer who is not a resident of the other State and for a period or periods not exceeding in the aggregate 30 days within any twelve month period.

6. Gains derived by a resident of a Contracting State from the alienation of:

a) exploration or exploitation rights; or

b) property situated in the other Contracting State which is used in connection with the offshore activities carried on in that other State; or

c) shares deriving their value or the greater part of their value directly or indirectly from such rights or such property or from such rights and such property taken together;

may be taxed in that other State.

In this paragraph the term "exploration or exploitation rights" means rights to assets to be produced by offshore activities carried on in the other Contracting State, or to interests in or to the benefit of such assets.

Article 22
OTHER INCOME

1. Subject to the provisions of paragraph 2, items of income of a resident of a Contracting State, wherever arising, not dealt with in the foregoing Articles of this Agreement shall be taxable only in that State.

2. The provisions of paragraph 1 shall not apply to income, other than income from immovable property as defined in paragraph 2 of Article 6, if the recipient of such income, being a resident of a Contracting State, carries on business in the other Contracting State through a permanent establishment situated therein, or performs in that other State independent personal services from a fixed base situated therein, and the right or property in respect of which the income is paid is effectively connected with such permanent establishment or fixed base. In such case the provisions of Articles 7 or 14, as the case may be, shall apply.

3. Notwithstanding the provisions of paragraphs 1 and 2 any income in the form of winnings from gambling and lotteries, arising in the other Contracting State, may also be taxed in that other Contracting State.

Article 23
CAPITAL

1. Capital represented by immovable property referred to in Article 6, owned by a resident of a Contracting State and situated in the other Contracting State, may be taxed in that other State.

2. Capital represented by movable property forming part of the business property of a permanent establishment which an enterprise of a Contracting State has in the other Contracting State or by movable property pertaining to a fixed base available to a resident of a Contracting State in the other Contracting State for the purpose of performing independent personal services, may be taxed in that other State.

3. Capital represented by ships, aircraft, road and railway vehicles operated in international traffic by an enterprise of a Contracting State and by movable property pertaining to the operation of such ships, aircraft, road and railway vehicles, shall be taxable only in that State.

4. All other elements of capital of a resident of a Contracting State shall be taxable only in that State.

Article 24
METHODS OF ELIMINATION OF DOUBLE TAXATION

1. In the case of a resident of the Russian Federation, double taxation shall be avoided as follows:

Where a resident of the Russian Federation derives income or owns capital which, in accordance with the provisions of this Agreement, may be taxed in the Republic of Latvia, the amount of tax on that income or on capital payable in the Republic of Latvia, may be credited against the tax imposed in the Russian Federation. The amount of credit, however, shall not exceed the amount of the tax on that income or capital computed in accordance with the laws and regulations of the Russian Federation.

2. In the case of a resident of the Republic of Latvia, double taxation shall be avoided as follows:

a) Where a resident of the Republic of Latvia derives income or owns capital which, in accordance with this Agreement, may be taxed in the Russian Federation, unless a more favourable treatment is provided in its national law, the Republic of Latvia shall allow:

(i) as a deduction from the tax on the income of that resident, an amount equal to the income tax paid thereon in the Russian Federation;

(ii) as a deduction from the tax on the capital of that resident, an amount equal to the capital tax paid thereon in the Russian Federation.

Such deduction in either case shall not, however, exceed that part of the income tax or capital tax in the Republic of Latvia, as computed before the deduction is given, which is attributable, as the case may be, to the income or the capital which may be taxed in the Russian Federation.

b) For the purposes of sub-paragraph a), where a company that is a resident of the Republic of Latvia receives a dividend from a company that is a resident of the Russian Federation in which it owns at least 10 per cent of its shares having full voting rights, the tax paid in the Russian Federation shall include not only the tax paid on the dividend, but also the appropriate portion of the tax paid on the underlying profits of the company out of which the dividend was paid.

Article 25
NON-DISCRIMINATION

1. Nationals of a Contracting State shall not be subjected in the other Contracting State to any taxation or any requirement connected therewith, which is other or more burdensome than the taxation and connected requirements to which nationals of that other State in the same circumstances, in particular with respect to residence, are or may be subjected. This provision shall, notwithstanding the provisions of Article 1, also apply to persons who are not residents of one or both of the Contracting States.

2. Stateless persons who are residents of a Contracting State shall not be subjected in either Contracting State to any taxation or any requirement connected therewith, which is other or more burdensome than the taxation and connected requirements to which nationals of the State concerned in the same circumstances, in particular with respect to residence, are or may be subjected.

3. The taxation on a permanent establishment which an enterprise of a Contracting State has in the other Contracting State shall not be less favourably levied in that other State than the taxation levied on enterprises of that other State carrying on the same activities. This provision shall not be construed as obliging a Contracting State to grant to residents of the other Contracting State any personal allowances, reliefs and reductions for taxation purposes on account of civil status or family responsibilities which it grants to its own residents.

4. Except where the provisions of paragraph 1 of Article 9, paragraph 7 of Article 11, or paragraph 6 of Article 12, apply, interest, royalties and other disbursements paid by an enterprise of a Contracting State to a resident of the other Contracting State shall, for the purpose of determining the taxable profits of such enterprise, be deductible under the same conditions as if they had been paid to a resident of the first-mentioned State. Similarly, any debts of an enterprise of a Contracting State to a resident of the other Contracting State shall, for the purpose of determining the taxable capital of such enterprise, be deductible under the same conditions as if they had been contracted to a resident of the first-mentioned State.

5. Enterprises of a Contracting State, the capital of which is wholly or partly owned or controlled, directly or indirectly, by one or more residents of the other Contracting State, shall not be subjected in the first-mentioned State to any taxation or any requirement connected therewith which is other or more burdensome than the taxation and connected requirements to which other similar enterprises of the first-mentioned State are or may be subjected.

6. The provisions of this Article shall, notwithstanding the provisions of Article 2, apply to taxes of every kind and description.

Article 26
MUTUAL AGREEMENT PROCEDURE

1. Where a person considers that the actions of one or both of the Contracting States result or will result for him in taxation not in accordance with the provisions of this Agreement, he may, irrespective of the remedies provided by the national law of those States, present his case to the competent authority of the Contracting State of which he is a resident or, if his case comes under paragraph 1 of Article 25, to that of the Contracting State of which he is a national. The case must be presented within three years from the first notification of the action resulting in taxation not in accordance with the provisions of the Agreement.

2. The competent authority shall endeavour, if the objection appears to it to be justified and if it is not itself able to arrive at a satisfactory solution, to resolve the case by mutual agreement with the competent authority of the other Contracting State, with a view to the avoidance of taxation which is not in accordance with the Agreement. Any agreement reached shall be implemented notwithstanding any time limits provided for in the national law of the Contracting States.

3. The competent authorities of the Contracting States shall endeavour to resolve by mutual agreement any difficulties or doubts arising as to the interpretation or application of the Agreement. They may also consult together for the elimination of double taxation in cases not provided for in the Agreement.

4. The competent authorities of the Contracting States may communicate with each other directly, including through a joint commission consisting of themselves or their representatives, for the purpose of reaching an agreement in the sense of the preceding paragraphs.

Article 27
EXCHANGE OF INFORMATION

1. The competent authorities of the Contracting States shall exchange such information as is necessary for carrying out the provisions of this Agreement or of the domestic laws of the Contracting States concerning taxes of every kind and description imposed on behalf of the Contracting States, or of their political subdivisions or local authorities, insofar as the taxation thereunder is not contrary to the Agreement. The exchange of information is not restricted by Articles 1 and 2. Any information received by a Contracting State shall be treated as confidential in the same manner as information obtained under the national laws of that State and shall be disclosed only to persons or authorities (including courts and administrative bodies) concerned with the assessment or collection of, the enforcement or prosecution in respect of, or the determination of appeals in relation to the taxes referred to in the first sentence. Such persons or authorities shall use the information only for such purposes. They may disclose the information in public court proceedings or in judicial decisions.

2. In no case shall the provisions of paragraph 1 be construed so as to impose on a Contracting State the obligation:

a) to carry out administrative measures at variance with the laws and administrative practice of that or of the other Contracting State;

b) to supply information which is not obtainable under the laws or in the normal course of the administration of that or of the other Contracting State;

c) to supply information which would disclose any trade, business, industrial, commercial or professional secret or trade process, or information, the disclosure of which would be contrary to public policy (ordre public).

Article 28
ASSISTANCE IN THE COLLECTION OF TAXES

1. The Contracting States undertake to lend assistance to each other in the collection of the taxes owed by a taxpayer to the extent that the amount thereof has been finally determined according to the laws of the Contracting State making the request for assistance.

2. In the case of a request by a Contracting State for the collection of taxes which has been accepted for collection by the other Contracting State, such taxes shall be collected by that other State in accordance with the laws applicable to the collection of its own taxes and as if the taxes to be so collected were its own taxes.

3. Any request for collection by a Contracting State shall be accompanied by such certificate as is required by the laws of that State to establish that the taxes owed by the taxpayer have been finally determined.

4. Where the tax claim of a Contracting State has not been finally determined by reason of it being subject to appeal or other proceedings, that State may, in order to protect its revenues, request the other Contracting State to take such interim measures for conservancy on its behalf as are available to the other State under the laws of that other State. If such request is accepted by the other State, such interim measures shall be taken by that other State as if the taxes owed to the first-mentioned State were the own taxes of that other State.

5. A request under paragraphs 3 or 4 shall only be made by a Contracting State to the extent that sufficient property of the taxpayer owing the taxes is not available in that State for recovery of the taxes owed.

6. The Contracting State in which tax is recovered in accordance with the provisions of this Article shall forthwith remit to the Contracting State on behalf of which the tax was collected the amount so recovered minus, where appropriate, the amount of extraordinary costs referred to in subparagraph 7 b).

7. It is understood that unless otherwise agreed by the competent authorities of both Contracting States:

a) ordinary costs incurred by a Contracting State in providing assistance shall be borne by that State;

b) extraordinary costs incurred by a Contracting State in providing assistance shall be borne by the other State and shall be payable regardless of the amount collected on its behalf by that other State.

As soon as a Contracting State anticipates that extraordinary cost may be incurred, it shall so advise the other Contracting State and indicate the estimated amount of such costs.

8. In this Article, the term "taxes" means the taxes covered by the Agreement and includes any interest and penalties relating thereto.

Article 29
MEMBERS OF DIPLOMATIC MISSIONS AND CONSULAR POSTS

Nothing in this Agreement shall affect the fiscal privileges of members of diplomatic missions or consular posts who are provided with such privileges under the  rules of general international law or under the provisions of special agreements.

Article 30
ENTRY INTO FORCE

1. Each of the Contracting States shall notify to the other in writing through the diplomatic channel of the completion of the procedures required by the law applied in that Contracting State for the entry into force of this Agreement.

2. The Agreement shall enter into force on the date of the later of the notifications referred to in paragraph 1 and its provisions shall have effect in both Contracting States:

a) in respect of taxes withheld at source, on income derived on or after the first day of January in the calendar year next following the year in which the Agreement enters into force;

b) in respect of other taxes on income and taxes on capital, for taxes chargeable for any fiscal year beginning on or after the first day of January in the calendar year next following the year in which the Agreement enters into force.

Article 31
TERMINATION

This Agreement shall remain in force until terminated by a Contracting State. Either Contracting State may terminate the Agreement, through diplomatic channels, by giving written notice of termination at least six months before the end of any calendar year beginning after the expiration of five years from the date on which the Agreement enters into force. In such event, the Agreement shall cease to have effect in both Contracting States:

a) in respect of taxes withheld at source, on income derived on or after the first day of January in the calendar year next following the year in which the notice has been given;

b) in respect of other taxes on income and taxes on capital, for taxes chargeable for any fiscal year beginning on or after the first day of January in the calendar year next following the year in which the notice has been given.

PROTOCOL

At the signing of the Agreement between the Government of the Republic of Latvia and the Government of the Russian Federation for the avoidance of double taxation and the prevention of fiscal evasion with respect to taxes on income and on capital (hereinafter referred to as "the Agreement") the undersigned have agreed upon the following provisions which form an integral part of the Agreement:

1.     With reference to Article 13:

The Contracting States understand that all income and gains arising from the alienation of immovable property situated in a Contracting State may be taxed in that Contracting State in accordance with the provisions of paragraph 1 of Article 13 of this Agreement.

2. With reference to Article 27:

If information is requested by a Contracting State in accordance with this Article, the other Contracting State shall obtain the information to which the request relates in the same manner and to the same extent as if the tax of the first-mentioned State were the tax of that other State and were being imposed by that other State, even though that other State may not need such information for its own tax purposes.

A Contracting State may not decline to supply information on taxpayer`s accounts and transactions solely because it is held by a bank or other financial institution.

However, the requested State has no obligation to carry out administrative measures that are not permitted under the laws or practice of the requesting State or to supply items of information that are not obtainable under the laws or in the normal course of administration of the requesting State.

3. The competent authorities of both Contracting States shall not require apostille for any documents necessary for the application of this Agreement.

4. It is understood that a resident of a Contracting State shall not be entitled to any reduction in or exemption from taxes as provided for in this Agreement on income derived from the other Contracting State if as a result of consultations between the competent authorities of both Contracting States it is established that the main purpose or one of the main purposes of the creation or existence of such resident was to obtain the benefits under this Agreement that would not otherwise be available.
